Zarząd spółki Corey Europe spółka akcyjna z siedzibą w Warszawie (dalej: "Emitent", "Wykonawca), informuje o podpisaniu z BESS GREEN 1 Sp. z o. o. z siedzibą we Wrocławiu, wpisana do rejestru przedsiębiorców pod numerem KRS 0001166546 (dalej: "BESS GREEN 1" lub „Zamawiający”) podmiotem powiązanym z członkiem Zarządu Emitenta, w dniu 05 maja 2026 r. umowy (dalej: "Umowa") w modelu EPC (Engineering – Procurement – Construction) – „pod klucz”. Umowa w modelu EPC, oznacza dla Emitenta jako Wykonawcy, generalną realizację inwestycji, gdzie odpowiada za zaprojektowanie, dostawę kluczowych komponentów oraz wykonanie robót budowlanych.

W ramach przedmiotowej Umowy Emitent zobowiązany będzie do realizacji następujących kwestii:

 wykonania kompletnego zakresu EPC,

 dostawy systemu BESS 2,5 MW / 5,015 MWh (CIF Hamburg),

 oraz przygotowania dokumentacji projektowej Fazy 2 (5 MW / 8 MWh) na etapie wniosku o pozwolenie na budowę.

Całkowite wynagrodzenie Emitenta z tytułu realizacji Umowy zostało ustalone na łączną kwotę 938.000 USD netto i obejmuje:

I. realizacja EPC o wartości 355.000 USD + 23% VAT:

 wykonanie projektów budowlanych i elektrycznych zgodnych z decyzją o warunkach zabudowy,

 przygotowanie i złożenie wniosku o pozwolenie na budowę,

 wykonanie robót budowlanych i cywilnych,

 wykonanie ogrodzenia terenu,

 budowę drogi dojazdowej umożliwiającej transport BESS i pozostałych elementów,

 instalację transformatora 2,5 MW 690 V – 2,5 MW,

wykonanie przyłącza do sieci Energa zgodnie z warunkami umowy zawartej przez Zamawiającego,

 wykonanie systemów ochrony przeciwpożarowej.

II. Dostawę BESS o wartości 583.000 USD netto (0% VAT):

Dostawa systemu BESS 2,5 MW / 5,015 MWh na warunkach CIF Hamburg,

Strony postanowiły, iż w dniu podpisania Umowy Bess Green 1 dokona wpłaty w EUR równowartości 122.500 USD netto. Emitent informuje, że BESS GREEN 1 wywiązała się z ustaleń i na dzień publikacji raportu, Corey Europe S.A. otrzymała przelew przedmiotowej kwoty. Kolejne płatności będą następowały w transzach, zgodnie z ustalonym przez Strony harmonogramem.

Maksymalny termin realizacji i odbioru zakresu EPC został ustalony na 8 miesięcy od daty otrzymania zaliczki, natomiast termin dostawy urządzeń BESS na 7 miesięcy od daty otrzymania zaliczki.

Zamawiający zobowiązał się do złożenia wniosku o przyłączenie 5 MW / 8 MWh (Faza 2) do ENERGA w maju 2026 r. Celem Zamawiającego jest jak najszybsze rozpoczęcie Fazy 2, w związku z planowanym uruchomieniem sąsiedniej GPZ,

Szczegółowy harmonogram realizacji EPC zostanie opracowany po uzyskaniu pozwolenia na budowę.

Zgodnie z informacją przekazaną od Zamawiającego, dla inwestycji nie jest wymagana decyzja środowiskowa.

Zarząd Spółki będzie przekazywał istotne informacje o postępach w realizacji umowy w odrębnych raportach bieżących.

Zarząd Emitenta przekazuje niniejszą informację z uwagi na fakt, iż zawarcie ww. umowy może mieć wpływ na osiągane wyniki finansowe Emitenta, co wypełnia przesłanki art. 17 ust. 1 MAR.

MESSAGE (ENGLISH VERSION)

Signature EPC (Engineering – Procurement – Construction) contracts .

The Management Board of Corey Europe, a joint-stock company, with its registered office in Warsaw (hereinafter referred to as the "Issuer", "Contractor"), announces that it has signed an agreement (hereinafter referred to as the "Agreement" ) in the EPC (Engineering – Procurement – Construction) – "turnkey" model with BESS GREEN 1 Sp. z o. o. with its registered office in Wrocław, entered into the register of entrepreneurs under the KRS number 0001166546 (hereinafter referred to as the "BESS GREEN 1" or the " Ordering Party"), an entity related to a member of the Issuer's Management Board , on May 5, 2026. The EPC model agreement means for the Issuer, as the Contractor, the general implementation of the investment, where it is responsible for the design, delivery of key components and execution of construction works.

Under the Agreement, the Issuer will be obliged to implement the following issues:

 execution of the complete EPC scope,

 delivery of the BESS system 2.5 MW / 5.015 MWh (CIF Hamburg),

 and preparation of design documentation for Phase 2 (5 MW / 8 MWh) at the stage of applying for a building permit.

The Issuer's total remuneration for the performance of the Agreement was set at a total amount of USD 938,000 net and includes:

I. EPC implementation worth USD 355,000 + 23% VAT:

 execution of construction and electrical designs in accordance with the decision on development conditions,

 preparation and submission of an application for a building permit,

 execution of construction and civil works,

 construction of fencing for the area,

 construction of an access road enabling the transport of BESS and other elements,

 a 2.5 MW 690 V – 2.5 MW transformer ( Trafta , Poland) ,

connection to the Energa network in accordance with the terms of the contract concluded by the Ordering Party,

 implementation of fire protection systems.

II. Delivery of BESS worth USD 583,000 net (0% VAT):

Delivery of a 2.5 MW / 5.015 MWh BESS system on CIF Hamburg terms ,

The Parties agreed that on the date of signing the Agreement, Bess Green 1 would make a payment w EUR równowartościof USD 122,500 netto. The Issuer hereby announces that BESS GREEN 1 has complied with the agreement and, as of the date of this report, Corey Europe SA received the transfer of the amount in question. Subsequent payments will be made in tranches, in accordance with the schedule agreed upon by the Parties.

The maximum deadline for completion and acceptance of the EPC scope was set at 8 months from the date of receipt of the advance payment, while the delivery deadline for BESS devices was set at 7 months from the date of receipt of the advance payment.

The Ordering Party has committed to submit an application for the connection of 5 MW / 8 MWh (Phase 2) to ENERGA in May 2026. The Ordering Party’s goal is to start Phase 2 as soon as possible, in connection with the planned launch of the adjacent GPZ,

A detailed EPC implementation schedule will be developed after obtaining a building permit.

According to the information provided by the Ordering Party, an environmental decision is not required for the investment.

The Company's Management Board will provide important information on progress in the implementation of the agreement in separate current reports.

The Issuer's Management Board provides this information due to the fact that the conclusion of the above-mentioned agreement may have an impact on the Issuer's financial results, which meets the requirements of Article 17 section 1 of MAR.
