Zarząd XTPL S.A. [“Emitent", “Spółka", “XTPL”], w nawiązaniu do raportu bieżącego nr 3/2022 z dnia 10 stycznia 2022 r. dotyczącego zawarcia umowy o współpracy [“Umowa”] z firmą Nano Dimension Ltd. [“Nano Dimension”, “Klient”] oraz raportów bieżących nr 10/2022 z dnia 11 kwietnia 2022 r., nr 22/2022 z dnia 13 lipca 2022 r. i nr 35/2022 z dnia 15 listopada 2022 r. informuje, że w dniu 29 marca 2023 r. strony Umowy uzgodniły, że z sukcesem zrealizowano kluczowe elementy czwartego etapu prac rozwojowych w ramach fazy technologicznej działań określonych w Umowie. Strony ustaliły, że zaakceptowanie kluczowych prac przewidzianych w tym etapie oznacza uruchomienie transzy płatności dla Spółki w wysokości odpowiadającej zrealizowanym elementom i zgodnej z ich wyceną. Przychody z tego tytułu zostaną rozpoznane w I kwartale 2023 r. i znacząco wpłyną na wyniki finansowe w tym okresie.

Strony ustaliły ponadto kontynuację prac w pozostałych elementach czwartego etapu prac badawczo rozwojowych zgodnie z Umową oraz rozpoczęły wspólne definiowanie kolejnych faz współpracy komercyjnej, obejmującej dalsze zlecenia w celu opracowania metody wytwarzania specjalnej formulacji tuszu przewodzącego prąd elektryczny do przemysłowych zastosowań w produktach Klienta nakierowanych na produkcję płytek PCB.

Zarząd Emitenta uznał powyższy fakt za informację poufną ze względu na istotną wartość dla obecnej skali działalności, a także dla przyszłego rozwoju Spółki. Rozpoczęcie współpracy i realizacja Umowy Emitenta z partnerem przemysłowym w zakresie linii biznesowej nanotuszów stanowi również potwierdzenie dalszego potencjału komercjalizacyjnego technologii XTPL, co w dalszej perspektywie może wspierać jej wdrożenie na linie produkcyjne kolejnych globalnych graczy na rynku nowoczesnej elektroniki.

Prowadzona współpraca potwierdza także zdolność Emitenta do generowania przychodów ze sprzedaży zindywidualizowanych produktów pod potrzeby poszczególnego klienta, opartych na zaawansowanej, autorskiej technologii wytwarzania nanomateriałów dedykowanych branży elektroniki nowej generacji.

Z przyczyn wyżej opisanych informacja dotycząca realizacji części przedmiotowej Umowy, w opinii Zarządu Emitenta, spełnia kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR.

	MESSAGE (ENGLISH VERSION)
	Title: The Company completes key elements of the fourth stage of the technology phase under the agreement with Nano Dimension Ltd. Legal basis: Article 17(1) MAR – inside information. Content of the Report: With reference to Current Report No. 3/2022 of 10 January 2022 concerning a cooperation agreement [“Agreement”] signed with Nano Dimension Ltd. [“Nano Dimension”, “Client”] and Current Reports No. 10/2022 of 11 April 2022 and No. 22/2022 of 13 July 2022 and Current Reports No. 35/2022 of 15 November 2022, the Management Board of XTPL S.A. [“Issuer”, “Company”, “XTPL”] informs that on 29 on March 2023, the parties to the Agreement agreed that the key elements of the fourth stage of development works as part of the technological phase of the activities specified in the Agreement were successfully implemented. The parties agreed that accepting the key works at this stage triggers the payment for the Company in the amount corresponding to the completed elements and in accordance with their valuation. Revenues from this will be recognized in the first quarter of 2023 and will significantly affect the financial results in this period. The parties also agreed to continue work on the remaining elements of the fourth stage of research and development in accordance with the Agreement and began jointly defining subsequent phases of commercial cooperation, including further orders to develop a method for producing a special formulation of electrically conductive ink for industrial use in the Customer's products dedicated for the production of PCBs. The Issuer’s Management Board has decided that the completion of the above stage of work is inside information due to its significant value in the context of the Company’s current business and its future development. Establishment of the Issuer’s cooperation and performance of the Agreement with the industrial partner in the nanoinks business line is also testament to the continued commercialization potential of the XTPL technology, which in the longer perspective may support its implementation on the production lines of other global players in the market of modern electronics. The cooperation also confirms the Issuer's ability to generate revenues from the sale of products customized to the needs of individual clients, based on an advanced, proprietary technology of producing nanomaterials dedicated to the next generation electronics industry. Accordingly, in the Management Board’s opinion, the information on achievement of the stated milestone under the Agreement meets the criteria of inside information within the meaning of Article 7(1) MAR.
