| Zarząd Spółki Vivid Games S.A. (dalej jako: "Spółka", "Emitent"), informuje, że w związku ze złożoną przez Pana Remigiusza Kościelnego w dniu 29 września 2023 rezygnacją z pełnienia funkcji członka i przewodniczącego Rady Nadzorczej Spółki, Rada Nadzorcza w dniu 13 października 2023 w drodze kooptacji powołała panią Elżbietę Häuser-Schöneich na członkinię Rady Nadzorczej. Zgodnie z § 12 ust. 4 Statutu Spółki, Pani Elżbieta Häuser-Schöneich będzie sprawowała czynności członkini Rady Nadzorczej do czasu dokonania wyboru członkini/członka Rady Nadzorczej przez najbliższe Walne Zgromadzenie Akcjonariuszy Spółki. Rada Nadzorcza planuje powołać Panią Elżbietę Häuser-Schöneich także na członkinię Komitetu Audytu w miejsce Pana Remigiusza Kościelnego. Pani Elżbieta Häuser-Schöneich jest Członkiem Rad Nadzorczych spółek: Sanok Rubber Company oraz Atende,a także Członkiem Komitetu Audytu Atende oraz Członkiem Komitetu Nominacji i Wynagrodzeń Sanok Rubber Company. Przez większość ponad 25 letniej kariery zawodowej związana z rynkiem ubezpieczeniowym i finansowym. Współtwórca rynku ubezpieczeń direct w Polsce, odznaczona w 2010 przez PIU za zasługi dla ubezpieczeń. W latach 2019-2020 Członek Zarządu PZU i PZU Życie. W latach 2015-2017 Członek Zarządu T-Mobile Polska odpowiedzialna za rynek klientów indywidualnych . Wcześniej, W latach 2008-2015 związana z grupą Aviva na stanowisku Wiceprezesa Zarządu oraz członka Rady Nadzorczej Aviva Investors Poland TFI. W latach 2005-2007 związana z ING Nationale – Nederlanden.W latach 2002-2005 współtwórca i Członek Zarządu Link4 . Posiada również doświadczenie w branży medycznej, energetycznej, FMCG i branży motoryzacyjnej. Obecnie zaangażowana w przedsięwzięcia z branży Eco-tech. Jest absolwentką programów menedżerskich na Stanford University, Kellogg School of Management, INSEAD,CEDEP,LSE i LBS ,UCLAN oraz studiów podyplomowych na kierunku Zarządzanie Wartością Firmy w Szkole Głównej Handlowej. Posiada dyplom magisterski KUL oraz dyplom EMBA Collegium Humanum. Pani Elżbieta Häuser-Schöneich nie jest wpisana do Rejestru Dłużników Niewypłacalnych. Ponadto nie wykonuje działalności konkurencyjnej wobec działalności wykonywanej w przedsiębiorstwie Spółki oraz nie jest wspólnikiem w konkurencyjnej spółce cywilnej lub spółce osobowej, ani też członkiem organu konkurencyjnej spółki kapitałowej, czy też członkiem organu jakiejkolwiek innej konkurencyjnej osoby prawne i jest Członkinią niezależną. |

| The Management Board of Vivid Games S.A. (hereinafter: "the Company", "the Issuer"), informs that in connection with the resignation of Mr. Remigiusz Koscielny from his position as a member and chairman of the Supervisory Board of the Company, submitted by Mr. Remigiusz Kościelny on September 29, 2023, the Supervisory Board on October 13, 2023, by way of co-optation, appointed Ms. Elżbieta Häuser-Schöneich as a member of the Supervisory Board. Pursuant to Paragraph 12(4) of the Company's Articles of Association, Ms. Elżbieta Häuser-Schöneich will serve as a member of the Supervisory Board until the next General Meeting of Shareholders of the Company elects a member of the Supervisory Board.
