Zarząd Carbon Studio S.A. z siedzibą w Gliwicach [„Spółka”, „Emitent”] informuje, że w dniu 10 sierpnia 2026 roku konsorcjum, w skład którego wchodzi Emitent wraz ze spółką Hole sp. z o.o. z siedzibą w Gliwicach [„Konsorcjum”] zawarło umowę z Centrum Kultury Victoria w Gliwicach [„Centrum Kultury”], której przedmiotem jest w szczególności kompleksowe zaprojektowanie i wykonanie przez Konsorcjum multimedialno-interaktywnej instalacji artystyczno-edukacyjnej „Interaktywne Gliwice”, opartej na rozwiązaniach cyfrowych wraz z wdrożeniem lokalnego, bezpiecznego systemu sztucznej inteligencji opartego na architekturze RAG i silnikach 3D Real-Time [„Umowa”].

W ramach Umowy Emitent będzie odpowiedzialny w szczególności za organizację interaktywnych stanowisk, dostarczenie rozwiązań IT umożliwiających interakcję użytkowników w czasie rzeczywistym, tworzenie cyfrowych postaci i interfejsów głosowych, a także za technologię lokalną, sprzęt, oprogramowanie oraz ich integrację.

Strony Konsorcjum ustaliły równy udział w wynagrodzeniu netto z tytułu świadczonych prac na rzecz Centrum Kultury. Łączne wynagrodzenie Emitenta z tytułu wykonanych prac wyniesie 113 150,00 zł netto i zostanie wypłacone w dwóch transzach: pierwszej po podpisaniu Umowy oraz drugiej po zakończeniu prac i zatwierdzeniu przez Centrum Kultury sprawozdania z ich realizacji.

W ramach Umowy Konsorcjum będzie zapewniało 24-miesięczne wsparcie techniczne i gwarancję na dostarczone rozwiązania cyfrowe, umożliwiające ich późniejsze wykorzystanie.

W ramach ww. wynagrodzenia Konsorcjum udzieliło również wyłącznej licencji na korzystanie z wszelkich materiałów i utworów stworzonych w ramach realizacji Umowy.

Umowa weszła w życie z dniem jej podpisania i obowiązuje do czasu wykonania wszystkich zobowiązań stron z niej wynikających. Ostateczne zakończenie prac strony zaplanowały na 7.09.2026 r.

Zarząd Emitenta uznał powyższą Umowę za istotną ze względu na jej wartość oraz przedmiot, stanowiący rozszerzenie dotychczasowego portfolio usług Emitenta o obszar cyfrowych i wykorzystujących rozwiązania interaktywne, technologie 3D Real-Time oraz sztuczną inteligencję. W ocenie Zarządu realizacja Umowy może mieć znaczący wpływ na kształtowanie się sytuacji finansowej i majątkowej Spółki w przyszłości oraz może przyczynić się do uzyskania niezbędnych referencji ułatwiających nawiązywanie współpracy przy podobnych projektach.

Conclusion of a material agreement

Content: The Management Board of Carbon Studio S.A. with its registered office in Gliwice [the “Company”, the “Issuer”] hereby announces that on 10 August 2026, a consortium comprising the Issuer and Hole sp. z o.o. with its registered office in Gliwice [the “Consortium”] entered into an agreement with Centrum Kultury Victoria in Gliwice [the “Cultural Centre”], the subject of which is, in particular, the comprehensive design and implementation by the Consortium of the multimedia and interactive artistic and educational installation “Interactive Gliwice”, based on digital solutions, together with the implementation of a local, secure artificial intelligence system based on RAG architecture and Real-Time 3D engines [the “Agreement”].

Under the Agreement, the Issuer will be responsible in particular for the organisation of interactive stations, the delivery of IT solutions enabling real-time user interaction, the creation of digital characters and voice interfaces, as well as for local technology, hardware, software and their integration.

The members of the Consortium agreed on an equal share of the net remuneration for the services provided to the Cultural Centre. The Issuer’s total remuneration for the performance of the works will amount to PLN 113,150.00 net and will be paid in two instalments: the first upon execution of the Agreement and the second upon completion of the works and approval by the Cultural Centre of the report on their implementation.

Under the Agreement, the Consortium will provide 24 months of technical support and a warranty for the digital solutions delivered, enabling their subsequent use. As part of the aforementioned remuneration, the Consortium has also granted an exclusive licence to use all materials and works created in connection with the performance of the Agreement. The Agreement entered into force on the date of its execution and will remain in force until all obligations of the parties arising thereunder have been fulfilled. The parties have scheduled the final completion of the works for 7 September 2026.

The Management Board of the Issuer considered the above Agreement to be material due to its value and subject matter, which represents an expansion of the Issuer’s existing portfolio of services into the area of digital solutions utilising interactive solutions, Real-Time 3D technologies and artificial intelligence. In the opinion of the Management Board, the performance of the Agreement may have a significant impact on the Company’s financial and asset position in the future and may contribute to obtaining the necessary references facilitating cooperation on similar projects.
