| Zarząd spółki Cl Games SE z siedzibą w Warszawie („Spółka”), informuje, że w dniu 14 czerwca 2024 r. Spółka podpisała z Epic Games Inc. („Epic”) wiążące porozumienie (binding term sheet) dotyczące udzielenia przez Spółkę dla Epic prawa wyłącznej globalnej dystrybucji kolejnej części gry „Lords of the Fallen” (robocza nazwa projektu „Project 3”) („Gra”) na platformie PC przez cały cykl sprzedaży produktu (lifetime) („Binding Term Sheet”). Prawa do Gry oraz do serii, w tym wszelkie prawa autorskie (IP), w tym także prawa do wydania i globalnej dystrybucji Gry na wszystkich innych platformach, w tym na platformach PlayStation 5 oraz Xbox Series X|S, na które tworzona jest obecnie Gra, pozostaną przy Spółce. W pozostałym zakresie Binding Term Sheet przewiduje standardowe warunki rynkowe. Data premiery Gry planowana jest na 2026 r. Spółka i Epic przystąpią do uzgodnienia szczegółowej umowy wydawniczej, o zawarciu której Spółka poinformuje odrębnym raportem bieżącym. |

| Current report number:28 /2024 Date: 15 June 2024 Legal basis: Art. 17 section 1 of MAR – inside information Subject: Signing of Binding Term Sheet with Epic Games Inc. The Management Board of Cl Games SE with its registered office in Warsaw (the "Company") hereby announces that on 14 June 2024 the Company signed a binding term sheet with Epic Games Inc. ("Epic") pursuant to which the Company grants Epic the exclusive worldwide distribution rights to the sequel of the game "Lords of the Fallen" (working title: Project 3) (the "Game") on the PC platform for the entire product life cycle (the "Binding Term Sheet"). The rights to the Game and the Series, including all intellectual property rights (IP), as well as the rights to publish and distribute the Game worldwide on all other platforms, including the PlayStation 5 and Xbox Series X|S platforms for which the Game is currently in development, will remain with the Company. In other respects, the Binding Term Sheet provides for standard market terms. The game is scheduled for release in 2026. The Company and Epic will continue to negotiate a detailed publishing agreement, which the Company will announce in a separate current report.
