Zarząd Vivid Games S.A. (dalej: "Emitent", "Spółka") informuje o powzięciu informacji o dokonaniu przez Sąd Rejonowy w Bydgoszczy, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego w dniu 28 października 2021 roku wpisu połączenia spółek Vivid Games S.A. i Quasu Sp.z o.o.. O zamiarze połączenia spółek zależnych, Emitent informował w raporcie bieżącym nr 29/2021 z dnia 30 czerwca 2021 roku. Połączenie zostało dokonane na warunkach określonych w planie połączenia ww. Spółek przyjętym w dniu 29 czerwca 2021 i stosownie do przepisu art. 500 § 2(1) k.s.h. udostępnionym przez Emitenta na jego stronie internetowej. Przeprowadzenie połączenia w trybie uproszczonym (tj. bez podwyższenia kapitału zakładowego spółki przejmującej) było możliwe z uwagi na to, że Emitent posiadał 100% udziałów w Quasu sp. z o.o. Z dniem wpisu połączenia do rejestru przedsiębiorców Krajowego Rejestru Sądowego Vivid Games S.A. wstąpiła we wszystkie prawa i obowiązki Quasu Sp. z o.o.

Management Board (hereinafter: the "Issuer", "Company") informs that it has received information about the entry of the merger of Vivid Games S.A. companies by the District Court in Bydgoszcz, 13th Commercial Division of the National Court Register on October 28, 2021. and Quasu Sp.z o.o .. The Issuer informed about the intention to merge the subsidiaries in the current report No. 29/2021 of June 30, 2021. The merger was performed on the terms specified in the merger plan of the above-mentioned Companies adopted on June 29, 2021 and pursuant to Art. 500 § 2 (1) of the Commercial Companies Code made available by the Issuer on its website. Conducting the merger in a simplified manner (i.e. without increasing the share capital of the acquiring company) was possible due to the fact that the Issuer held 100% of shares in Quasu sp.z o.o.
