Zarząd XTPL S.A. [“Emitent", “Spółka", “XTPL”], w nawiązaniu do raportu bieżącego nr 3/2022 z dnia 10 stycznia 2022 r. dotyczącego zawarcia umowy o współpracy [“Umowa”] z firmą Nano Dimension Ltd. [“Nano Dimension”, “Klient”] oraz raportów bieżących nr 10/2022 z dnia 11 kwietnia 2022 r., nr 22/2022 z dnia 13 lipca 2022 r., nr 35/2022 z dnia 15 listopada 2022 r. oraz nr 14/2023 z dnia 30 marca 2023, informuje, że w dniu 13 grudnia 2023 r. został zakończony i zaakceptowany przez Klienta XTPL czwarty, i ostatni etap prac rozwojowych w ramach fazy technologicznej działań określonych w Umowie. Przychody z tytułu prac zamykających ostatni etap fazy technologicznej umowy zostaną rozpoznane w IV kwartale 2023 r. w wysokości odpowiadającej zrealizowanym pracom i wpłyną na wyniki finansowe w tym okresie.

Strony ustaliły ponadto kontynuację wspólnego definiowania kolejnych faz współpracy komercyjnej, obejmującej zlecenia nakierowane na prace związane ze wzrostem skali produkcji specjalnej formulacji tuszu przewodzącego prąd elektryczny do przemysłowych zastosowań w produktach Klienta nakierowanych na produkcję płytek PCB oraz testów u użytkowników końcowych Klienta.

Zarząd Emitenta uznał powyższy fakt za informację poufną ze względu na istotną wartość dla obecnej skali działalności, a także dla przyszłego rozwoju Spółki. Rozpoczęcie współpracy i realizacja Umowy Emitenta z partnerem przemysłowym w zakresie linii biznesowej nanotuszów stanowi również potwierdzenie dalszego potencjału komercjalizacyjnego technologii XTPL, co w dalszej perspektywie może wspierać jej wdrożenie na linie produkcyjne kolejnych globalnych graczy na rynku nowoczesnej elektroniki.

Prowadzona współpraca potwierdza także zdolność Emitenta do generowania przychodów ze sprzedaży zindywidualizowanych produktów pod potrzeby poszczególnego klienta, opartych na zaawansowanej, autorskiej technologii wytwarzania nanomateriałów dedykowanych branży elektroniki nowej generacji.

Z przyczyn wyżej opisanych informacja dotycząca realizacji części przedmiotowej Umowy, w opinii Zarządu Emitenta, spełnia kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR.

["Issuer", "Company", "XTPL"], with reference to current report No. 3/2022 dated January 10, 2022 regarding the conclusion of a cooperation agreement ["Agreement"] with Nano Dimension Ltd. ["Nano Dimension", "Customer"] and current reports No. 10/2022 dated April 11, 2022, and No. 22/2022 dated July 13, 2022, and No. 35/2022 dated November 15, 2022, and No. 14/2023 dated March 30, 2023, informs that on December 13, 2023, the fourth, and final, stage of development work within the technological phase of the activities specified in the Agreement was completed and accepted by XTPL's Customer. Revenue from work closing the final stage of the technological phase of the contract will be recognized in the fourth quarter of 2023 in the amount corresponding to the completed work and will affect financial results in this period. </p> <p dir="ltr" align="justify" style="line-height: 1.44; margin-top: 0pt; margin-bottom: 6pt"> In addition, the parties agreed to continue jointly defining the next phases of commercial cooperation, including orders directed at work related to scale-up of production of a special formulation of conductive ink for industrial applications in the Customer's products directed at PCB production and testing at the Customer's end users. </p> <p dir="ltr" align="justify" style="line-height: 1.44; margin-top: 0pt; margin-bottom: 6pt"> The Issuer's Management Board considered the above as confidential information due to its significant value for the current scale of operations, as well as for the future development of the Company. The commencement of cooperation and execution of the Issuer's Agreement with an industrial partner for the nanotube business line also confirms the further commercialization potential of XTPL technology, which in the long run may support its implementation into the production lines of more global players in the modern electronics market. </p> <p dir="ltr" align="justify" style="line-height: 1.44; margin-top: 0pt; margin-bottom: 6pt"> The ongoing cooperation also confirms the Issuer's ability to generate revenue from the sale of customized products for the needs of a particular customer, based on advanced proprietary technology for the production of nanomaterials dedicated to the next-generation electronics industry. </p> <p dir="ltr" align="justify" style="line-height: 1.44; margin-top: 0pt; margin-bottom: 6pt"> For the reasons described above, in the opinion of the Issuer's Management Board, information concerning the implementation of a part of the Agreement in question meets the criteria for confidential information within the meaning of Article 7 (1) MAR. </p> <br class="Apple-interchange-newline"> </body> </html>
