| Zarząd CIECH S.A. (dalej: „Emitent” lub „CIECH”) informuje, iż w dniu 23 lutego 2022 roku pomiędzy Emitentem, CIECH Soda Polska S.A. („dalej: „Spółka Zależna”), Budimex S.A. (dalej „Budimex”), EEW Energy from Waste GmbH (dalej: „EEW”), EEW Energy from Waste Polska sp. z o.o. (dalej: „EEW Polska”), FBSerwis S.A. (dalej: „FBSerwis”) oraz Miastem Inowrocław (dalej łącznie: „Strony”) został podpisany list intencyjny w sprawie współpracy w zakresie przygotowania warunków do podjęcia decyzji o inwestycji polegającej na budowie przez EEW, EEW Polska i FBSerwis, na nieruchomości należącej do Spółki Zależnej, instalacji do termicznego przekształcania odpadów (dalej odpowiednio: „List Intencyjny”, „Potencjalna Inwestycja”, „Instalacja”). Celem Listu Intencyjnego jest współpraca Stron w pracach nad oceną opłacalności i wykonalności, przygotowaniem warunków do podjęcia decyzji o Potencjalnej Inwestycji i budowie Instalacji. Strony będą prowadziły w dobrej wierze i atmosferze wzajemnej lojalności działania, rozmowy, spotkania, badania oraz analizy celem wyjaśnienia wszelkich kwestii technicznych, finansowych, prawnych oraz biznesowych związanych z realizacją Potencjalnej Inwestycji oraz funkcjonowaniem Instalacji. Podstawowym celem Potencjalnej Inwestycji z punktu widzenia Grupy CIECH będzie zaopatrywanie zakładu produkcyjnego Spółki Zależnej, zlokalizowanego w Inowrocławiu („Zakład Produkcyjny”), w energię cieplną (parę technologiczną). Emitent zakłada, że nawiązanie niniejszej współpracy i odbiór energii cieplnej pochodzącej z Instalacji będzie miało pozytywny wpływ na skonsolidowane wyniki finansowe Grupy CIECH poprzez obniżenie ceny energii cieplnej, stanowiącej kluczowy składnik przy produkcji sody i soli oraz docelowe obniżenie emisji CO2 przez Zakład Produkcyjny o około 300.000 ton rocznie. Potencjalna Inwestycja będzie prowadzona przez spółkę celową powołaną przez EEW i FBSerwis (dalej: „SPV”). Budimex zobowiązał się wspierać w przedsięwzięciu FBSerwis swoimi zasobami ludzkimi, technicznymi i finansowymi. Strony nie wykluczają udziału innych podmiotów w SPV. Emitent oraz Spółka Zależna nie będą brały udziału w finansowaniu Potencjalnej Inwestycji. Przewidywane uruchomienie Instalacji powinno nastąpić w 2026 roku, pod warunkiem uzyskania przez SPV niezbędnych decyzji i pozwoleń najpóźniej w 2024 roku. Strony zakładają docelowo odbiór przez Spółkę Zależną energii cieplnej w ilości około 850 GWh rocznie. Pierwsze dostawy pary technologicznej do zakładu produkcyjnego Spółki Zależnej powinny rozpocząć się na początku 2027 roku. Instalacja będzie zasilana strumieniem odpadów innych niż niebezpieczne oraz innych niż obojętne, dostarczanych przez spółkę z grupy FBSerwis. Emitent przewiduje, że współpraca dotycząca dostarczania energii cieplnej z Instalacji będzie analogiczna do rozwiązań funkcjonujących już w Grupie CIECH, gdzie podobna współpraca występuje w CIECH Soda Deutschland z dostawcą ciepła z grupy kapitałowej REMONDIS. Współpraca Stron wpisuje się w przyjętą przez Emitenta Strategię ESG Grupy dostępną pod adresem: https://esgciech.com/ i działania Grupy mające na celu: 1. zmniejszenie ilości emisji CO2 przez spółki Grupy CIECH o 33% do 2026 roku; 2. dostosowanie miksu energetycznego do zmieniających się warunków rynkowych i trendów w zakresie ochrony środowiska oraz zakładaną neutralność klimatyczną Grupy CIECH w 2040 roku oraz w Europie do 2050 roku; oraz 3.obniżenie kosztu ciepła i zwiększenie dyspozycyjność źródła ciepła w zakładach produkcyjnych Spółki Zależnej. Równocześnie Emitent, Spółka Zależna, Budimex, EEW, EEW Polska oraz FBSerwis zamierzają zakończyć współpracę prowadzoną na podstawie listu intencyjnego, zawartego w dniu 26 marca 2021 roku, w sprawie kontynuacji współpracy w zakresie budowy spalarni odpadów, która miała zaopatrywać w parę technologiczną zakład produkcyjny Spółki Zależnej w Janikowie („Zakład Produkcyjny 2”). Emitent oraz Spółka Zależna prowadzą analizy dotyczące innych rozwiązań zmierzających do obniżenia ceny ciepła i ograniczenia emisji CO2 w Zakładzie Produkcyjnym 2. W raporcie bieżącym nr 11/2020 z dnia 28 lutego 2020 roku Emitent informował o podpisaniu przez Spółkę Zależną oraz REMONDIS Energy & Services Sp. z o.o. z siedzibą w Warszawie listu intencyjnego w sprawie nawiązania współpracy w zakresie budowy w Inowrocławiu spalarni odpadów. Ten list intencyjny wygasł z uwagi na: 1. orzeczenie Trybunału Sprawiedliwości Unii Europejskiej (TSUE) (sprawa T-699/17), w którym TSUE stwierdził nieważność decyzji wykonawczej Komisji (UE) 2017/1442 z dnia 31 lipca 2017 r. ( ustanawiającej konkluzje dotyczące najlepszych dostępnych technik (BAT) w odniesieniu do dużych obiektów energetycznego spalania zgodnie z dyrektywą Parlamentu Europejskiego i Rady 2010/75/UE" co może mieć wpływ na Inwestycję i Instalację, oraz 2. brak wymogu wpisania Instalacji na listę, która miała zostać opublikowana przez Ministra właściwego do spraw środowiska. (the “<b>Issuer</b>” or “<b>CIECH</b>”) herewith informs that on 23 February 2022,a letter of intent was signed between the Issuer, CIECH Soda Polska S.A. (hereinafter referred to as the “<b>Subsidiary</b>”), Budimex S.A. (hereinafter referred to as “<b>Budimex</b>”), EEW Energy from Waste GmbH (hereinafter referred to as “<b>EEW</b>”), EEW Energy from Waste Polska sp. z o.o. (hereinafter referred to as “<b>EEW Polska</b>”), FBSerwis S.A. (hereinafter referred to as “<b>FBSerwis</b>”) and the Town of Inowrocław (hereinafter jointly referred to as the “<b>Parties</b>”), on their cooperation in the preparation of conditions for making a decision on the investment consisting in the construction by EEW, EEW Polska and FBSerwis, on the property owned by the Subsidiary (hereinafter referred to as the “<b>Property</b>”), a thermal waste treatment installation (hereinafter referred to as: the “<b>Letter of Intent</b>”, “<b>Potential Investment</b>” and “<b>Installation</b>”, respectively). </font></span> </p> <p class="MsoNormal" align="justify" style="margin-top: 0cm; margin-right: -7.5pt; margin-bottom: 11.25pt; margin-left: 0cm; line-height: normal; background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"> <span lang="EN-GB"><font color="#1B1B1B">The purpose of the Letter of Intent is the cooperation of the Parties in the work on the assessment of profitability and feasibility, preparation of conditions for making a decision on the Potential Investment and construction of the Installation. The parties will be conducting, in good faith and an atmosphere of mutual loyalty, activities, talks, meetings, research and analyses in order to clarify all technical, financial, legal and business issues related to the implementation of the Potential Investment and the operation of the Installation.</font></span> </p> <p class="MsoNormal" align="justify" style="margin-top: 0cm; margin-right: -7.5pt; margin-bottom: 11.25pt; margin-left: 0cm; line-height: normal; background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"> <span lang="EN-GB"><font color="#1B1B1B">The main objective of the Potential Investment, from the point of view of the CIECH Group, will be to supply the Subsidiary's production plant located in Inowrocław (the “<b>Production Plant</b>”) with thermal energy (process steam).</font></span> </p> <p class="MsoNormal" align="justify" style="margin-top: 0cm; margin-right: -7.5pt; margin-bottom: 11.25pt; margin-left: 0cm; line-height: normal; background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"> <span lang="EN-GB"><font color="#1B1B1B">The Issuer assumes that the establishment of this cooperation and the receipt of thermal energy from the Installation will have a positive impact on the consolidated financial results of the CIECH Group by reducing the price of thermal energy, which is a key component in the production of soda and salt, and the target reduction of CO2 emissions by the Production Plant by approximately 300.000 tonnes per annum.</font></span> </p> <p class="MsoNormal" align="justify" style="margin-top: 0cm; margin-right: -7.5pt; margin-bottom: 11.25pt; margin-left: 0cm; line-height: normal; background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"> <span lang="EN-GB"><font color="#1B1B1B">The Potential Investment will be carried out by a special purpose vehicle established by EEW and FBSerwis (hereinafter referred to as the “<b>SPV</b>”). Budimex agreed to support FBSerwis in this venture with its human, technical and financial resources. The Parties do not exclude participation of other entities in the SPV. The Issuer and the Subsidiary will not participate in financing the Potential Investment.</font></span> </p> <p class="MsoNormal" align="justify" style="margin-top: 0cm; margin-right: -7.5pt; margin-bottom: 11.25pt; margin-left: 0cm; line-height: normal; background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"> <span lang="EN-GB"><font color="#1B1B1B">The planned commissioning of the Installation should take place in 2026, provided that the SPV has obtained the necessary decisions and permits by 2024 at the latest.</font></span> </p> <p class="MsoNormal" align="justify" style="margin-top: 0cm; margin-right: -7.5pt; margin-bottom: 11.25pt; margin-left: 0cm; line-height: normal; background-color: white; background-image: null; background-repeat: repeat; background-attachment: scroll; background-position: null"> <span lang="EN-GB"><font color="#1B1B1B">The parties assume that the Subsidiary will receive heat energy in the amount of approximately 850 GWh per year. The first deliveries of process steam to the Subsidiary's production plant should start at the beginning of 2027.
