| Zarząd spółki Atlas Estates Limited ("Spółka") niniejszym informuje, iż 15 października 2013 roku została zawarta Umowa Zmieniająca do Umów Kredytów opisanych w prospekcie emisyjnym ("Umowa Zmieniająca") pomiędzy spółkami zależnymi od Spółki - Atlas Estates (Millennium) Sp. z o.o. z siedzibą w Warszawie (“Millennium"), Ligetvaros Kereskedelmi es Szolgaltato Központ Kft z siedzibą w Budapeszcie (“Ligetvaros"), Atlas Solaris S.R.L. z siedzibą w Bukareszcie (“Solaris"), World Real Estate S.R.L. z siedziba w Bukareszcie (“Voluntari"), Atlas Estates (Moszkva) Ingatlanforgalmazó Kft. z siedzibą w Bukareszcie (“Moszkva"), Vàrosliget Center Ingatlanhasznosító Kft. z siedzibą w Bukareszcie (“Varosliget") i Atlas Estates Investment B.V. z siedzibą w Amsterdamie (“AEI BV") oraz Erste Group Bank AG z siedzibą w Wiedniu (“Bank"). Celem Umowy Zmieniającej jest: a)wydłużenie do dnia 31 grudnia 2015 r. wymagalności następujących umów kredytów: (i)umowy kredytu zawartej pomiędzy Bankiem oraz Millennium w dniu 21 grudnia 2006 r. z późniejszymi zmianami; (ii)umowy kredytu zawartej pomiędzy Bankiem a Ligetvaros w dniu 19 grudnia 2003 r. z późniejszymi zmianami; (iii)umowy kredytu zawartej pomiędzy Bankiem a Solaris w dniu 20 września 2007 r.; (iv)umowy kredytu zawartej pomiędzy Bankiem oraz Voluntari w dniu 25 lutego 2009 r., (łącznie zwane dalej "Umowami Kredytu"); b)zmiana marży w Umowach Kredytu do poziomu określonego w Umowie Zmieniającej; c)zmiana zabezpieczeń istniejących zgodnie z Umowami Kredytów; d)ustanowienie nowych zabezpieczeń: (i)nowe oświadczenia o poddaniu się egzekucji przez Millennium w związku z pożyczką, gwarancją, hipotekami oraz zastawem rejestrowym; (ii)nowe oświadczenie o poddaniu się egzekucji przez AEI BV w związku z pożyczką oraz gwarancją; (iii)w odniesieniu do Varosliget: - nowa umowa o ustanowienie hipoteki; - nowa umowa zastawu na udziałach; - nowy zastaw lub umowa przelewu wierzytelności; - nowy zastaw na rachunkach bankowych; (iv)w odniesieniu do Moszkva: - nowa umowa o ustanowienie hipoteki; - nowa umowa zastawu na udziałach; - nowy zastaw lub umowa przelewu wierzytelności; - nowy zastaw na rachunkach bankowych Podstawa prawna: artykuł 56 paragraf 1 punkt 1) ustawy z dnia 29 lipca 2005r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (t.j. Dz. U. 2009 r., Nr 185, poz. 1439). Execution of an amendment to material agreement with Erste Group Bank AG The Management Board of Atlas Estates Limited (the “Company") hereby notifies that on 15 October 2013 an Agreement on the Amendment of Facility Agreements described in the prospectus (the “Amendment") was signed between the Company’s subsidiaries Atlas Estates (Millennium) Sp. z o.o. with its registered seat in Warsaw (“Millennium"), Ligetvaros Kereskedelmi es Szolgaltato Központ Kft with its registered seat in Budapest (“Ligetvaros"), Atlas Solaris S.R.L. with its registered seat in Bucharest (“Solaris"), World Real Estate S.R.L. with its registered seat in Bucharest (“Voluntari"), Atlas Estates (Moszkva) Ingatlanforgalmazó Kft. with its registered seat in Bucharest (“Moszkva"), Vàrosliget Center Ingatlanhasznosító Kft. with its registered seat in Bucharest (“Varosliget"), Atlas Estates Investment B.V. with its registered seat in Amsterdam (“AEI BV") and Erste Group Bank AG with its registered seat in Vienna (“Bank"). The purpose of the Amendment is to: a)extend by 31 December 2015 the maturity of the following facility agreements: (i)facility agreement entered into between the Bank and Millennium on 21 December 2006 as amended; (ii)facility agreement entered into between the Bank and Ligetvaros on 19 December 2003 as amended; (iii)facility agreement entered into between the Bank and Solaris on 20 September 2007; (iv)facility agreement entered into between the Bank and Voluntari on 25 February 2009, (jointly referred as to the “Facility Agreements"); b)change the margin under the Facility Agreements as defined in the Amendment; c)change of securities existing pursuant to the Facility Agreements; d)establish the following new securities: (i) new deeds on enforcement approval by Millennium in regard of the loan, the guarantee, the mortgages and registered asset pledge; (ii) new deed on enforcement approval by AEI BV in regard of the loan and the guarantee; (iii) with respect to Varosliget: - new mortgage agreement; - new share pledge agreement; - new pledge or security assignment agreement over receivables; - new pledge agreement over bank accounts; (iv) with respect to Moszkva - new mortgage agreement; - new share pledge agreement; - new pledge or security assignment agreement over receivables; - new pledge agreement over bank accounts.
