| Zarząd Polskiego Górnictwa Naftowego i Gazownictwa SA („PGNiG”, „Spółka”), w uzupełnieniu raportu bieżącego nr 59/2020 z dnia 10 listopada 2020 r. przekazuje dodatkowe informacje dotyczące Pana Pawła Jana Majewskiego, powołanego na stanowisko Prezesa Zarządu PGNiG. Paweł Jan Majewski Absolwent Wydziału Prawa i Administracji Uniwersytetu Jagiellońskiego oraz studiów podyplomowych Executive Master of Business Administration (MBA) na Wyższej Szkole Menadżerskiej w Warszawie. Menadżer z wieloletnim doświadczeniem w zarządzaniu spółkami kapitałowymi, w tym także z udziałem Skarbu Państwa. Pełnił funkcję prezesa Zarządu Grupy LOTOS S.A., wiceprezesa Zarządu Huty Stalowa Wola S.A., członka Zarządu w DO & CO Poland Sp. z o.o. oraz prezesa Zarządu Airport Cleaning Service Sp. z o.o. Posiada również długoletnie doświadczenie zawodowe na kierowniczych stanowiskach m.in. w PETROLOT Sp. z o.o. (obecnie ORLEN Aviation Sp. z o.o.), a także jako dyrektor Pionu Zarządzania Marżą Zmienną i Produkcją w PGNiG TERMIKA S.A. Członek Rady Nadzorczej Polskiego Holdingu Nieruchomości S.A. Ponadto, zasiadał w radach nadzorczych m.in.: ZEM Łabędy Sp. z o.o., Jelcz Sp. z o.o. oraz Lotniczy Catering Service Sp. z o.o. Pan Paweł Jan Majewski oświadczył, że nie wykonuje działalności konkurencyjnej w stosunku do działalności wykonywanej w Spółce, nie jest wspólnikiem konkurencyjnej spółki cywilnej lub osobowej, nie jest też członkiem organów konkurencyjnych spółek kapitałowych, a także nie figuruje w Rejestrze Dłużników Niewypłacalnych prowadzonym na podstawie ustawy o KRS. |

| Warsaw, November 12th 2020 Appointment of Mr. Paweł Majewski for the position of the President of the Management Board of PGNiG SA – supplementary information to the Current Report No. 59/2020 Current Report No. 60/2020 As a supplement to the Current Report No. 59/2020 of November 10th 2020, the Management Board of Polskie Górnictwo Naftowe i Gazownictwo S.A. (“PGNiG”, the “Company”) hereby provides additional information about Mr. Paweł Jan Majewski appointed for the position of the President of the PGNiG’s Management Board. Paweł Jan Majewski A graduate of the Faculty of Law and Administration of the Jagiellonian University. He completed a postgraduate Executive Master of Business Administration (MBA) programme at Warsaw Management University. A manager with many years of experience in managing corporations, including state-owned companies. He has served as President of the Management Board of Grupa LOTOS S.A., Vice President of the Management Board of Huta Stalowa Wola S.A., Member of the Management Board of DO & CO Poland Sp. z o.o. and President of the Management Board of Airport Cleaning Service Sp. z o.o. He has many years of professional experience in leadership roles, for instance at PETROLOT Sp. z o.o. (currently ORLEN Aviation Sp. z o.o.), and as Director of the Variable Margin and Production Management Division at PGNiG TERMIKA S.A. A member of the Supervisory Board of Polski Holding Nieruchomości S.A. He has served on the supervisory boards of ZEM Łabędy Sp. z o.o., Jelcz Sp. z o.o., Lotniczy Catering Service Sp. z o.o., and other companies. Mr Paweł Jan Majewski have represented that he is not engaged in any other activities competing with the Company’s business, he is not partner in any civil-law partnership or other type of partnership, or member of the governing body of any company competing with the Company, and is not entered in the Register of Insolvent Debtors maintained under the National Court Register Act. |
