| Zarząd Genomtec S.A. („Emitent”, „Spółka”) informuje, że w dniu dzisiejszym tj. 27 czerwca 2022 r. podpisał umowę („Umowa”) z ForLab SA, dystrybutorem mającym siedzibę na terytorium Belgii (”Kontrahent”) na dostarczenie flagowego produktu Genomtec® ID („Produkt”). Na mocy Umowy, po dokonaniu przez Kontrahenta wstępnej penetracji rynku dla Produktu zostaną ustalone minimalne wartości zakupu analizatorów oraz kart reakcyjnych w okresach kwartalnych. Kontrahent będzie miał prawo wyłączności dystrybucyjnej na terytorium Belgii, Holandii i Luksemburga. Jednocześnie na mocy umowy Kontrahent nie podejmie współpracy w zakresie sprzedaży innych, podobnych urządzeń na terenie powyżej wspomnianych krajów. Pozostałe postanowienia Umowy nie odbiegają od typowych warunków dla tego rodzaju transakcji. Kontrahent specjalizuje się w imporcie i dystrybucji produktów diagnostyki klinicznej oraz uradzeń laboratoryjnych i odczynników z całego świata do Belgii, Holandii i Luksemburga. Firma została założona w 1982 roku, a jej główna siedziba mieści się w Brukseli. Klienci Kontrahenta to przede wszystkim laboratoria szpitali akademickich oraz mniejszych jednostek leczniczych, uniwersytety, instytuty weterynaryjne, laboratoria rządowe, kontraktowe organizacje badawcze, firmy farmaceutyczne i biotechnologiczne. Zarząd Spółki uznał fakt zawarcia Umowy za informację poufną, ponieważ Kontrahent zadeklarował, iż w po przeprowadzeniu wstępnej penetracji rynku dla Produktu, gotów będzie zadeklarować wiążące wolumeny zakupu, a zatem istnieją przesłanki, że realizacja ww. Umowy może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, jak również na popularyzację technologii i Produktu Spółki.Z tego względu, informacja ta w opinii Zarządu spełnia kryteria informacji poufnej w rozumieniu Art. 17 ust. 1 MAR. |

| Signing a commercial agreement for distribution of Genomtec® IDThe Management Board of Genomtec S.A. ("Issuer", "Company") announces that today, i.e., 27 June 2022, it signed an agreement (the "Agreement") with ForLab SA, a distributor based in Belgium ("Contractor") for the supply of its flagship product Genomtec® ID ("Product"). Under the Agreement, the minimum purchase values for the analyser and reaction cards will be established on a quarterly basis after the Contracting Party conducts an early market adoption assessment for the Product. The Contracting Party will have the right to exclusive distribution in Belgium, The Netherlands and Luxembourg. At the same time, pursuant to the Agreement, the Contracting Party shall not undertake cooperation within the scope of sale of other, similar devices on the territory of the abovementioned countries. The remaining provisions of the Agreement do not differ from typical conditions for this type of transactions.The contracting Party is a trustworthy company specializing in the import and distribution of diagnostics, medical devices, and life science reagents from worldwide suppliers into Belgium, The Netherlands and Luxembourg. The company was founded in 1982 and is headquartered in Brussels. It sells to customers based in laboratories of large teaching hospitals and smaller healthcare facilities, universities, veterinary institutes, governmental laboratories, contract research organizations, pharmaceutical and biotech companies.The Management Board of the Company considered the conclusion of the Agreement to be confidential information, because the Contracting Party declared that after an early market adoption assessment for the Product it would be ready to declare binding purchase volumes, thus there are indications that the execution of the aforementioned Agreement may have a significant impact on the Issuer's future revenue situation, as well as on the popularisation of the Company's technology and Product.Therefore, in the opinion of the Management Board, this information meets the criteria of confidential information within the meaning of Article 17.1 MAR. |
