| Zarząd CIECH S.A. („Emitent” lub „Spółka”) informuje, że w dniu 11 stycznia 2021 roku Zarząd powziął informację o spełnieniu się wszystkich warunków zawieszających, w tym warunku uzyskania przez LERG S.A. zgody UOKiK na przeprowadzenie koncentracji, określonych w przedwstępnej umowie zbycia udziałów CIECH Żywice Sp. z o.o. zawartej z LERG S.A. z siedzibą w Pustków-Osiedle dotyczącej zbycia 74.677 udziałów, stanowiących 100% udziałów w kapitale zakładowym Ciech Żywice Sp. z o.o. (odpowiednio „CIECH Żywice”, „Umowa Przedwstępna” oraz „Transakcja”). Zamknięcie Transakcji i rozliczenie ceny sprzedaży planowane jest na koniec lutego 2021 roku, chyba że strony Transakcji uzgodnią inny termin. Niniejszy raport bieżący nawiązuje do raportu bieżącego nr 34/2018 z dnia 5 grudnia 2018 roku, w którym Spółka informowała o przyjęciu Strategii Grupy CIECH na lata 2019-2021, raportu bieżącego nr 8/2019 z dnia 19 marca 2019 roku, w którym Spółka poinformowała o rozpoczęciu szczegółowego przeglądu opcji zmian w strukturze korporacyjno-organizacyjnej oraz w strukturze aktywów Grupy CIECH, raportu bieżącego nr 42/2019 z dnia 11 października 2019 roku, w którym Spółka poinformowała o rozpoczęciu przeglądu opcji strategicznych w odniesieniu do obszaru biznesowego Żywice, raportu bieżącego nr 45/2019 z dnia 31 października 2019 roku, w którym Spółka informowała o przyjęciu przez spółki bezpośrednio zależne od Emitenta, CIECH Sarzyna S.A. („CIECH Sarzyna”) oraz CIECH Żywice, planu podziału CIECH Sarzyna poprzez przeniesienie obszaru biznesowego Żywice do CIECH Żywice, raportu bieżącego nr 47/2019 z dnia 25 listopada 2019 roku dotyczącego przyjęcia koncepcji reorganizacji Grupy CIECH, raportu bieżącego nr 1/2020 z dnia 2 stycznia 2020 roku dotyczącego rejestracji podziału CIECH Sarzyna, raportu bieżącego nr 26/2020 z dnia 20 lipca 2020 roku dotyczącego ujawnienia opóźnionej informacji poufnej w sprawie rozpoczęcia negocjacji z potencjalnym inwestorem w przedmiocie sprzedaży CIECH Żywice oraz raportu bieżącego nr 27/2020 z dnia 20 lipca 2020 roku, w którym Spółka poinformowała o zawarciu z LERG S.A. z siedzibą w Pustków-Osiedle Umowy Przedwstępnej za zgodą Rady Nadzorczej Emitenta, podjętej 20 lipca 2020 roku. |

| MESSAGE (ENGLISH VERSION) | |||
| The Management Board of CIECH S.A. (the “Issuer” or “Company”) herewith informs that on 11 January 2021, the Management Board was advised on the fulfilment of all conditions precedent, including the condition for LERG S.A. to obtain consent of the UOKiK (Office of Competition and Consumer Protection) to carry out the concentration, as specified in the preliminary agreement for the sale of shares in CIECH Żywice Sp. z o.o., concluded with LERG S.A. with its registered office in Pustków-Osiedle, and regarding the sale of 74,677 shares, accounting for 100% of shares in the share capital of Ciech Żywice Sp. z o.o. (“CIECH Żywice”, the “Preliminary Agreement” and the “Transaction” respectively). The scheduled date for closing the Transaction and settling the sale price is the end of February 2021, unless the parties to the Transaction agree otherwise. This Current Report makes reference to Current Report No. 34/2018 of 5 December 2018, in which the Company informed on the adoption of the Strategy, Current Report No. 8/2019 of 19 March 2019, in which the Company informed on the commencement of a detailed review of options for changes in the corporate and organisational structure and in the structure of assets of the CIECH Group, Current Report No. 42/2019 of 11 October 2019, in which the Company advised on the commencement of the review of strategic options, relevant to the Resins business area, Current Report No. 45/2019 of 31 October 2019, in which the Company informed on the adoption by the Issuer's direct subsidiaries, CIECH Sarzyna S.A. (“CIECH Sarzyna”) and CIECH Żywice of a plan of the division of CIECH Sarzyna by transferring the Resins business area to CIECH Żywice, Current Report No. 47/2019 of 25 November 2019 on the adoption of the concept of reorganisation of the CIECH Group, Current Report No. 1/2020 of 2 January 2020 on the registration of the division of CIECH Sarzyna, and Current Report No. 26/2020 of 20 July 2020 on the disclosure of delayed inside information on the commencement of negotiations with a perspective investor for the sale of CIECH Żywice, and Current Report No. 27/2020 of 20 July 2020, in which the Company informed on the conclusion of the Preliminary Agreement, following the consent of the Supervisory Board of the Issuer given on 20 July 2020, with LERG S.A. with its registered office in Pustków-Osiedle.
