The Management Board of BTCS Spółka Akcyjna, with its registered office in Warsaw, at Plac Powstańców Warszawy 2, 00-030 Warsaw, entered in the Register of Entrepreneurs of the National Court Register under number KRS 0000390734, with ISIN code: PLVKMTK00015 and LEI code: 259400F1ML9OGF3R9703 (the “Issuer”), in connection with the allotment of 22,433,199 series F shares, has also adopted the consolidated text of the Articles of Association.
Pursuant to Article 441 § 2(7) of the Polish Commercial Companies Code, the share capital specified in § 6 of the Articles of Association has been determined at PLN 19,216,599.50 (nineteen million two hundred sixteen thousand five hundred ninety-nine zloty and fifty groszy), divided into 38,433,199 (thirty-eight million four hundred thirty-three thousand one hundred ninety-nine) shares with a nominal value of PLN 0.50 (fifty groszy) each.
This change is subject to registration by the registry court. The consolidated text of the Issuer’s Articles of Association, adopted on 15 October 2025, is attached hereto.
