| Rada Dyrektorów Play Communications S.A. („Spółka”) niniejszym informuje, że następujący członkowie Rady Dyrektorów Spółki złożyli rezygnacje ze swoich stanowisk ze skutkiem od dnia 18 listopada 2020 r.: • Pan Bruce Graham McInroy – ze stanowiska Przewodniczącego Rady Dyrektorów, • Pan Serdar Çetin – ze stanowiska członka Rady Dyrektorów, • Pan Patrick Tillieux – ze stanowiska członka Rady Dyrektorów, • Pan Ioannis Karagiannis – ze stanowiska członka Rady Dyrektorów, • Pan Vasileios Billis – ze stanowiska członka Rady Dyrektorów, • Pan Rouben Bourlas – ze stanowiska członka Rady Dyrektorów. Spółka ogłasza również, że w ramach kooptacji do Rady Dyrektorów zostały powołane następujące osoby, które począwszy od 18 listopada 2020 r. będą pełnić następujące funkcje w Radzie Dyrektorów Spółki do czasu kolejnego Walnego Zgromadzenia Akcjonariuszy Spółki: • Pani Camille Perrin – jako Dyrektor klasy B Camille Perrin jest Dyrektorem ds. Marketingu Grupy iliad. Przed dołączeniem do iliad w 2008 roku, Camille rozpoczęła swoją karierę w Sara Lee, by następnie pracować przy tworzeniu start-upu specjalizującego się w druku cyfrowych zdjęć online. W 2001 roku przeniosła się do sektora telekomunikacyjnego, gdzie zajmowała kolejne stanowiska kierownicze w działach marketingu LibertySurf, Tiscali i Alice. Camille ukończyła studia magisterskie w zakresie zarządzania oraz studia podyplomowe z zakresu marketingu na Uniwersytecie Paris Dauphine. • Pan Nicolas Jaeger – jako Dyrektor klasy B Nicolas Jaeger jest Dyrektorem Finansowym Grupy iliad. Z iliad jest związany od 2007 roku, pełniąc najpierw funkcję Szefa Działu Relacji Inwestorskich, a następnie Skarbnika Grupy, został Dyrektorem Finansowym. Od maja 2018 r. jest Dyrektorem Finansowym Grupy, odpowiedzialnym również za rozwój działalności. Przed dołączeniem do iliad, Nicolas pracował przez pięć lat w Crédit Agricole CIB, jako Analityk Kredytowy, a następnie jako Menedżer ds. Relacji odpowiedzialny za sektor TMT. Jest członkiem Zarządu TRM (Telecom Réunion Mayotte). Jest absolwentem szkoły biznesu EDHEC i posiada tytuł magistra finansów Uniwersytetu Strathclyde w Glasgow. • Pani Shahrzad Sharvan – jako Dyrektor klasy B Shahrzad Sharvan jest Szefem Działu Prawnego Grupy iliad. Na tym stanowisku jest odpowiedzialna za prowadzenie wszystkich korporacyjnych spraw Grupy. Jest również Sekretarzem Zarządu iliad oraz Komitetu ds. Wynagrodzeń i Komitetu ds. Nominacji, a także zajmuje się kwestiami zarządzania i zgodności z regulacjami Grupy. Shahrzad rozpoczęła swoją karierę w Lovells LLP, przed dołączeniem do iliad w 2009 roku. Zanim w 2018 roku została mianowana Zastępcą Szefa Działu Prawnego, zajmowała różne stanowiska w Dziale Prawnym iliad. Shahrzad jest prawnikiem z uprawnieniami do wykonywania zawodu i posiada tytuł DJCE nadany w Montpellier, ukończyła także podyplomowe studia z zakresu prawa spółek i podatków na Uniwersytecie Paris II oraz posiada tytuł magistra finansów szkoły biznesu ESCP (Paryż). • Pan Thomas Reynaud – jako Dyrektor klasy C Thomas Reynaud jest Dyrektorem Generalnym Grupy iliad. W 2007 roku dołączył do iliad, z zadaniem strukturyzacji wzrostu Grupy. Początkowo pełnił funkcję Szefa ds. Rozwoju Działalności, następnie w 2008 roku został Dyrektorem Finansowym, a w 2010 roku Starszym Wiceprezesem. Od maja 2018 r. jest Dyrektorem Generalnym Grupy. Thomas rozpoczął karierę w Nowym Jorku w 1997 roku. Następnie został Dyrektorem Zarządzającym ds. Sektora Telekomunikacji i Mediów w Société Générale, gdzie doradzał europejskim przedsiębiorstwom w zakresie rozwoju ich działalności, w tym iliad w czasie pierwszej oferty publicznej jej akcji. Jest członkiem Zarządu Fundacji Mozaïk, aktywnie wspiera stowarzyszenie ScholaVie, prowadzące kampanie na rzecz pozytywnej edukacji szkolnej, a także jest partnerem kilku innowacyjnych przedsięwzięć w sektorze rolno-spożywczym. Pasjonat historii, a zwłaszcza rewolucji francuskiej, Thomas jest absolwentem szkoły biznesu HEC (Paryż) i Uniwersytetu Nowojorskiego. • Pan Nicolas Thomas – jako Dyrektor klasy C Nicolas Thomas jest Dyrektorem Operacyjnym i członkiem Zarządu iliad Italia - włoskiej spółki należącej do Grupy iliad. Z Grupą iliad współpracuje od ponad dziesięciu lat. W 2016 roku z powodzeniem przyczynił się do uzyskania zgody organów UE na wejście Grupy na włoski rynek telefonii komórkowej w ramach pakietu naprawczego zaproponowanego Komisji Europejskiej. Od tego czasu zwiększał on know-how i wiedzę specjalistyczną Grupy w zakresie prowadzenia działalności, inwestowania i innowacji na rynku włoskim. Przed objęciem stanowiska w iliad Italia, Nicolas uczestniczył w uruchomieniu działalności Grupy iliad w zakresie telefonii komórkowej we Francji oraz wniósł wkład w jej rozwój, treść i działalność zakupową. Nicolas był wcześniej konsultantem w Roland Berger (Paryż), co poprzedziła praca w Unibail-Rodamco. Nicolas jest absolwentem szkoły biznesu HEC (Paryż). • Pan Maxime Lombardini – jako Dyrektor klasy C Maxime Lombardini jest Wiceprzewodniczącym Rady Dyrektorów iliad. Karierę zawodową rozpoczął w 1989 roku w grupie Bouygues, gdzie pełnił kolejno funkcje Sekretarza Generalnego TPS (telewizji satelitarnej), Dyrektora ds. Rozwoju TF1 i Dyrektora Generalnego TF1 Production. Następnie, od 2007 do 2018 roku, pełnił funkcję Dyrektora Generalnego Grupy iliad. W dniu 21 maja 2018 r. Maxime został powołany na stanowisko Przewodniczącego Rady Dyrektorów iliad. Od 16 marca 2020 r. pełni funkcję Wiceprzewodniczącego Rady Dyrektorów, współpracując z Xavierem Niel. Maxime jest absolwentem Sciences Po Paris i ukończył studia podyplomowe z zakresu prawa gospodarczego i podatkowego na Uniwersytecie Paris II. |

| 18 November 2020 40/2020 Changes in the Board of Directors of Play Communications S.A. The Board of Directors of Play Communications S.A. (the “Company”) hereby reports that the following members of the Board of Directors of the Company resigned from their positions with effect as from 18 November 2020: • Mr. Bruce Graham McInroy – from the position of Chairman of the Board of Directors, • Mr. Serdar Çetin – from the position of member of the Board of Directors, • Mr. Patrick Tillieux – from the position of member of the Board of Directors, • Mr. Ioannis Karagiannis – from the position of member of the Board of Directors, • Mr. Vasileios Billis – from the position of member of the Board of Directors, • Mr. Rouben Bourlas – from the position of member of the Board of Directors. The Company further announces that the following persons have been appointed to the Board of Directors by way of co-optation and from 18 November 2020 will hold the following positions in the Board of Directors of the Company for the period ending with the next general meeting of the Company,: • Ms. Camille Perrin – as Class B Director Camille Perrin is Chief Marketing Officer of the iliad Group. Before joining iliad in 2008, Camille began her career at Sara Lee and then moved on to work on the launch of a start-up specialized in online digital photo printing. She subsequently entered the telecoms sector in 2001, successively holding managerial posts in the marketing departments of LibertySurf, Tiscali and Alice. Camille holds a Master's degree in Management Science and a post-graduate degree in Marketing from Paris Dauphine University. • Mr. Nicolas Jaeger – as Class B Director Nicolas Jaeger is Chief Financial Officer of the iliad Group. He has been with iliad since 2007, serving first as Head of Investor Relations and then Group Treasurer before becoming CFO. He has been the Group’s Chief Financial Officer, also in charge of business development, since May 2018. Before joining iliad, Nicolas worked for five years at Crédit Agricole CIB, as a Credit Analyst and then as Relationship Manager in charge of the TMT sector. He is a Board member of TRM (Telecom Réunion Mayotte). He is a graduate of EDHEC business school and holds a Master's degree in finance from the University of Strathclyde in Glasgow. • Mrs. Shahrzad Sharvan – as Class B Director Shahrzad Sharvan is General Counsel of the iliad Group. In this role, she is responsible for handling all the Group’s corporate legal affairs. She is also the Secretary of iliad’s Board of Directors and of the Compensation and Nominations Committees, and works on governance and compliance issues for the Group. Shahrzad began her career at Lovells LLP before joining iliad in 2009. She held various positions in iliad's Legal Affairs Department before being appointed Deputy General Counsel in 2018. Shahrzad is a qualified lawyer and holds a DJCE from Montpellier, as well as a post-graduate degree in corporate law and tax from Paris II University and a Masters in Finance from ESCP business school (Paris). • Mr. Thomas Reynaud – as Class C Director Thomas Reynaud is Chief Executive Officer of the iliad Group. He joined iliad in 2007, tasked with structuring the Group’s growth. He first served as Head of Business Development before becoming Chief Financial Officer in 2008 and then a Senior Vice-President in 2010. He has been the Group’s Chief Executive Officer since May 2018. Thomas began his career in New York in 1997. He then went on to become Managing Director in charge of the Telecoms and Media sector at Société Générale, where he advised European companies on their business development, and notably iliad at the time of its IPO. He is a Board member of the Mozaïk Foundation, an active supporter of the ScholaVie association which campaigns for positive schooling, and a partner of several innovative ventures in the agri-food sector. Passionate about history and the French Revolution in particular, Thomas is a graduate of HEC business school (Paris) and New York University. • Mr. Nicolas Thomas – as Class C Director Nicolas Thomas is Chief Operating Officer and a Board Member of iliad Italia – the iliad Group’s Italian subsidiary. He has worked with the iliad Group for more than ten years. In 2016, he successfully contributed to EU clearance of the Group’s entry into the Italian mobile market as part of the remedy package proposed to the EU Commission. Since then he has driven the Group’s know-how and expertise in operating, investing and innovating in the Italian market. Prior to his role at iliad Italia, Nicolas took part in the launch of the iliad Group’s mobile business in France and participated in its development, content and purchasing activities. Nicolas was formerly a consultant with Roland Berger (Paris), before which he worked at Unibail-Rodamco. Nicolas is a graduate of HEC business school (Paris). • Mr. Maxime Lombardini – as Class C Director Maxime Lombardini is Vice-Chairman of iliad’s Board of Directors. He began his career in 1989 with the Bouygues group, where he held successive positions as General Secretary of TPS (satellite television), Development Director of TF1 and Chief Executive Officer of TF1 Production. He then served as Chief Executive Officer of the iliad Group from 2007 through 2018. On May 21, 2018, Maxime was appointed as Chairman of iliad's Board of Directors. Since March 16, 2020 he has held the role of Vice-Chairman of the Board of Directors, working alongside Xavier Niel.
