| Na podstawie § 5 ust.1 pkt 22 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz.U. z 2014 poz.133), Zarząd Orange Polska S.A.(„Orange Polska”) informuje o powołaniu osób zarządzających. Mariusz Gaca, Maciej Nowohoński oraz Jacek Kowalski powołani na kolejne kadencje do Zarządu Orange Polska. W dniu 7 lutego 2017 roku: Rada Nadzorcza Orange Polska powołała panów: Mariusza Gaca, Macieja Nowohońskiego oraz Jacka Kowalskiego na stanowiska członków Zarządu, na kolejne kadencje. Powołanie zostało dokonane przed upływem obecnej kadencji. Kadencje rozpoczną się w dniu najbliższego Zwyczajnego Walnego Zgromadzenia zatwierdzającego sprawozdanie finansowe Orange Polska za 2016 rok i potrwają trzy lata. Pan Mariusz Gaca pełni funkcję Wiceprezesa Zarządu Orange Polska ds. Rynku Konsumenckiego, Pan Maciej Nowohoński pełni funkcję Członka Zarządu Orange Polska ds. Finansów, a Pan Jacek Kowalski pełni funkcję Członka Zarządu Orange Polska ds. Zasobów Ludzkich. Mariusz Gaca (ur. 1973) od stycznia 2017 r. pełni funkcję Wiceprezesa Zarządu ds. Rynku Konsumenckiego jest również przewodniczącym Komisji Etyki Orange Polska. Od listopada 2013 roku był Wiceprezesem Zarządu ds. Rynku Biznesowego. Od 2011 roku jest również Wiceprezydentem Pracodawców RP oraz Przewodniczącym Polskiej Sekcji BIAC przy OECD. Od 2013 jest członkiem Koalicji Prezesi - Wolontariusze aktywnie angażując się w działania wolontariackie i promując zasady społecznej odpowiedzialności biznesu. Karierę zawodową rozpoczął w Grupie Elektrim, gdzie w latach 1995-2000 współtworzył biznes plany lokalnych operatorów telekomunikacyjnych. Od 2001 roku pracował w Grupie TP (Telekomunikacja Polska) jako Dyrektor Pionu Multimediów i był odpowiedzialny za rozwój oferty dostępu do Internetu dla rynku klientów indywidualnych. W latach 2005 - 2009 odpowiadał za rynek biznesowy Grupy TP. Od 2009 roku pełnił funkcję Dyrektora Wykonawczego Grupy TP w sprzedaży i obsłudze klienta oraz Prezesa Zarządu PTK Centertel (operatora telefonii komórkowej Grupy TP), którą pełnił do połączenia PTK Centertel z TP. Jest absolwentem Akademii Techniczno-Rolniczej w Bydgoszczy oraz Uniwersytetu Warszawskiego, posiada również dyplomy MBA University of Illinois at Urbana Champaign oraz AMP z INSEAD. Zgodnie ze złożonym oświadczeniem pan Mariusz Gaca nie prowadzi działalności konkurencyjnej wobec Orange Polska, nie uczestniczy w spółce konkurencyjnej wobec Orange Polska jako wspólnik spółki jawnej, spółki osobowej ani jako członek organu spółki kapitałowej, bądź jako członek organu w innej konkurencyjnej osobie prawnej. Nie został wpisany do rejestru Dłużników Niewypłacalnych prowadzonego na podstawie Ustawy o KRS. Maciej Nowohoński (ur. 1973) od marca 2014 r. jest Członkiem Zarządu Orange Polska ds. Finansów. Zasiada również w radach nadzorczych wybranych spółek Grupy Orange Polska. Z Orange Polska związany jest od 2003 roku. W tym czasie pełnił funkcje w obszarze finansów, m.in.: Kontrolera Grupy Orange Polska w latach 2006-2014. W latach 2010-2011 zajmował także stanowisko Członka Zarządu w spółce Emitel. Natomiast w latach 2011-2013 był Członkiem Zarządu ds. Finansów w spółce PTK Centertel. Przed dołączeniem do zespołu Orange pracował między innymi w Arthur Andersen i Andersen Business Consulting. Jest absolwentem kierunku Handel Zagraniczny Uniwersytetu Ekonomicznego w Poznaniu oraz szkoły biznesu Hogeschool van Arnhem en Nijmegen w Holandii. Zgodnie ze złożonym oświadczeniem pan Maciej Nowohoński nie prowadzi działalności konkurencyjnej wobec Orange Polska, nie uczestniczy w spółce konkurencyjnej wobec Orange Polska jako wspólnik spółki jawnej, spółki osobowej ani jako członek organu spółki kapitałowej, bądź jako członek organu w innej konkurencyjnej osobie prawnej. Nie został wpisany do rejestru Dłużników Niewypłacalnych prowadzonego na podstawie Ustawy o KRS. Jacek Kowalski (ur. 1964) od stycznia 2011 r. na stanowisku Członka Zarządu ds. Zasobów Ludzkich w Orange Polska. Wcześniej, od 2009 roku Dyrektor Wykonawczy Telekomunikacji Polskiej (obecnie Orange Polska) ds. Zasobów Ludzkich. Związany z firmą od ponad 10 lat. Swoją karierę w Grupie rozpoczynał w 2001 w PTK Centertel na stanowisku Menedżera Human Resources dla Sprzedaży i Marketingu. Od 2005 r. był Dyrektorem Pionu Zarządzania Kompetencjami i Rozwojem Pracowników. Wcześniej Dyrektor Szkoły Przedsiębiorczości i Kadr w Infor Training (Grupa Wydawnicza Infor) oraz Dyrektor Centralnego Ośrodka Doskonalenia Nauczycieli odpowiedzialny za wdrażanie programów szkoleniowych wspierających rozwój edukacji w Polsce. Jest także członkiem Rady Programowej Polskiego Stowarzyszenia Zarządzania Kadrami, PTE oraz nieformalnej grupy Human Explorers. Ukończył Wydział Historii Uniwersytetu Warszawskiego oraz Studia Podyplomowe Kierowania Instytucjami Samorządowymi i Organizacjami Pozarządowymi również na Uniwersytecie Warszawskim. Zgodnie ze złożonym oświadczeniem pan Jacek Kowalski nie prowadzi działalności konkurencyjnej wobec Orange Polska, nie uczestniczy w spółce konkurencyjnej wobec Orange Polska jako wspólnik spółki jawnej, spółki osobowej ani jako członek organu spółki kapitałowej, bądź jako członek organu w innej konkurencyjnej osobie prawnej. Pursuant to art. 5, clause 1, item 22 of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and the terms governing recognition of information required by the laws of a non-member state as equivalent information (Journal of Laws of 2014, item 133), the Management Board of Orange Polska S.A. (“Orange Polska ”) informs about appointment of managing persons. Mariusz Gaca, Maciej Nowohoński and Jacek Kowalski reappointed for new terms of office to the Orange Polska Management Board On February 7, 2017: the Supervisory Board of Orange Polska reappointed Mr. Mariusz Gaca, Mr. Maciej Nowohoński and Mr. Jacek Kowalski for the next terms of office as members of the Management Board. The renewals were made before the expiration of the current terms of office. The new terms of office start on the day of the next Annual General Meeting that will accept the financial statements of Orange Polska for 2016, for a period of three years. Mariusz Gaca is the Vice-President of the Management Board in charge of Consumer Market, Mr. Maciej Nowohoński is the Board Member in charge of Finance and Mr. Jacek Kowalski is the Board Member in charge of Human Resources. Mr. Mariusz Gaca (born in 1973); Vice President of the Board for Consumer Market since January 2017 and he is also chairman of the Ethics Committee Orange Poland. Since November 2013 he was Vice President for B2B Market. He is also Vice President of Employers of Poland and Chairman of the Polish Section of Business and Industry Advisory Committee to the OECD (BIAC). A member of Executive Volunteers Coalition since 2013, he is very active in voluntary work and promotes the principles of corporate social responsibility.He began his professional career in the Elektrim Group, where he co-created business plans for local telecommunication operators, between 1995 and 2000. From 2001 he worked at TP Group (Telekomunikacja Polska) as Director of Multimedia and was responsible for the development of internet access for the mass market. Between 2005 and 2009 he was responsible for the TP Group business market. From 2009 he was TP Group Executive Director in charge of Sales and Customer Service and President of the Management Board of PTK Centertel (TP Group mobile telecommunication operator) - a position which he held until the merger of PTK Centertel with Telekomunikacja Polska. He is a graduate of Academy of Agriculture and Technology in Bydgoszcz and Warsaw University. He also holds an MBA from the University of Illinois at Urbana Champaign and is a graduate of the Advanced Management Program (AMP) at INSEAD.According to his statement, Mr. Mariusz Gaca is not engaged in any activities competitive to the business of Orange Polska and is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of any incorporated company or any other legal entity which would be competitive to Orange Polska. Mr. Mariusz Gaca is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act. Mr. Maciej Nowohoński (born in 1973); Since March 2014 he is Member of the Management Board in charge of Finance at Orange Polska. He also sits on the supervisory boards of selected subsidiaries of Orange Polska. He has been with Orange Polska since 2003. He held several positions in finance, including Orange Polska Group Controller in 2006-2014. He was Management Board Member at Emitel and in 2011-2013 - Management Board Member in charge of Finance at PTK Centertel.In 2010-2011 he was Member of the Management Board at Emitel and in 2011 – 2013 - Member of the Management Board in charge of Finance at PTK Centertel. Previously, since 2009 he was Executive Director in charge of Human Resources at Telekomunikacja Polska (now Orange Polska). He has been working at the company for over 10 years. He started his career in TP Group in 2001 as Manager of Human Resources in Sales & Marketing at PTK Centertel. From 2005 he was Director of Employee Competence and Development Management Branch. Prior to that, he was Director of the Entrepreneurship and Human Resources School in Infor Training (Infor Media Group) and Director of the National In-Service Teachers Training Center, responsible for implementation of training programs supporting the development of education in Poland. He is a member of the Program Board of Polish Human Resources Management Association, PTE and a member of Human Explorers - informal group.He is a graduate of the Faculty of History at the University of Warsaw and a postgraduate studies for Local Government and Non-Governmental Organizations Management also at the University of Warsaw.According to his statement, Mr. Jacek Kowalski is not engaged in any activities competitive to the business of Orange Polska and is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of any incorporated company or any other legal entity which would be competitive to Orange Polska.
