| In accordance with the provisions of the Code of Best Practice for WSE Listed Companies, the Ljubljana Stock Exchange Rules, and the applicable legislation, Nova KBM d.d., Maribor, hereby makes the following notice: On 14 June 2013, pursuant to the decision of Nova KBM Management Board and the consent of the Supervisory Board, Nova KBM d.d., as a member of the consortium of institutions that had decided to sell the controlling stake in the company Poslovni sistem Mercator d.d., signed an agreement with the company Agrokor d.d. to sell its entire shareholding of 5.24%, equalling 197,274 shares, in the aforementioned Slovene company. The price at which the consortium of sellers agreed to sell its shareholding in Poslovni sistem Mercator d.d. is €120 per share. The conclusion of this transaction, including the payment of the purchase price, is subject to relevant regulatory approvals and fulfilment of other conditions that are customary for transactions of this nature. The transaction is expected to be completed by the end of this year. This notice will be available on the Bank´s website (www.nkbm.si) from 17 June 2013. |
