| Zarząd Noobz from Poland S.A. z siedzibą w Warszawie (dalej: „Emitent”, „Spółka”) w nawiązaniu do raportu bieżącego ESPI nr 1/2021 z dnia 28 stycznia 2021 roku (dot. informacji o rozpoczęciu negocjacji dot. umowy wydawniczej z 505 Games S. p. A.) informuje, iż w dniu dzisiejszym, tj. w dniu 26 marca 2021 Emitent zawarł z 505 Games S.p.A. (dalej: "505 Games") umowę wydawniczą, tj. umowę licencyjną, której przedmiotem jest współpraca w zakresie publikacji gry Signum Temporis (dalej: "Gra") na komputery PC na terytorium całego świata. Na podstawie zawartej umowy Spółka zobowiązana jest do stworzenia Gry, natomiast 505 Games odpowiedzialny jest za jej wydanie oraz dystrybucję. Zgodnie z umową własność intelektualna produktu jest współwłasnością co oznacza, iż jest kontrolowana w równym stopniu przez Emitenta oraz 505 Games. Z tytułu realizacji umowy Spółce przysługuje określona w umowie kwota wynagrodzenia stałego w wysokości 1,59 miliona euro (słownie: jeden milion pięćset dziewięćdziesiąt tysięcy euro), tj. około 7,36 mln zł, płatne w 13 transzach. Spółce przysługiwać będzie dodatkowo wynagrodzenie prowizyjne z tytułu sprzedaży Gry w wysokości 35% przychodów netto ze sprzedaży Gry, tj. przychodów pomniejszonych o prowizje i potrącenia platform sprzedażowych (np. Steam), które należne będzie po przekroczeniu przychodów netto ze sprzedaży Gry w wysokości wynagrodzenia stałego. Premiera Gry została zaplanowana na 2022 roku. 505 Games to włoski wydawca gier komputerowych działający na rynku globalnym, który wydaje gry na wiodące konsole, PC, telefony komórkowe oraz serwisy społecznościowe. W ocenie Zarządu Spółki współpraca z 505 Games przy wydaniu gry Signum Temporis pozwoli na dotarcie do odbiorców na rynku globalnym. Zarząd Emitenta zdecydował o publikacji powyższej informacji z uwagi na fakt, iż może mieć ona istotny wpływ na kształtowanie się sytuacji finansowej i majątkowej Emitenta oraz potencjalnie istotny wpływ na wycenę instrumentów finansowych Spółki notowanych w alternatywnym systemie obrotu. | The Management Board of Noobz from Poland S.A. with its registered office in Warsaw (hereinafter: the "Issuer", "Company") with reference to the current ESPI report No. 1/2021 of January 28, 2021 (related to information on the beginning of the publishing agreement with 505 Games S. p. A . negotiations) informs that on the 26th of March 2021 , the Issuer concluded with 505 Games SpA (hereinafter: "505 Games") a publishing agreement (a license agreement). The subject of the agreement is cooperation in the publication of the game Signum Temporis (hereinafter: "the Game") for PC computers throughout the world. Under the agreement the Company is obliged to create the Game, while 505 Games is responsible for its release and distribution. According to the agreement, the intellectual property of the product is jointly owned, which means that it is controlled equally by the Issuer and 505 Games. Pursuant to the agreement the Company is entitled to the fixed remuneration specified in the agreement in the amount of EUR 1,59 million (in words: EUR one million, five hundred and ninety thousand) which is approximately PLN 7,36 million payable in 13 tranches. The Company will also be entitled to a commission for the sale of the Game in the amount of 35% of the net revenues from the sale of the Game less commissions and deductions by sales platforms (e.g. Steam). The commission will be due to 505 Games after the net revenues from sale of the Game exceed the fixed remuneration. The premiere of the Game is scheduled for 2022. 505 Games is an Italian global publisher of computer games dedicated for leading consoles, PC, mobile phones and social networking sites. In the opinion of the Management Board of the Company cooperation with 505 Games on the release of Signum Temporis will allow it to reach customers on the global market. The Issuer's Management Board decided to publish the above information due to the fact that it may have a significant impact on the Issuer’s financial and property condition. Above information may also have a significant impact on the valuation of the Company's financial instruments listed in the alternative trading system.
