| Zarząd Midas S.A. ("Midas") informuje, że w dniu 1 czerwca 2016 r. Midas otrzymał zawiadomienie od Metelem Holding Company Limited z siedzibą na Cyprze ("Metelem"), Eileme 1 AB (publ) z siedzibą w Szwecji ("Eileme 1"), Eileme 2 AB (publ) z siedzibą w Szwecji ("Eileme 2"), Eileme 3 AB (publ) z siedzibą w Szwecji ("Eileme 3"), Eileme 4 AB (publ) z siedzibą w Szwecji ("Eileme 4") (łącznie "Zawiadamiające Podmioty") sporządzone na podstawie art. 69a ust. 1 pkt 3 w zw. z art. 69 ust. 1 i 2 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (tekst jednolity: Dz. U. z 2013 roku, poz. 1382, ze zmianami) ("Ustawa o Ofercie") o pośrednim nabyciu ("Pośrednie Nabycie") 100.069.611 akcji spółki Midas, uprawniających do wykonywania 100.069.611 głosów na walnym zgromadzeniu Midas, reprezentujących 6,763% ogólnej liczby głosów i kapitału zakładowego w Midasie. Pośrednie Nabycie nastąpiło w wyniku nabycia w dniu 31 maja 2016 r. przez Polkomtel sp. z o.o. ("Polkomtel"), spółkę pośrednio zależną od Metelem, Eileme 1, Eileme 2, Eileme 3 oraz bezpośrednio zależną od Eileme 4, 100.069.611 akcji Midasa, uprawniających do wykonywania 100.069.611 głosów na walnym zgromadzeniu Midasa, reprezentujących 6,763% ogólnej liczby głosów i kapitału zakładowego w Midasie, które to nabycie nastąpiło w wyniku rozliczenia w dniu 31 maja 2016 r. przymusowego wykupu akcji spółki Midas, ogłoszonego przez Polkomtel w dniu 25 maja 2016 r. w trybie przewidzianym w art. 82 ust. 1 Ustawy o Ofercie. Przed Pośrednim Nabyciem Akcji: (i) Metelem posiadał pośrednio, za pośrednictwem Eileme 1, Eileme 2, Eileme 3, Eileme 4, Polkomtela oraz Litenite Limited; (ii) Eileme 1 posiadał pośrednio, za pośrednictwem Eileme 2, Eileme 3, Eileme 4, Polkomtela oraz Litenite Limited; (iii) Eileme 2 posiadał pośrednio, za pośrednictwem Eileme 3, Eileme 4, Polkomtela oraz Litenite Limited; (iv) Eileme 3 posiadał pośrednio, za pośrednictwem Eileme 4, Polkomtela oraz Litenite Limited; (v) Eileme 4 posiadał pośrednio, za pośrednictwem Polkomtela oraz Litenite Limited – 1.379.597.139 akcji Midasa, uprawniających do 1.379.597.139 głosów na walnym zgromadzeniu Midasa, reprezentujących 93,237% ogólnej liczby głosów i kapitału zakładowego w Midasie. Po Pośrednim Nabyciu Akcji: (i) Metelem posiada pośrednio, za pośrednictwem Eileme 1, Eileme 2, Eileme 3, Eileme 4, Polkomtela oraz Litenite Limited; (ii) Eileme 1 posiada pośrednio, za pośrednictwem Eileme 2, Eileme 3, Eileme 4, Polkomtela oraz Litenite Limited; (iii) Eileme 2 posiada pośrednio, za pośrednictwem Eileme 3, Eileme 4, Polkomtela oraz Litenite Limited; (iv) Eileme 3 posiada pośrednio, za pośrednictwem Eileme 4, Polkomtela oraz Litenite Limited; (v) Eileme 4 posiada pośrednio, za pośrednictwem Polkomtela oraz Litenite Limited – 1.479.666.750 akcji Midasa, uprawniających do 1.479.666.750 głosów na walnym zgromadzeniu Midasa, reprezentujących 100% ogólnej liczby głosów i kapitału zakładowego w Midasie. Poza Eileme 1, Eileme 2, Eileme 3, Eileme 4, Polkomtelem oraz Litenite Limited, nie istnieją podmioty bezpośrednio lub pośrednio zależne od Metelem, które posiadają bezpośrednio lub pośrednio akcje w Midasie. Poza Eileme 2, Eileme 3, Eileme 4, Polkomtelem oraz Litenite Limited, nie istnieją podmioty bezpośrednio lub pośrednio zależne od Eileme 1, które posiadają bezpośrednio lub pośrednio akcje w Midasie. Poza Eileme 3, Eileme 4, Polkomtelem oraz Litenite Limited, nie istnieją podmioty bezpośrednio lub pośrednio zależne od Eileme 2, które posiadają bezpośrednio lub pośrednio akcje w Midasie. Poza Eileme 4, Polkomtelem oraz Litenite Limited, nie istnieją podmioty bezpośrednio lub pośrednio zależne od Eileme 3, które posiadają bezpośrednio lub pośrednio akcje w Midasie. Poza Polkomtelem oraz Litenite Limited, nie istnieją podmioty bezpośrednio lub pośrednio zależne od Eileme 4, które posiadają bezpośrednio lub pośrednio akcje w Midasie. Żaden z Zawiadamiających Podmiotów nie jest stroną jakichkolwiek umów, których przedmiotem jest przekazanie uprawnienia do wykonywania prawa głosu z akcji Midasa w rozumieniu art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie. |

(the “Midas”) announces that on June 1, 2016 Midas received the notification from Metelem Holding Company Limited with its registered office in Cyprus („Metelem”), Eileme 1 AB (publ) with its registered office in Sweden (“Eileme 1”), Eileme 2 AB (publ) with its registered office in Sweden (“Eileme 2”), Eileme 3 AB (publ) with its registered office in Sweden (“Eileme 3”), Eileme 4 AB (publ) with its registered office in Sweden (“Eileme 4”) (jointly referred to as “Notifying Entities”) prepared pursuant to Article 69a Section 1 Item 3 in conjunction with Article 69 Section 1 and 2 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies of July 29, 2005 (consolidated text: Dz. U. of 2013, item 1382, as amended) (the “Public Offering Act”) on indirect acquisition (“Indirect Acquisition”) of 100,069,611 of the shares in Midas, which carry the right to 100,069,611 votes at the general meeting of Midas and representing 6,763% of the total number of votes and the share capital of Midas. </p> <p> The Indirect Acquisition occurred as a result of the acquisition by Polkomtel sp. z o.o. on May 31, 2016 (“Polkomtel”), an indirect subsidiary of Metelem, Eileme 1, Eileme 2, Eileme 3 and a direct subsidiary of Eileme 4, of 100,069,611 of the shares in Midas, which carry the right to 100,069,611 votes at the general meeting of Midas and representing 6,763% of the total number of votes and the share capital of Midas as a result of the settlement, which took place on May 31, 2016, of the squeeze – out of the shares in Midas announced on May 25, 2016 by Polkomtel. pursuant to the provisions of Article 82 Section 1 of the Public Offering Act. </p> <p> Prior to the Indirect Acquisition: (i) Metelem held indirectly, via Eileme 1, Eileme 2, Eileme 3, Eileme 4, Polkomtel and Litenite Limited; (ii) Eileme 1 held indirectly, via Eileme 2, Eileme 3, Eileme 4, Polkomtel and Litenite Limited; (iii) Eileme 2 held indirectly, via Eileme 3, Eileme 4, Polkomtel and Litenite Limited; (iv) Eileme 3 held indirectly, via Eileme 4, Polkomtel and Litenite Limited; (v) Eileme 4 held indirectly, via Polkomtel and Litenite Limited – 1,379,597,139 shares in Midas, which carry the right to 1,379,597,139 votes at the general meeting of Midas and represent 93.237% of the total number of votes and the share capital of Midas. </p> <p> Following the Indirect Acquisition: (i) Metelem holds indirectly, via Eileme 1, Eileme 2, Eileme 3, Eileme 4, Polkomtel and Litenite Limited; (ii) Eileme 1 holds indirectly, via Eileme 2, Eileme 3, Eileme 4, Polkomtel and Litenite Limited; (iii) Eileme 2 holds indirectly, via Eileme 3, Eileme 4, Polkomtel and Litenite Limited; (iv) Eileme 3 holds indirectly, via Eileme 4, Polkomtel and Litenite Limited; (v) Eileme 4 holds indirectly, via Polkomtel and Litenite Limited – 1,479,666,750 shares in Midas, which carry the right to 1,479,666,750 votes at the general meeting of Midas and represent 100% of the total number of votes and the share capital in Midas. </p> <p> Other than Eileme 1, Eileme 2 , Eileme 3, Eileme 4, Polkomtel and Litenite Limited, there are no direct or indirect subsidiaries of Metelem that directly or indirectly hold shares in Midas. </p> <p> Other than Eileme 2, Eileme 3, Eileme 4, Polkomtel and Litenite Limited, there are no direct or indirect subsidiaries of Eileme 1, that directly or indirectly hold shares in Midas. </p> <p> Other than Eileme 3, Eileme 4, Polkomtel and Litenite Limited, there are no direct or indirect subsidiaries of Eileme 2, that directly or indirectly hold shares in Midas. </p> <p> Other than Eileme 4, Polkomtel and Litenite Limited, there are no direct or indirect subsidiaries of Eileme 3, that directly or indirectly hold shares in Midas. </p> <p> Other than Polkomtel and Litenite Limited, there are no direct or indirect subsidiaries of Eileme 4, that directly or indirectly hold shares in Midas. </p> <p> None of the Notifying Entities is party to any agreement concerning the transfer of the power to exercise voting rights attached to Midas shares within the meaning of Article 87 Section 1 Item 3 point c of the Public Offering Act. </p> </body> </html> |
