| Zarząd Midas S.A. ("Midas") informuje, że w dniu 1 czerwca 2016 r. Midas otrzymał zawiadomienie od Pana Zygmunta Solorza-Żaka sporządzone na podstawie art. 69a ust. 1 pkt 3 w zw. z art. 69 ust. 2 pkt 2 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (tekst jednolity: Dz. U. z 2013 roku, poz. 1382, ze zmianami) ("Ustawa o Ofercie") o pośrednim nabyciu ("Pośrednie Nabycie") 100.069.611 akcji spółki Midas, reprezentujących 6,763% ogólnej liczby głosów i kapitału zakładowego w Midasie. Pośrednie Nabycie nastąpiło w wyniku nabycia w dniu 31 maja 2016 r. przez Polkomtel sp. z o.o. ("Polkomtel"), spółkę pośrednio zależną od Pana Zygmunta Solorza-Żaka (za pośrednictwem kolejno: spółki Cyfrowy Polsat S.A., Metelem Holding Company Limited z siedzibą na Cyprze, Eileme 1 AB (publ) z siedzibą w Szwecji, Eileme 2 AB (publ) z siedzibą w Szwecji, Eileme 3 AB (publ) z siedzibą w Szwecji, Eileme 4 AB (publ) z siedzibą w Szwecji), 100.069.611 akcji spółki Midas, reprezentujących 6,763% ogólnej liczby głosów i kapitału zakładowego w Midasie, które to nabycie nastąpiło w wyniku rozliczenia transakcji nabycia akcji Midasa w drodze przymusowego wykupu akcji od akcjonariuszy mniejszościowych Midas ogłoszonego w dniu 25 maja 2016 r. przez Polkomtel. Przed Pośrednim Nabyciem Pan Zygmunt Solorz-Żak nie posiadał bezpośrednio żadnych akcji Midasa, natomiast posiadał pośrednio, za pośrednictwem kolejno: spółki Cyfrowy Polsat S.A., Metelem Holding Company Limited, Eileme 1 AB (publ), Eileme 2 AB (publ), Eileme 3 AB (publ), Eileme 4 AB (publ), Polkomtela oraz Litenite Limited łącznie 1.379.597.139 akcji Midasa uprawniających do 1.379.597.139 głosów na walnym zgromadzeniu Midasa, reprezentujących 93,237% ogólnej liczby głosów i kapitału zakładowego w Midasie. Po Pośrednim Nabyciu Pan Zygmunt Solorz-Żak posiada pośrednio za pośrednictwem kolejno: spółki Cyfrowy Polsat S.A., Metelem Holding Company Limited, Eileme 1 AB (publ), Eileme 2 AB (publ), Eileme 3 AB (publ), Eileme 4 AB (publ), Polkomtela oraz Litenite Limited łącznie 1.479.666.750 akcji Midasa, uprawniających do 1.479.666.750 głosów na walnym zgromadzeniu Midasa, reprezentujących 100% ogólnej liczby głosów i kapitału zakładowego w Midasie. Poza spółką Cyfrowy Polsat S.A., Metelem Holding Company Limited, Eileme 1 AB (publ), Eileme 2 AB (publ), Eileme 3 AB (publ), Eileme 4 AB (publ), Polkomtelem oraz Litenite Limited, nie istnieją podmioty bezpośrednio lub pośrednio zależne od Pana Zygmunta Solorza-Żaka, które posiadają bezpośrednio lub pośrednio akcje w Midasie. Pan Zygmunt Solorz-Żak, że nie jest stroną jakichkolwiek umów, których przedmiotem jest przekazanie uprawnienia do wykonywania prawa głosu z akcji Midasa w rozumieniu art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie. |

| <html> <head> </head> <body> <p> Subject: Notice of transactions in shares in Midas S.A. </p> <p> The Management Board of Midas S.A. (the “Midas”) announces that on June 1, 2016 Midas received the notification from Mr. Zygmunt Solorz-Żak prepared pursuant to Article 69a Section 1 Item 3 in conjunction with Article 69 Section 2 Item 2 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies of July 29, 2005 (consolidated text: Dz. U. of 2013, item 1382, as amended) (the “Public Offering Act”) of indirect acquisition (“Indirect Acquisition”) 100,069,611 shares in Midas, accounting for 6.763% of the total number of votes and of the share capital of Midas. </p> <p> The Indirect Acquisition occurred as a result of the acquisition by Polkomtel sp. z o.o. on May 31, 2016 (“Polkomtel”), an indirect subsidiary of Mr. Zygmunt Solorz-Żak (via, successively: Cyfrowy Polsat S.A., Metelem Holding Company Limited with its registered office in Cyprus, Eileme 1 AB (publ) with its registered office in Sweden, Eileme 2 AB (publ) with its registered office in Sweden, Eileme 3 AB (publ) with its registered office in Sweden, Eileme 4 AB (publ) with its registered office in Sweden), of 100,069,611 Midas shares, representing 6.763% of the total number of votes and the share capital of Midas, which acquisition occurred as a result of settling the acquisition of Midas shares in a squeeze-out announced by Polkomtel on May 25, 2016. </p> <p> Prior to the Indirect Acquisition, Mr. Zygmunt Solorz-Żak had not directly held any Midas shares, but had indirectly held through successively: Cyfrowy Polsat S.A., Metelem Holding Company Limited, Eileme 1 AB (publ), Eileme 2 AB (publ), Eileme 3 AB (publ), Eileme 4 AB (publ), Polkomtel and Litenite Limited, jointly 1,379,597,139 shares in Midas, which carry the right to 1,379,597,139 votes at the general meeting of Midas and represent 93.237% of the total number of votes and the share capital of Midas. </p> <p> After the Indirect Acquisition, Mr. Zygmunt Solorz-Żak indirectly holds, via, successively: Cyfrowy Polsat S.A., Metelem Holding Company Limited, Eileme 1 AB (publ), Eileme 2 AB (publ), Eileme 3 AB (publ), Eileme 4 AB (publ), Polkomtel and Litenite Limited, jointly 1,479,666,750 shares in Midas, which carry the right to 1,479,666,750 votes at the general meeting of Midas and represent 100% of the total number of votes and the share capital of Midas. </p> <p> Other than Cyfrowy Polsat S.A., Metelem Holding Company Limited, Eileme 1 AB (publ), Eileme 2 AB (publ), Eileme 3 AB (publ), Eileme 4 AB (publ), Polkomtel and Litenite Limited, there are no direct or indirect subsidiaries of Mr. Zygmunt Solorz-Żak that would directly or indirectly hold shares in Midas. </p> <p> Mr. Zygmunt Solorz-Żak is not party to any agreement concerning the transfer of the power to exercise voting rights attached to Midas shares within the meaning of Article 87 Section 1 Item 3 point c of the Public Offering Act. </p> </body> </html> |
