Kernel Holding S.A., a Luxembourg-registered company (the “Company”), hereby announces that on 05 November 2026 the Company received a written notice of resignation of Mrs. Daria Anna Danilczuk Masri from the Board of Directors of the Company as a Non-Executive Director of the Company. The resignation will become effective as of the date of the annual general meeting of shareholders of the Company to be held on 10 December 2026. Mrs. Danilczuk Masri has decided to step down to devote more time to her family and other personal interests.

The Board of Directors would like to extend its sincere appreciation for Mrs. Danilczuk Masri’s valuable service as a Non-Executive Director of the Company. Her contributions and dedication have been instrumental in strengthening the work of the Board and the corporate governance framework of the Company, and in advancing its sustainability agenda, including the integration of sustainability considerations into the Group’s strategy and reporting.
