| Giełda Papierów Wartościowych w Warszawie S.A. („GPW”, „Spółka”) informuje, iż po zestawieniu w dniu 7 kwietnia 2023 roku oczekiwań rynkowych przedstawianych w raportach analitycznych przygotowywanych przez biura maklerskie zebranych w formie konsensusu, skonsolidowane wyniki finansowe Grupy Kapitałowej GPW („GK GPW”, „Grupa”) w IV kwartale 2022 r. będą wyższe od wspominanego konsensusu. Przewidywany skonsolidowany zysk netto GK GPW szacuje na poziomie wyższym. Wstępne szacunkowe skonsolidowane dane finansowe GK GPW za IV kwartał 2022 r. kształtują się następująco: • Przychody ze sprzedaży: 91,5 mln zł. • Koszty działalności operacyjnej: 64,2 mln zł. • Zysk z działalności operacyjnej: 31,9 mln zł. • EBITDA: 40,8 mln zł. • Zysk netto: 37,7 mln zł. W trakcie przygotowywania Raportu rocznego GPW za 2022 r. i Skonsolidowanego raportu rocznego Grupy GPW za 2022 r. podjęto decyzję o ujęciu następujących zdarzeń mających łącznie istotny wpływ na wyniki Grupy: • W wyniku zamknięcia transakcji zakupu przez GPW 65,03% akcji Armenia Securities Exchange, o którym spółka informowała raportem bieżącym nr 30/2022 z dnia 27 grudnia 2022 r., zidentyfikowano aktywa netto w wartości godziwej w wysokości 26,906 mln zł (słownie: dwadzieścia sześć milionów dziewięćset sześć tysięcy złotych). Po korekcie możliwych do zidentyfikowania aktywów netto o udziały niekontrolujące w wysokości 9,409 mln zł (słownie: dziewięć milionów czterysta dziewięć tysięcy złotych) oraz całkowitą cenę zakupu w wysokości 9,552 mln zł (słownie: dziewięć milionów pięćset pięćdziesiąt dwa tysiące złotych) Grupa osiągnęła zysk na okazjonalnym nabyciu w wysokości 7,945 mln zł (słownie: siedem milionów dziewięćset czterdzieści pięć tysięcy złotych). Zysk został rozpoznany w pozostałych przychodach; • Na koniec roku 2022 przeprowadzono ponownie test na utratę wartości firmy (BondSpot S.A.). Test sporządzono metodą DCF na podstawie prognozy wyników BondSpot w latach 2023–2027. Przeprowadzony test na utratę wartości firmy na dzień 31 grudnia 2022 r. wykazał konieczności dokonania dodatkowego odpisu w skonsolidowanym sprawozdaniu finansowym Grupy Kapitałowej GPW w wysokości 3,126 mln zł (słownie: trzy miliony sto dwadzieścia sześć tysięcy złotych). W sumie odpis w całym 2022 roku miał wartość 9,832 mln zł (słownie: dziewięć milionów osiemset trzydzieści dwa tysiące złotych). Sprawozdania finansowe Grupy są nadal weryfikowane przez biegłego rewidenta, dlatego wynik GK GPW nie jest ostateczny i może ulec zmianie. Publikacja Raportu rocznego GPW za 2022 r. i Skonsolidowanego raportu rocznego Grupy GPW za 2022 r. nastąpi w dniu 12 kwietnia 2023 roku. Podstawa prawna: Art. 17 ust. 1 Rozporządzenia z dnia 16 kwietnia 2014 r. | Current Report no. 2/2023Date: 7 April 2023Topic: Deviation of GPW Group’s financial results from market consensus in Q4 2022Legal basis: Article 17(1) MAR – Inside informationContent:The Warsaw Stock Exchange (“GPW”, “Company”) announces that, following the compilation on 7 April 2023 of market expectations presented in research reports prepared by brokerage firms gathered in the form of a consensus, the consolidated financial results of the GPW Group (“GPW Group”, “Group”) in Q4 2022 will be higher than the consensus. The GPW Group’s projected consolidated net profit is estimated to be higher.The GPW Group’s preliminary consolidated financial estimates for Q4 2022 are as follows:• Sales revenue: PLN 91.5 million• Operating expenses: PLN 64.2 million• Operating profit: PLN 31.9 million• EBITDA: PLN 40.8 million• Net profit: PLN 37.7 millionDuring the preparation of GPW’s Annual Report 2022 and the GPW Group’s Consolidated Annual Report 2022, it was decided to recognise the following events with a cumulative material impact on the Group’s results:• As a result of the closing of GPW’s acquisition of 65.03% of the shares of Armenia Securities Exchange, announced by the Company in Current Report no. 30/2022 of 27 December 2022, net assets were identified at fair value of PLN 26.906 million (in words: twenty-six million nine hundred and six thousand zlotys). After adjusting identifiable net assets for non-controlling interests in the amount of PLN 9.409 million (in words: nine million four hundred and nine thousand zlotys) and the total purchase price of PLN 9.552 million (in words: nine million five hundred and fifty-two thousand zlotys), the Company realised gains on bargain purchase in the amount of PLN 7.945 million (in words: seven million nine hundred and forty-five thousand zlotys). The gains were recognised in other income;• At year-end 2022, goodwill (BondSpot S.A.) was once again tested for impairment. The test was carried out using the DCF method on the basis of BondSpot’s projected earnings in 2023-2027. The goodwill impairment test as at 31 December 2022 identified the need for an additional allowance to be recognised in the consolidated financial statements of the GPW Group in the amount of PLN 3.126 million (in words: three million one hundred and twenty-six thousand zlotys). In total, the allowance in the whole of 2022 stood at PLN 9.832 million (in words: nine million eight hundred and thirty-two thousand zlotys).The financial statements of the Group are still being reviewed by the auditor and therefore the GPW Group’s results are not final and may be subject to change.
