| Zarząd CIECH S.A. (dalej: "Emitent" lub "CIECH"), informuje, iż w dniu 25 października 2023 roku pomiędzy CIECH i ORLEN SYNTHOS GREEN ENERGY sp. z o.o. z siedzibą w Warszawie ("OSGE"; łącznie "Strony") zostało zawarte Porozumienie dotyczące analizy możliwości realizacji projektu budowy modułowych elektrowni jądrowych („Porozumienie”). Porozumienie, reguluje zasady współpracy Stron w zakresie weryfikacji możliwości realizacji inwestycji obejmującej budowę modułowych elektrowni jądrowych w technologii opartej o reaktory BWRX-300 (ang. Small Modular Reactors, „SMR”, „Projekt SMR”), na wybranych nieruchomościach będących w dyspozycji CIECH („Lokalizacje”), uzgodnienie i negocjacje warunków współpracy w trakcie przygotowania i realizacji inwestycji obejmującej Projekt SMR, a także wypracowanie docelowego modelu biznesowego współpracy Stron w przypadku podjęcia decyzji o realizacji inwestycji obejmującej Projekt SMR. W przypadku, gdy analiza przydatności potwierdzi, że określone Lokalizacje mogą być potencjalnie wykorzystane do realizacji Projektów SMR, Strony będą prowadzić w dobrej wierze, rozmowy ukierunkowane na zawarcie wiążącej umowy o współpracy w zakresie Projektów SMR („Umowa Współpracy”). Intencją Stron jest zawarcie Umowy Współpracy w terminie do dnia 30 czerwca 2024 roku. OSGE współpracuje z GE-Hitachi Nuclear Energy Americas LLC, w związku z czym dysponuje na terytorium Rzeczpospolitej Polskiej wyłącznym prawem do dysponowania technologią BWRX-300, której zastosowanie może zapewnić zaspokojenie potrzeb w zakresie dostaw energii elektrycznej oraz ciepła przemysłowego i systemowego (komunalnego). Współpraca Stron wpisuje się w przyjętą przez Emitenta Strategię Grupy CIECH z dnia 18 maja 2022 roku (raport bieżący nr 19/2022), Strategię ESG Grupy CIECH (https://esgciech.com/) i działania Grupy mające na celu: 1. obniżenie emisji CO2 Grupy o 33% do roku 2026, 2. wycofanie węgla jako surowca do produkcji energii do roku 2033, 3. osiągnięcie neutralności klimatycznej Grupy (net zero) do roku 2040. Jednocześnie Zarząd wskazuje, że OSGE została utworzona przez ORLEN S.A. i Synthos Green Energy S.A. („SGE”). CIECH i SGE dnia 9 września 2021 r., podpisały list intencyjny o współpracy w zakresie wykorzystania technologii SMR („List Intencyjny”), o czym Emitent informował w raporcie bieżącym nr 31/2021. Podstawa prawna: Art. 17 ust. 1 rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE (Dz. Urz. UE L Nr 173, str. 1). |

| MESSAGE (ENGLISH VERSION) | |||
| The Management Board of CIECH S.A. (the "Issuer" or "CIECH"), informs that on 25 October 2023, an Agreement was concluded between CIECH and ORLEN SYNTHOS GREEN ENERGY sp. z o.o. with its registered office in Warsaw ("OSGE"; jointly the "Parties") regarding the analysis of the feasibility of implementing the project for the construction of modular nuclear power plants (the “Agreement”). The Agreement regulates the principles of cooperation between the Parties in the scope of verifying the feasibility of implementing an investment involving the construction of modular nuclear power plants using reactor technology BWRX-300 (English: Small Modular Reactors, “SMR”, “SMR Project”), on selected properties at the disposal of CIECH (the "Locations"), agreeing and negotiating the terms of cooperation during the preparation and implementation of the investment covering the Project SMR, as well as developing the target business model of cooperation between the Parties in the event of a decision to implement the investment covering the Project SMR. If the suitability analysis confirms that specific Locations may potentially be used for the implementation of the Projects SMR, the Parties will be conducting, in good faith, talks aimed at concluding a binding cooperation agreement regarding the Projects SMR (the "Cooperation Agreement"). The intention of the Parties is to conclude a Cooperation Agreement by June 30, 2024. OSGE cooperates with GE-Hitachi Nuclear Energy Americas LLC, therefore, it has the exclusive right in the territory of the Republic of Poland to use the BWRX-300 technology, the application of which can ensure that the needs in terms of the supply of electricity and industrial and system (municipal) heat will be satisfied. The cooperation of the Parties is in line with the CIECH Group Strategy adopted by the Issuer of May 18, 2022 (Current Report No. 19/2022), the ESG Strategy of the CIECH Group (https://esgciech.com/) and the Group's activities aimed at: 1. reducing the Group's CO2 emissions by 33% by 2026, 2. phasing out coal as a raw material for energy production by 2033, 3. achieving the Group's climate neutrality (net zero) by 2040. At the same time, the Management Board indicates that the OSGE was created by ORLEN S.A. and Synthos Green Energy S.A. (“SGE”). On September 9, 2021, CIECH and SGE signed a letter of intent on cooperation in the use of the SMR technology (“Letter of Intent”), as advised by the Issuer in its Current Report No. 31/2021.
