Zarząd spółki CD PROJEKT S.A. z siedzibą w Warszawie („Spółka”) informuje, iż otrzymał od współpracującej ze Spółką kancelarii prawnej potwierdzenie złożenia przed Sądem Okręgowym Stanów Zjednoczonych dla okręgu Centralnej Kalifornii cywilnego pozwu zbiorowego pięciu osób fizycznych („Pozywający”) będących nabywcami gier za pośrednictwem platformy Steam, której właścicielem jest spółka Valve Corporation („Valve”). Podmiotami pozwanymi są Valve wraz z innymi producentami i wydawcami gier w tym Spółką oraz jej spółką zależną CD PROJEKT Inc.

Pozywający domagają się ustalenia na drodze sądowej, czy warunki Steam Distribution Agreement naruszały reguły prawa konkurencji w Stanach Zjednoczonych.

Powództwo formułuje wobec Valve zarzuty co do nadużywania siły rynkowej poprzez wymaganie od twórców gier zawarcia w umowie dystrybucyjnej Steam klauzuli tzw. największego uprzywilejowania („Klauzula”), na mocy której kontrahenci Valve mieliby zobowiązywać się wobec Valve, że cena gry na na platformie Steam będzie taka sama, jak cena na innych platformach. Jak wynika z pozwu, skutkiem posługiwania się tą klauzulą miałoby być nieprawidłowe funkcjonowanie rynku ze względu na utrudnienie innym platformom możliwości konkurowania pod względem cenowym ze Steam.

Treść pozwu nie określa wartości roszczenia.

Na obecnym etapie Spółka weryfikuje zasadność kierowania roszczeń wobec niej i jej spółki zależnej w ramach powyższego pozwu.

	Subject: Receipt of notification concerning the filing of a class action lawsuit in the USA Legal basis: Art. 17 section 1 of MAR – inside information The Management Board of CD PROJEKT S.A. with a registered office in Warsaw (hereinafter referred to as “the Company”) hereby announces that it has been notified by a law firm cooperating with the Company of a civil class action lawsuit filed in the US District Court for the Central District of California by five natural persons (hereinafter referred to as “Plaintiffs”) who had purchased videogames via the Steam platform which is owned by Valve Corporation (hereinafter referred to as “Valve”). The lawsuit names Valve along with other developers and publishers of videogames, including the Company and its subsidiary - CD PROJEKT Inc., as defendants. The Plaintiffs ask the court to adjudicate whether the terms of the Steam Distribution Agreement violate US antitrust laws. The complaint alleges that Valve abuses its market power to compel videogame developers to accede to a so-called “Most Favored Nations” provision (hereinafter referred to as “the Provision”) in the Steam Distribution Agreement, whereby Valve business partners agree that the price of a PC game on the Steam platform will be the same as on other platforms. The complaint goes on to allege that the Provision leads to improper functioning of the market by hampering the ability of other platforms to compete on price with Steam. The lawsuit does not specify the amount of damages sought. The Company is currently assessing the validity of claims formulated against itself and its subsidiary as part of the aforementioned litigation.
