| Zarząd Spółki Vivid Games S.A. (dalej jako: "Spółka", "Emitent"), informuje, że w związku ze złożoną przez Panią Elżbietę Häuser-Schöneich w dniu 2 kwietnia 2024 rezygnacją z pełnienia funkcji członkini Rady Nadzorczej Spółki z dniem 30 kwietnia 2024, Rada Nadzorcza w dniu 6 maja 2024 w drodze kooptacji powołała Panią Annę Podkowińską-Tretyn na Członkinię Rady Nadzorczej. Zgodnie z § 12 ust. 4 Statutu Spółki, Pani Anna Podkowińska-Tretyn będzie sprawowała czynności Członkini Rady Nadzorczej do czasu dokonania wyboru Członkini/Członka Rady Nadzorczej przez najbliższe Walne Zgromadzenie Akcjonariuszy Spółki. Rada Nadzorcza planuje powołać Panią Annę Podkowińską-Tretyn także na Członkinię Komitetu Audytu w miejsce Pani Elżbiety Häuser-Schöneich. Pani Anna Podkowińska-Tretyn jest niezależną Przewodnicząca Rady Nadzorczej Mindgram, była Członkinią Rad Nadzorczych IAB Polska oraz Online Technologies. Jest doświadczoną liderką biznesu, pasjonatką ludzi i rozwoju biznesu z 20-letnim doświadczeniem w budowaniu i zarządzaniu organizacjami z sektora mediów, e-commerce i nowych technologii. Obecnie pełni też funkcję CEO Everli Poland/Chief Business International Officer. Poprzednio odpowiedzialna za transformację cyfrową oraz M&A Burda International w Polsce i Czechach jako Chief Digital Officer. Wcześniej zajmowała stanowisko online Chief Commercial Officer w Agora S.A. oraz Prezeski Zarządu Trader.com Poland. Została wyróżniona w raporcie „Strong Woman in IT 2023. Global Edition Repor) oraz raporcie Sifted "200+ female angel investors in Europe 2023" Aktywnie angażuje się w wiele inicjatyw na rzecz kobiet i wspiera organizacje takie jak Vital Voices, Klub Przedsiębiorczych Kobiet i wiele innych. | The Management Board of Vivid Games S.A. (hereinafter: "the Company", "the Issuer"), informs that in connection with the resignation of Ms. Elżbieta Häuser-Schöneich on April 2, 2024 from her position as Member of the Supervisory Board of the Company, effective April 30, 2024, the Supervisory Board on May 6, 2024, by way of co-optation, appointed Ms. Anna Podkowińska-Tretyn as Member of the Supervisory Board. Pursuant to § 12(4) of the Company's Articles of Incorporation, Ms. Anna Podkowińska-Tretyn will serve as a Member of the Supervisory Board until the next General Meeting of Shareholders of the Company elects a Member/Member of the Supervisory Board. The Supervisory Board also plans to appoint Ms. Anna Podkowińska-Tretyn as a Member of the Audit Committee in place of Ms. Elżbieta Häuser-Schöneich. Ms. Anna Podkowińska-Tretyn is an independent Chairwoman of the Mindgram Supervisory Board, former Member of the Supervisory Boards of IAB Poland and Online Technologies. She is an experienced business leader, passionate about people and business development with 20 years of experience in building and managing organizations in the media, e-commerce and new technology sectors.
