| Zarząd Pfleiderer Group S.A. („Spółka”) informuje, że Pan Ivo Schintz w dniu 17.12.2018 złożył rezygnację z Zarządu Spółki. Rezygnacja pana Ivo Schintza wywiera skutek od dnia 17.12.2018 r.. Pan Ivo Schintz pełnił funkcję Członka Zarządu Spółki – Dyrektora Handlowego. Rada Nadzorcza Spółki nie powołała nowego członka Zarządu w miejsce p. Ivo Schintza. Zarząd Spółki zadecydował, że z dniem 01.01.2019 Pan Stefan Zinn – aktualnie odpowiedzialny za obszar sprzedaży w segmencie zachodnim Grupy Pfleiderer – obejmie stanowisko Dyrektora Handlowego. Obszar odpowiedzialności na tym stanowisku obejmie w szczególności sprzedaż w segmencie zachodnim, sprzedaż eksportową oraz marketing. Obowiązki Dyrektora Sprzedaży w segmencie wschodnim zostaną powierzone Panu Grzegorzowi Kuleszy – Członkowi Zarządu Pfleiderer Polska Sp. z o.o., spółki zależnej Spółki. Raport sporządzono na podstawie § 5 ust. 4 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. 2018, poz. 757). |

| Subject: Resignation of the member of Management Board of Pfleiderer Group S.A. (Chief Commercial Officer) Current report no 33/2018 The Management Board of Pfleiderer Group S.A. (the "Company") hereby informs that on 17 December 2018 Mr. Ivo Schintz submitted a resignation from the Management Board of the Company. The resignation of Mr. Ivo Schintz takes effect on 17 December 2018. Mr. Ivo Schintz was holding a position of the member of Management Board of the Company - Chief Commercial Officer of Pfleiderer group. The Supervisory Board of the Company did not appoint a new member of the Management Board in place of Mr. Schintz. The Management Board of the Company decided that effective 1st of January 2019 Mr. Stefan Zinn, at present the Head of Sales Core West within Pfleiderer group, will become the Chief Commercial Officer. In his new position Mr. Zinn will be responsible in particular for sales in Core West, export sales and marketing. The responsibilities of the Sales Director Core East will be entrusted to Mr. Grzegorz Kulesza, a member of Management Board of Pfleiderer Polska sp. z o.o., a subsidiary of the Company. This current report was prepared on the basis of § 5 item 4 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state (Official Journal 2018, item 757). 17.12.2018 |
