| In accordance with provisions of the Code of Best Practice for WSE Listed Companies, Ljubljana Stock Exchange Rules, and the applicable legislation, the Management Board of Nova KBM d.d. hereby makes the following notice: On 25 April 2013 Nova Kreditna banka Maribor d.d. received the purchase consideration for its 51 per cent stake in Zavarovalnica Maribor d.d. as defined in the Contract for sale and acquisition of shares of the company Zavarovalnica Maribor, d.d. (hereinafter: the Purchase Contract), concluded on 11 December 2012 between Slovenska odškodninska družba, d.d. (SOD), Pozavarovalnica Sava, d.d., and Nova Kreditna banka Maribor, d.d. Compliant to the Purchase Contract, Nova Kreditna banka Maribor, d.d. effected the transfer of shares of Zavarovalnica Maribor d.d. to SOD and Pozavarovalnica Sava, d.d. today, on 25 April 2013. By paying the complete purchase consideration and by transferring the shares, the contractual parties fulfilled all contractual obligations hence the sale of the Bank's stake in Zavarovalnica Maribor d.d. is completed. This notice will be publicly available on the Bank’s website (www.nkbm.si) from 25 April 2013, for at least five years. |
