| PKN ORLEN S.A. („PKN ORLEN S.A.”, „Spółka”) informuje, że 17 października 2018 roku Sąd Okręgowy w Łodzi X Wydział Gospodarczy ogłosił wyrok, w którym oddalił w całości powództwo akcjonariusza o uchylenie uchwał podjętych na Zwyczajnym Walnym Zgromadzeniu Spółki 26 czerwca 2018 roku, w sprawie: - zatwierdzenia sprawozdania Zarządu z działalności Grupy ORLEN i PKN ORLEN S.A. za rok obrotowy zakończony 31 grudnia 2017 roku, - zatwierdzenia sprawozdania finansowego PKN ORLEN S.A. za rok obrotowy zakończony 31 grudnia 2017 roku, - udzielenia absolutorium członkom Zarządu PKN ORLEN S.A. z wykonywania przez nich obowiązków w roku zakończonym 31 grudnia 2017 roku, - udzielenia absolutorium Przewodniczącej Rady Nadzorczej PKN ORLEN S.A. z wykonywania przez nią obowiązków w roku zakończonym 31 grudnia 2017 roku. Uzasadniając ogłoszony dziś wyrok Sąd wskazał, iż powództwo w całości nie zasługiwało na uwzględnienie, podzielając stanowisko Spółki w zakresie braku przesłanek uzasadniających uchylenie uchwał. | Dismissal of the statement of claim for repealing of the resolutions of Ordinary General MeetingRegulatory announcement no 101/2018 dated 17 October 2018PKN ORLEN S.A. ("PKN ORLEN", “Company”) hereby informs that on 17 October 2018 the District Court in Lodz Commercial Division No X has announced the decision in which it dismissed in whole the shareholder’s statement of claim for repealing of the following resolutions of PKN ORLEN Ordinary General Meeting dated 26 June 2018:- to receive the Directors’ Report on the activities of the ORLEN Group and PKN ORLEN S.A. for the year ended December 31st 2017,- to receive the financial statements of PKN ORLEN S.A. for the year ended December 31st 2017,- to grant discharge to Management Board members for performance of their duties for the year ended December 31st 2017,- to grant discharge to the Chairman of the Supervisory Board for performance of her duties for the year ended December 31st 2017.In justification of the today announced decision the Court pointed that the statement of claim, in whole, did not deserve acceptance and shared the Company’s statement that there was no reason to repeal the resolutions.
