| Zarząd P4 sp. z o.o. („Emitent”), spółki należącej do francuskiej grupy Iliad, informuje, że w dniu 31 marca 2021 r. zawarł umowę sprzedaży przedsiębiorstwa ze spółką On Tower Poland sp. z o.o. z siedzibą w Warszawie, w której 60% udziałów posiada Cellnex Poland sp. z o.o. w Warszawie (należąca do Cellnex Telecom) oraz 40% udziałów posiada Iliad Purple S.A.S. (należąca do grupy Iliad). Na podstawie tej umowy, Emitent sprzedał na rzecz On Tower Poland sp. z o.o. zespół składników majątkowych stanowiących organizacyjnie, funkcjonalnie i finansowo wydzielony w ramach przedsiębiorstwa Emitenta Pion Infrastruktura, w ramach którego prowadził działalność gospodarczą w zakresie zarządzania i komercjalizacji swojej niezależnej infrastruktury pasywnej, na warunkach określonych w umowie sprzedaży przedsiębiorstwa („Transakcja”). Cena sprzedaży Pionu Infrastruktura została ustalona na PLN 6,7 mld i może podlegać korektom na podstawie zawartej umowy sprzedaży przedsiębiorstwa oraz umowy sprzedaży udziałów w On Tower Poland sp. z o.o., zwartej pomiędzy jedynym Wspólnikiem Emitenta, Play Communications S.A. a Cellnex Poland sp. z o.o. Jednocześnie Emitent zawarł z On Tower Poland sp. z o.o. długoterminowe umowy serwisowe na okres 20 lat, z możliwością przedłużenia na kolejne okresy dziesięcioletnie, na podstawie których Emitent m.in. będzie nadal korzystał ze sprzedanej w ramach ww. Transakcji infrastruktury pasywnej na potrzeby swojej działalności telekomunikacyjnej. |

| 2021-04-016/2021 Close of the transaction relating to passive mobile infrastructure of the Issuer The Management Board of P4 sp. z o.o. (“Issuer”), the company belonging to French iliad group, hereby informs that on March 31, 2021, entered into the agreement for the sale of the enterprise with On Tower Poland sp. z o.o. with its seat in Warsaw, the company in which 60% of shares is owned by Cellnex Poland sp. z o.o. (subsidiary of Cellnex Telecom), and 40% shares is owned by Iliad Purple S.A.S,(part of Iliad group). Pursuant to this agreement, the Issuer sold to On Tower Poland sp. z o.o. a set of assets constituting an organizationally, functionally and financially separated within the Issuer’s enterprise Tower Unit, under which the Issuer conducted business activity in the area of management and commercialization of its independent passive infrastructure, on the terms set out in the agreement for the sale of the enterprise (“Transaction”). The Purchase Price of the Tower Unit was set up at PLN 6.7 bn and may be adjusted according to the provisions of the agreement for the sale of the enterprise and the Share Purchase Agreement related to shares in On Tower Poland sp. z o.o. entered into between the Issuer’s sole shareholder, i.e. Play Communications S.A. with Cellnex Poland sp. z o.o. Simultaneously, the Issuer has concluded long-term service contracts with On Tower Poland sp. z o.o. for a period of 20 years, extendible for a further successive periods of 10 years, pursuant to which, among other, the Issuer will continue to use the passive infrastructure sold in the aforementioned Transaction required to continue its telecommunications operations.
