| IMC S.A. (hereinafter "the Company") reports that the Extraordinary shareholders meeting approved on 4 July 2017 a management incentive plan (the “Management Incentive Plan") providing to Management Team Members and Eligible Employees as defined in the Management Incentive Plan an option to purchase in aggregate up to 1,878,000 (one million eight hundred seventy eight thousand) new shares of IMC S.A., such number being equal to 6% of the issued stock of IMC S.A. as at the adoption date of such plan, at the price decided at the discretion of the board of directors of the Company which shall be equal to at least one euro cent (EUR 0.01). Performance period of the Management Incentive Plan is three (3) years, starting from January 1st, 2017 and ending on December 31st, 2019. During the Performance Period, the board of directors of the Company may discretionarily decide when the Shares shall be issued by the Company to the Participants at the Subscription Price. |
