| Zarząd "Euromark Polska" S.A. (Emitent, Nabywca) informuje, w nawiązaniu do raportu bieżącego nr 8/2011 z dnia 6 kwietnia 2011 roku, który dotyczył wszczęcia postępowania przed sądem w sprawie Umowy sprzedaży praw do znaku towarowego Alpinus (Umowa) zawartej pomiędzy Bankiem Współpracy Europejskiej S.A. (obecnie: Meritum Bank ICB S.A.) a "Euromark Polska" Sp. z o.o. (poprzednik prawny Emitenta), iż w dniu 18 maja 2012 roku została podpisana ugoda w postępowaniu mediacyjnym przeprowadzonym przed tym sądem pomiędzy Emitentem a Meritum Bank ICB S.A. W podpisanej ugodzie strony ustaliły zasady i harmonogram dalszych płatności pozostałej do zapłaty, na dzień publikacji niniejszego raportu, części ceny za znaki towarowe, tj. kwoty 7.884 tys. zł netto. Nabywca zobowiązał się spłacić zadłużenie z tytułu ceny za znaki towarowe objęte Umową do dnia 14 stycznia 2022 r. w miesięcznych ratach przy uwzględnieniu rocznych okresów rozliczeniowych (rok kalendarzowy) dla rozliczenia płatności minimalnych, przy czym w latach 2012 -2016. Nabywca zobowiązał się spłacać rocznie nie mniej niż kwotę większą z następujących: 650 tys. zł netto albo kwotę stanowiącą 0,9 % rocznej wartości sprzedaży towarów handlowych Nabywcy netto za dany rok kalendarzowy (płatności minimalne), a w latach 2017-2021 - rocznie nie mniej niż kwotę większą z następujących: 1/5 całej kwoty pozostałej do zapłaty tytułem ceny sprzedaży za znaki towarowe, tj. części kwoty 18.000 tys. zł netto pozostałej do uregulowania po dokonaniu przez Nabywcę płatności za grudzień 2016 roku, albo kwotę stanowiącą 0,7 % rocznej wartości sprzedaży towarów handlowych Nabywcy netto za dany rok kalendarzowy. Przez wartość sprzedaży towarów handlowych Nabywcy netto strony rozumieją ceny hurtowe netto po jakich Nabywca sprzedawać będzie towary swoim odbiorcom handlowym, pomnożoną przez ilość towaru pomniejszoną o ewentualne zwroty. W ugodzie stwierdzono, iż w zakresie nie uregulowanym w niej odmiennie, wszystkie postanowienia Umowy sprzedaży praw do znaku towarowego Alpinus pozostają bez zmian i wiążą strony. |

| The Management Board of "Euromark Polska" S.A. (the Issuer, the Buyer) informs, with reference to the current report No. 8/2011 of 6th April 2011, which regarded initiation of the court proceedings under the Alpinus trademark sales agreement (Agreement) entered into by and between Bank Współpracy Europejskiej S.A. (presently: Meritum Bank ICB S.A.) and "Euromark Polska" Sp. z o.o. (legal predecessor of the Issuer), that on 18th May 2012 the settlement agreement negotiated throughout the mediation process run before the court was signed by the Issuer and Meritum Bank ICB S.A. Under the signed agreement, the parties agreed the conditions and schedule of further payments of the outstanding selling price for the trademarks, as at the day of publishing the current report, i.e. the amount of 7.884 thousand PLN net. The Buyer obliged to repay the debt comprising the selling price for the trademarks under the Agreement by 14th January 2022 in monthly instalments, taking into consideration the annual settlement periods (calendar year) for settlement of minimum payments, whereas in the years 2012 - 2016 the Buyer undertook to repay annually not less than the following amount, whichever would be higher: 650 thousand PLN net or the net amount constituting 0.9 % of annual sales of the Buyer’s commercial goods for a given calendar year (minimum repayments), and in the years 2017 – 2021 - annually not less than the following amount, whichever would be higher: 1/5 of the entire outstanding amount for the selling price of the trademarks, i.e. the part of 18.000 thousand PLN net, remaining to be settled once the Buyer makes payment for December 2016, or the amount constituting 0.7 % of the annual net value of sales of the Buyer’s commercial goods for a given calendar year. The net sales value of the Buyer’s commercial goods is understood by the parties as wholesale net prices at which the Buyer will sell the goods to its business partners multiplied by the quantity of goods deducted by possible returns. It was stated that all other provisions of the Alpinus trademark sales agreement not amended by the settlement agreement remained the same and were binding for the parties. |
