| Raport nr 10/2023 – Zmiany w składzie Zarządu PKO Banku Polskiego S.A. Podstawa prawna: § 5 pkt 4 i 5 rozporządzenia Ministra Finansów z 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim Treść raportu: Zarząd PKO Banku Polskiego S.A. („Bank”) informuje, że Pan Mieczysław Król złożył rezygnację z funkcji członka Zarządu Banku z dniem 13 kwietnia 2023 r., a jednocześnie Rada Nadzorcza Banku odwołała Pana Maksa Kraczkowskiego z Zarządu Banku z dniem 13 kwietnia 2023 r. Rada Nadzorcza Banku zdecydowała o powołaniu z dniem 14 kwietnia 2023 r. w skład Zarządu Banku Pana Dariusza Szweda na stanowisko Wiceprezesa Zarządu Banku, na bieżącą wspólną kadencję Zarządu Banku, która rozpoczęła się z dniem 3 lipca 2020 r. i jednocześnie powołała Pana Dariusza Szweda na stanowisko Prezesa Zarządu Banku pod warunkiem wyrażenia zgody przez Komisję Nadzoru Finansowego oraz z dniem wydania tejże zgody. Do czasu wydania zgody Komisji Nadzoru Finansowego Rada Nadzorcza powierzyła Panu Dariuszowi Szwedowi kierowanie pracami Zarządu. Informacje o nowo powołanym członku Zarządu Banku Dariusz Szwed Dariusz Szwed ma prawie trzydziestoletnie doświadczenie w sektorze finansowym. Od 2021 roku pełnił funkcję członka zarządu Banku Gospodarstwa Krajowego, w którym nadzorował obszar biznesu oraz operacji bankowych, a wcześniej obszar IT oraz funduszy europejskich, jak również realizację wewnętrznego filaru „Transformacja cyfrowa i procesowa strategii banku na lata 2021-2025”. W latach 2019-2021 pełnił funkcję wiceprezesa zarządu Alior Banku, w którym nadzorował całość biznesu banku - sprzedaż i produkty dla klienta detalicznego oraz biznesowego, działalność skarbową oraz obszar private banking i biuro maklerskie. Jednocześnie był prezesem zarządu Alior TFI. Był członkiem kilku komitetów, w tym komitetu kredytowego. Wcześniej, od roku 1995 był związany z Santander Bank Polska, ostatnio jako dyrektor departamentu private banking, gdzie odpowiadał za nadzór nad kompleksową działalnością biznesową, obejmującą także ryzyko operacyjne, kredytowe i reputacyjne tego obszaru. Nadzorował również detaliczną część działalności biura maklerskiego tego banku. Ponadto był członkiem zespołu zarządzającego fuzją Santander Bank Polska i wydzielonej części Deutsche Banku, w którym odpowiadał za analizę i wdrażanie docelowych rozwiązań biznesowych private banking w połączonym banku. Jest absolwentem wydziału bankowości i finansów w Wyższej Szkole Bankowej w Poznaniu oraz zarządzania na Politechnice Częstochowskiej. Ma również dyplom Szkoły Głównej Handlowej w Warszawie. Zgodnie ze złożonym oświadczeniem, Pan Dariusz Szwed od dnia powołania nie będzie prowadził działalności konkurencyjnej w stosunku do Banku, w szczególności nie będzie posiadał statusu wspólnika w konkurencyjnej w stosunku do Banku spółce cywilnej, spółce osobowej lub spółce kapitałowej, ani nie będzie pełnił funkcji członka organu innej konkurencyjnej wobec Banku osoby prawnej ani prowadził własnej działalności gospodarczej, konkurencyjnej w stosunku do Banku. Pan Dariusz Szwed nie jest wpisany do Rejestru Dłużników Niewypłacalnych, prowadzonego na podstawie ustawy z dnia 20 sierpnia 1997 r. o Krajowym Rejestrze Sądowym. |

| Report No. 10/2023 – Changes in the composition of the Management Board of PKO Bank Polski S.A. Legal basis: Paragraph 5.4 and 5.5 of the Regulation of the Minister of Finance on 29 March 2018 on the current and periodic information published by issuers of securities and the conditions for considering as equivalent the information required by law of a non-member state The report: The Management Board of PKO Bank Polski S.A. (the “Bank”) informs that Mr. Mieczysław Król resigned from the composition of the Bank's Management Board effective as of 13 April 2023 and Bank’s Supervisory Board dismissed Mr. Maks Kraczkowski from the Bank's Management Board effective as of 13 April 2023. At the same time, the Supervisory Board appointed Mr. Dariusz Szwed to the Bank’s Management Board from 14 April 2023 as its Vice President for the current joint term of office of the Bank's Management Board, which started as of 3 July 2020, and subject to approval of the Polish Financial Supervision Authority and as of the date of this approval, the Board appointed him for the position of the President of the Management Board. Until such approval by the Polish Financial Supervision Authority, the Supervisory Board has entrusted Mr. Dariusz Szwed with directing the work of the Management Board. Information of the person newly appointed to the Bank's Management Board Dariusz Szwed Dariusz Szwed has got almost 30 years’ experience in the financial sector. Since 2021, he was the Member of the Management Board of Bank Gospodarstwa Krajowego in which he recently supervised the area of business and banking operations, following supervising earlier the areas of IT, European funds and implementation of the internal pillar “Digital and process transformation, within bank’s strategy 2021-2025”. In the years 2019 - 2021 he was the Vice President of the management board of Alior Bank, where he supervised the entire bank's business - sales and products for retail and business customers, treasury activities, private banking area and a brokerage office. At the same time, he was the president of the management board of Alior TFI. He was also a member of several committees, including the credit committee. Previously, since 1995, he worked in Santander Bank Polska, recently as the director of the private banking department, where he was responsible for supervision over comprehensive business activities, including operational, credit and reputational risk in this area. He also supervised the retail activity of the bank's brokerage office. He was also a member of the team managing the merger of Santander Bank Polska and the separated part of Deutsche Bank, where he was responsible for the analysis and implementation of business solutions in the merged bank. Graduate of the banking and finance faculty of WSB University of Poznan and management faculty of Czestochowa University of Technology. He also holds a diploma from SGH Warsaw School of Economics in corporate finance management. According to the submitted statement Mr. Dariusz Szwed from the day of the appointment will not carry out any activities in competition with the Bank, in particular having the status of a partner in a civil law partnership or partnership or company which is in competition with the Bank, holding the position of a member of a body of any other legal entity which is in competition with the Bank or carrying out business activities on his own in competition with the Bank. Mr. Dariusz Szwed is not registered in the Register of Insolvent Debtors, maintained on the basis of the Act of 20 August 1997 on the National Court Register. |
