| Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. („GPW”, „Spółka”), działając na podstawie art. 17 ust. 1, 4 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 w sprawie nadużyć na rynku oraz uchylającego dyrektywę 203/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE („MAR”), w związku z ustaniem przesłanek opóźnienia informacji poufnych przekazuje do publicznej wiadomości poniższe informacje poufne dotyczące: • Podpisania listów intencyjnych z PIKE i PIKSEL oraz z KIKE ws. przystąpienia do rozmów dotyczących budowy operatora reklamowego systemu aukcyjnego na rynku telewizyjnym („Informacja Poufna z 24 września 2020”) • Decyzji Zarządu Giełdy o podpisaniu listu intencyjnego z KRRiT ws. zainteresowania udziałem w przedsięwzięciu dotyczącym budowy platformy aukcyjnej na potrzeby Addressable TV/DAI („Informacja Poufna z 26 lipca 2021”) • Zatwierdzenia przez Radę Giełdy inicjatywy strategicznej dotyczącej budowy platformy aukcyjnej na potrzeby Addressable TV/DAI wraz budżetem na jej realizację („Informacja Poufna z 7 września 2021”). Treść informacji poufnej, która została opóźniona 24 września 2020 r. na podstawie art. 17 ust. 4 Rozporządzenia MAR: „Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. („GPW”, „Spółka”, „Emitent”) informuje, że 24 września 2020 r. podpisał z Polską Izbą Komunikacji Elektronicznej („PIKE”) i Polską Fundacją Wspierania Rozwoju Komunikacji Elektronicznej („PIKSEL”) oraz z Krajową Izbą Komunikacji Ethernetowej („KIKE”) listy intencyjne ws. przystąpienia do rozmów dotyczących potencjalnej budowy operatora reklamowego systemu aukcyjnego na rynku telewizyjnym. Strony listów intencyjnych zadeklarowały zainteresowanie udziałem we wspólnym przedsięwzięciu jakim jest budowa platformy aukcyjnej („Platforma”) na potrzeby tzw. Adressable TV. Addressable TV polega na dostarczaniu w czasie rzeczywistym zróżnicowanego przekazu reklamowego, w zależności od zdefiniowanego profilu odbiorcy. Za sprawą Addressable TV, kampanie reklamowe docierają wyłącznie do odbiorców spełniających kryteria tzw. targetowania, co oznacza, że różni odbiorcy widzą zindywidualizowane reklamy emitowane przez tego samego nadawcę telewizyjnego w tym samym czasie. Adressable TV pozwala docelowo na wdrożenie tzw. Programmatic TV – zautomatyzowanego sposobu zakupu telewizji. GPW zadeklarowała zapewnienie odpowiedniego zaplecza technologicznego do budowy Platformy oraz transparentnego systemu rozliczeniowego. PIKE i PIKSEL oraz KIKE zadeklarowały m.in. podjęcie działań mających na celu zapewnienie udziału w przedsięwzięciu swoich członków. Strony listów intencyjnych ustaliły, że model biznesowy Platformy będzie oparty o formułę opłaty za transakcję. PIKE i PIKSEL oraz KIKE zadeklarowały, iż kilkuprocentowe marże (ok. 5%) dla operatora Platformy (tj. GPW) są na poziomie akceptowalnym. Szczegóły finansowe projektu, w tym szczegółowy model biznesowy Platformy zostanie wypracowany w toku prac i analiz, które będą prowadzone przez strony listów intencyjnych. GPW zwraca uwagę, że podpisanie listów intencyjnych nie oznacza, że zostaną podjęte dalsze czynności związane z nawiązaniem współpracy z ww. podmiotami. Ewentualne nawiązanie współpracy i realizacja ww. projektu będą wymagały m.in. przeprowadzenia dalszych analiz i konieczności uzyskania odpowiednich zgód korporacyjnych.” Treść informacji poufnej, która została opóźniona 26 lipca 2021 r. na podstawie art. 17 ust. 4 Rozporządzenia MAR: „Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. („GPW”, „Spółka”, „Emitent”) informuje, że 26 lipca 2021 r. podjął decyzję o podpisaniu 27 lipca 2021 r. listu intencyjnego z Krajową Radą Radiofonii i Telewizji („KRRiT”). Strony listu intencyjnego wyrażają zainteresowanie udziałem w przedsięwzięciu jakim jest budowa platformy aukcyjnej („Platforma”) na potrzeby Addressable TV/DAI. GPW deklaruje zapewnienie odpowiedniego zaplecza technologicznego na potrzeby budowy Platformy oraz transparentnego systemu rozliczeniowego. Strony listu intencyjnego wyrażają wolę współpracy w zakresie m.in. stworzenia systemu aukcyjnego, na którym handel będzie odbywał się z zachowaniem zasad wypracowanych przy współpracy z KRRiT i z rynkiem mediów, w szczególności zasad i algorytmów dotyczących wyceny czasu reklamowego oraz formuły rozliczania i audytowania operacji kupna i sprzedaży reklam. Strony listu intencyjnego ustaliły, że model biznesowy funkcjonowania Platformy będzie bazował na formule opłaty za transakcję. GPW zwraca uwagę, że podpisanie listu intencyjnego nie oznacza, że zostaną podjęte dalsze czynności związane z nawiązaniem współpracy z KRRiT. Ewentualne nawiązanie współpracy i realizacja ww. projektu będą wymagały m.in. przeprowadzenia dalszych analiz i konieczności uzyskania odpowiednich zgód korporacyjnych.” Treść informacji poufnej, która została opóźniona 7 września 2021 r. na podstawie art. 17 ust. 4 Rozporządzenia MAR: „Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. („GPW”, „Spółka”, „Emitent”) informuje, że 7 września 2021 r. Rada Giełdy wyraziła zgodę na realizację inicjatywy strategicznej dotyczącej budowy platformy aukcyjnej („Platforma”) na potrzeby Addressable TV/DAI wraz z budżetem na jej realizację na lata 2021-2023 w wysokości 33 345 386,73 PLN (słownie: trzydzieści trzy miliony trzysta czterdzieści pięć tysięcy trzysta osiemdziesiąt sześć złotych i siedemdziesiąt trzy grosze), w tym 13 338 154,67 PLN (słownie: trzynaście milionów trzysta trzydzieści osiem tysięcy sto pięćdziesiąt cztery tysiące i sześćdziesiąt siedem groszy) grantu z Narodowego Centrum Badań i Rozwoju („NCBR”). Ewentualna realizacja ww. projektu będzie wymagać m.in. przeprowadzenia dalszych analiz. O kolejnych etapach procesu, GPW poinformuje osobnym raportem bieżącym.” Publikacje Informacji Poufnej z 24 września 2020 r., Informacji Poufnej z 26 lipca 2021 r. i Informacji Poufnej z 7 września 2021 r., zostały opóźnione ze względu na przesłanki, o których mowa Art. 17 ust. 4 MAR. | Current Report No. 19/2021Date: 4 October 2021Topic: Disclosure of delayed inside information concerning the commencement of the development of TeO, a multi-module auction platform supporting comprehensive processing of media industry transactionsLegal basis: Article 17(4) MAR – notification of delayed disclosure of inside information.Content:Acting pursuant to Article 17(1) and (4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (“MAR”), in connection with the cessation of the criteria of delaying inside information, the Management Board of the Warsaw Stock Exchange (“GPW” or “Company”) hereby publishes the following inside information concerning:• Signing of memoranda of understanding with PIKE and PIKSEL and with KIKE concerning the opening of negotiations on the development of a TV industry advertising auction system operator (“Inside Information of 24 September 2020”);• Decision of the Exchange Management Board to sign a memorandum of understanding with KRRiT concerning interest in a project of development of an Addressable TV/DAI auction platform (“Inside Information of 26 July 2021”);• Approval of the Exchange Supervisory Board for a strategic initiative of development of an Addressable TV/DAI auction platform and an implementation budget (“Inside Information of 7 September 2021”).Content of inside information delayed on 24 September 2020 under Article 17(4) MAR:“The Management Board of the Warsaw Stock Exchange (“GPW”, “Company” or “Issuer”) announces that on 24 September 2020 it signed memoranda of understanding with Polska Izba Komunikacji Elektronicznej (“PIKE”) and Polska Fundacja Wspierania Rozwoju Komunikacji Elektronicznej (“PIKSEL”) and with Krajowa Izba Komunikacji Ethernetowej (“KIKE”) concerning the opening of negotiations on potential development of a TV industry advertising auction system operator.The parties to the memoranda of understanding have declared their interest in participation in a joint project of development of an Adressable TV auction platform (“Platform”).Addressable TV provides real-time diverse advertising communications depending on defined viewer profiles. With Addressable TV, advertising campaigns only reach those viewers who meet the targeting criteria. As a result, different viewers watch customised advertising broadcast by the same television broadcaster at the same time. Addressable TV allows to implement Programmatic TV, i.e., automated television content purchasing.GPW has declared to provide the technology necessary for the development for the Platform as well as a transparent clearing system.PIKE and PIKSEL as well as KIKE have declared among others to take steps necessary to ensure the participation of their members in the project.The parties to the memoranda of understanding have decided that the Platform’s business model will be based on transaction fees. PIKE and PIKSEL as well as KIKE have declared that a single-digit percentage margin (approx. 5%) of the Platform operator (i.e., GPW) is acceptable. The financial details of the project including the detailed business model of the Platform will be defined in the course of efforts and analyses to be carried out by the parties to the memoranda of understanding.GPW points out that the signing of the memoranda of understanding does not necessarily mean that further steps will be taken in relation to the co-operation with those entities.The potential co-operation and the implementation of the project are subject to further analyses and necessary corporate consents.”Content of inside information delayed on 26 July 2021 under Article 17(4) MAR:“The Management Board of the Warsaw Stock Exchange (“GPW”, “Company” or “Issuer”) announces that on 26 July 2021 it decided to sign a memorandum of understanding with Krajowa Rada Radiofonii i Telewizji (“KRRiT”) dated 27 July 2021. The parties to the memorandum of understanding expressed their interest in participation in the project of development of an Adressable TV auction platform (“Platform”).GPW has declared to provide the technology necessary for the development for the Platform as well as a transparent clearing system.The parties to the memorandum of understanding have expressed their interest in co-operation including the development of an auction system supporting trade in accordance with terms and conditions defined in co-operation with KRRiT and the media industry, in particular including advertising time pricing rules and algorithms as well as advertising buy and sell transaction clearing and auditing.The parties to the memorandum of understanding have decided that the Platform’s business model will be based on transaction fees.GPW points out that the signing of the memorandum of understanding does not necessarily mean that further steps will be taken in relation to the co-operation with KRRiT.The potential co-operation and the implementation of the project are subject to further analyses and necessary corporate consents.”Content of inside information delayed on 7 September 2021 under Article 17(4) MAR:“The Management Board of the Warsaw Stock Exchange (“GPW”, “Company” or “Issuer”) announces that on 7 September 2021 the Exchange Supervisory Board approved the strategic initiative of development of an Addressable TV/DAI auction platform (“Platform”) and its 2021-2023 implementation budget of PLN 33,345,386.73 (in words: thirty-three million three hundred forty-five thousand three hundred eighty-six zlotys 73/100) including PLN 13,338,154.67 (in words: thirteen million three hundred thirty-eight thousand one hundred fifty-four zlotys 67/100) as a grant from Narodowe Centrum Badań i Rozwoju (“NCBR”).The potential implementation of the project is subject among others to further analyses.GPW will announce next steps in the process in a dedicated current report.”The publication of the Inside Information of 24 September 2020, the Inside Information of 26 July 2021 and the Inside Information of 7 September 2021 was delayed due to criteria referred to in Article 17(4) MAR.Legal basis: Article 17(4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (EU Official Journal L No. 173). |
