| Na podstawie § 5 pkt. 5 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim, Zarząd Orange Polska S.A. („Orange Polska”, „Spółka") informuje o powołaniu osoby nadzorującej Orange Polska. W dniu 21 listopada 2024 r. Nadzwyczajne Walne Zgromadzenie powołało do składu Rady Nadzorczej Etienne’a Vincens de Tapol. Powołanie było związane z faktem, iż na Nadzwyczajnym Walnym Zgromadzeniu Orange Polska S.A., które odbyło się w dniu 21 listopada 2024 r., wygasał mandat Etienne’a Vincens de Tapol jako członka Rady Nadzorczej Orange Polska S.A., powołanego przez Radę Nadzorczą Spółki w dniu 19 lipca 2024 r. w trybie § 19 ust. 8 Statutu Spółki. Życiorys: Etienne Vincens de Tapol (ur. 1973 r.) pełni od lipca 2024 roku funkcję Członka Zarządu ds. Finansów i Strategii w Orange Europe. Nadzoruje finanse, strategię, rozwój biznesowy, audyt i kontroling oraz programy transformacji na różnych rynkach europejskich. W trakcie kariery zawodowej pełnił kluczowe stanowiska kierownicze, w tym Członka Zarządu ds. Strategii w Orange France, gdzie kierował realizacją strategii finansowej i infrastrukturalnej, a także Członka Zarządu ds. IT oraz Zastępcy Członka Zarządu ds. Technicznych w Orange Jordan, gdzie zajmował się rozbudową sieci komórkowej i światłowodowej. Zdobył także doświadczenie w obszarze zakupowym, piastując stanowisko Starszego Wiceprezesa w BuyIn – spółce zakupowej powołanej wspólnie przez Deutsche Telekom i Orange. Etienne Vincens de Tapol ukończył studia magisterskie w zakresie zakupów międzynarodowych w Szkole Biznesowej Kedge w Bordeaux oraz studia inżynierskie w zakresie biotechnologii. W 1998 roku związał się z Grupą Orange, podejmując pracę w spółce Cofratel (obecnie wchodzi w skład Orange Direction Enterprise France). Zgodnie ze złożonym oświadczeniem Etienne Vincens de Tapol nie prowadzi działalności konkurencyjnej, ani nie uczestniczy w spółce konkurencyjnej wobec Orange Polska jako wspólnik spółki jawnej, spółki osobowej ani jako członek organu spółki kapitałowej, bądź jako członek organu w innej konkurencyjnej osobie prawnej. Nie został wpisany do rejestru Dłużników Niewypłacalnych prowadzonego na podstawie Ustawy o KRS. |

His expertise extends to procurement, having served as Senior VP at BuyIn, the procurement JV of Deutsche Telekom and Orange.<o p="#DEFAULT"></o></font></span><br/><br/><span lang="EN-GB"><font size="10.0pt" face="Helvetica 55 Roman,sans-serif">Etienne holds a Master Degree in International Purchasing from Bordeaux Kedge Business School and an engineering degree in biotechnologies.
