| Zarząd ManyDev Studio SE z siedzibą w Warszawie („Spółka”, „Emitent”), w nawiązaniu do raportów bieżących: nr 3/2023 z dnia 21 lutego 2023 r. oraz nr 10/2024 z dnia 15 marca 2024 r., niniejszym informuje, że w dniu wczorajszym tj. 26 marca 2024 r., Spółka zawarła (jako sprzedający) ze spółką Madnetic Games S.A. (jako kupującym) trzy następujące umowy o przeniesienie majątkowych praw autorskich do gier: 1) Umowę, której przedmiotem jest przeniesienie majątkowych praw autorskich do utworu w postaci Milestonów (etapów tworzonego dzieła) gry komputerowej „Sword&Shield Simulator”, w zakresie w jakim gra komputerowa jest ustalona na dzień zawarcia umowy, na wskazanych w umowie polach eksploatacji, udzielenie zezwolenia na wykonywanie autorskich praw zależnych oraz zobowiązanie się do niewykonywania autorskich praw osobistych – za wynagrodzeniem sprzedającego w wysokości 20% zysku netto z przyszłej gry komputerowej „Sword&Shield Simulator”. 2) Umowę, której przedmiotem Umowy jest przeniesienie majątkowych praw autorskich do utworu w postaci Milestonów (etapów tworzonego dzieła) gry komputerowej „Corsair’s Madness”, odebranych przez sprzedającego, na dzień zawarcia Umowy, przez osobę wskazaną w treści Umowy, na wskazanych w umowie polach eksploatacji, udzielenie zezwolenia na wykonywanie autorskich praw zależnych oraz zobowiązanie się do niewykonywania autorskich praw osobistych – za wynagrodzeniem sprzedającego w wysokości 20% zysku netto z przyszłej gry komputerowej „Corsair’s Madness”. 3) Umowę, której przedmiotem jest przeniesienie majątkowych praw autorskich do utworu w postaci Milestonów (etapów tworzonego dzieła) gry komputerowej „My Museum” w zakresie w jakim gra komputerowa jest ustalona na dzień zawarcia umowy, na wskazanych w umowie polach eksploatacji, udzielenie zezwolenia na wykonywanie autorskich praw zależnych oraz zobowiązanie się do niewykonywania autorskich praw osobistych – za wynagrodzeniem określonym w następujący sposób: francuska spółka Plug In Digital („Wydawca”) będąca wydawcą w.w. gry, jest uprawniona do wynagrodzenia w wysokości 70% zysku netto z gry komputerowej „My Museum” do chwili zwrotu kosztów produkcji gry określonych w umowie wydawniczej, podczas gdy Kupujący mając na uwadze przeniesienie praw i obowiązków wynikające z Umowy Cesji - o której Spółka informowała raportem bieżącym nr 10/2024 z dnia 15.03.2024 r. - jest uprawniony w tym okresie do 30% zysku netto z w.w. gry. Natomiast po zwrocie kosztów produkcji w.w. gry, Wydawca będzie uprawniony do wynagrodzenia w wysokości 35% zysku netto z w.w. gry, podczas gdy Kupujący, uprawniony będzie do 65% zysku netto z gry. Do czasu zwrotu kosztu produkcji gry, Kupujący, tytułem przeniesienia majątkowych praw autorskich oraz innych rozporządzeń i zobowiązań ujętych umową, będzie zobowiązany do zapłaty Spółce 10% zysku netto z gry, a po zwrocie kosztów gry 20% zysku netto; w obu przypadkach środki wypłacane Spółce będą pochodzić ze środków, które przypadły Kupującemu od Wydawcy. |

| Current Report no. 17/2024 Subject Conclusion of agreements on the transfer of copyrights to games Submission Legal basis: art. 17 (1) MAR – confidential information The Management Board of ManyDev Studio SE with its registered office in Warsaw ("Company", "Issuer") hereby informs that yesterday, i.e. March 26th, 2024, the Company concluded (as the seller) with Madnetic Games S.A. (as a buyer) the following three agreements on the transfer of economic copyrights to games: 1) An agreement the subject of which is the transfer of economic copyrights to a work in the form of Milestones (stages of the created work) of the computer game "Sword&Shield Simulator", to the extent that the computer game is established as at the date of conclusion of the agreement, in the fields of exploitation indicated in the agreement, granting permission to exercise derivative copyrights and undertake not to exercise moral copyrights - for the seller's remuneration in the amount of 20% of the net profit from the future computer game "Sword&Shield Simulator". 2) The Agreement, the subject of which is the transfer of economic copyrights to the work in the form of Milestones (stages of the created work) of the computer game "Corsair's Madness", collected by the seller, on the date of conclusion of the Agreement, by the person indicated in the content of the Agreement, in the fields indicated in the Agreement exploitation, granting permission to exercise derivative copyrights and undertaking not to exercise moral copyrights - for the seller's remuneration in the amount of 20% of the net profit from the future computer game "Corsair's Madness". 3) An agreement the subject of which is the transfer of economic copyrights to a work in the form of Milestones (stages of the created work) of the computer game "My Museum", to the extent that the computer game is fixed as at the date of conclusion of the agreement, in the fields of exploitation indicated in the agreement, granting permission to exercising derivative copyrights and undertaking not to exercise moral copyrights - for remuneration specified as follows: the French company Plug In Digital ("Publisher"), which is the publisher of the above-mentioned game, is entitled to remuneration in the amount of 70% of the net profit from the computer game "My Museum" until the game production costs specified in the publishing agreement are reimbursed, while the Buyer, taking into account the transfer of rights and obligations arising from the Assignment Agreement - about which the Company informed in the report current no. 10/2024 of March 15, 2024 - is entitled to 30% of the net profit from the above-mentioned during this period. games. However, after the reimbursement of the production costs of the above-mentioned game, the Publisher will be entitled to remuneration in the amount of 35% of the net profit from the above-mentioned. game, while the Buyer will be entitled to 65% of the net profit from the game. Until the cost of production of the game is refunded, the Buyer, by virtue of the transfer of proprietary copyrights and other regulations and obligations included in the agreement, will be obliged to pay the Company 10% of the net profit from the game, and after the reimbursement of the game costs, 20% of the net profit; in both cases, the funds paid to the Company will come from the funds allocated to the Buyer from the Publisher. |
