| Zarząd ManyDev Studio SE („Spółka”, „Emitent”) niniejszym informuje, że w dniu dzisiejszym, tj. 28 lutego 2022 r. otrzymała od Komisji Nadzoru Finansowego („KNF”) postanowienie w sprawie wszczęcia z urzędu postępowania administracyjnego w przedmiocie nałożenia na Spółkę kar administracyjnych na podstawie: a) art. 96 ust. 1e ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz.U. 2021 poz. 1983 z późn. zm., dalej: „ustawa o ofercie”) w brzmieniu obowiązującym przed wejściem w życie ustawy z dnia 10 lutego 2017 r. o zmianie ustawy o obrocie instrumentami finansowymi oraz niektórych innych ustaw (Dz. U. z 2017 r. poz.724, dalej: „ustawa zmieniająca nr 1”) albo art. 96 ust 1f ustawy o ofercie, w związku z podejrzeniem naruszenia art. 56 ust. 1 pkt 2 lit. b ustawy o ofercie, w brzmieniu obowiązującym przed wejściem w życie ustawy z dnia 9 marca 2017 r. o zmianie ustawy o obrocie instrumentami finansowymi oraz niektórych innych ustaw (Dz. U. 2017 r. poz. 791, dalej: „ustawa zmieniająca nr 2”) w związku z sporządzeniem raportu rocznego za rok obrotowy 2016 opublikowanego w dniu 31 marca 2017 r. oraz b) art. 96 ust.1e ustawy o ofercie, w brzmieniu nadanym ustawą zmieniającą nr 1 albo art. 96 ust. 1f ustawy o ofercie, w związku z podejrzeniem naruszenia art. 56 ust. 1 pkt 2 lit. b ustawy o ofercie, w brzmieniu nadanym ustawą zmieniającą nr 2, w związku ze sporządzeniem raportu rocznego za rok obrotowy 2017 opublikowanego w dniu 30 kwietnia 2018 r. Spółka jednocześnie informuje, iż KNF nie przedstawiła uzasadnienia do wyżej wspomnianego postanowienia. Wydarzenia przytoczone jako podstawa do wszczęcia postępowania miały miejsce przed zawarciem umowy inwestycyjnej z dnia 1 lutego 2021 r. |
