| Kazincbarcika, December 20, 2006 Re: Extraordinary announcement BorsodChem Nyrt. hereby informs its investors and other participants of the capital markets that Firthlion Limited, KAFIJAT Kereskedelmi és Consulting Kft., Messrs Megdet Rahimkulov, Timur Rahimkulov and Ruszlan Rahimkulov forwarded the following statement to the Company’s Board of Directors: “FIRTHLION LIMITED (seated at 38 Princes Court 88 Brompton Road Knightsbridge, London SW3 1ES, UK, registration no. 3760112, hereafter “FIRTHLION"), KAFIJAT Kereskedelmi és Consulting Kft. (seated at 1023 Budapest, Felhévizi u. 24., registration no. 01-09-466737, hereafter “KAFIJAT Kft."), Messrs Megdet Rahimkulov, Timur Rahimkulov and Ruszlan Rahimkulov in compliance with their obligation stipulated under Section 67 of Act CXX of 2001 on the Capital Markets, hereby announce that FIRTHLION alienated its 21,274,975 that is twenty-one million two hundred and seventy-four thousand nine hundred and seventy-five shares held in BorsodChem Nyrt. (seated at 3700 Kazincbarcika, Bolyai tér 1., registration no. 05-10-000054) as at December 15, 2006 under the public purchase offer made by First Chemical Holding Vagyonkezelő Kft.; herewith the direct control of FIRTHLION in BorsodChem Nyrt. has been terminated. Simultaneously, the indirect control in BorsodChem Nyrt. of KAFIJAT Kereskedelmi és Consulting Kft., the 99.999% owner of FIRTHLION LIMITED, Mr Megdet Rahimkulov (address: 1023 Budapest, Felhévizi u. 24.) 71.44% owner of KAFIJAT Kft. as well as Mr Timur Rahimkulov executive officer at BorsodChem Nyrt. (address: 1023 Budapest, Felhévizi u. 24.) and Mr Ruszlán Rahimkulov (address: 1025 Budapest, Palatinus u. 4.) 14.28% owners of KAFIJAT Kft. each and at the same time close relatives of Mr Megdet Rahimkulov has also been terminated."
