| ManyDev Studio SE (dalej jako: „Spółka”), w wykonaniu obowiązku przewidzianego w art. 70 pkt. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej jako: „Ustawa”), niniejszym informuje o otrzymaniu w dniu wczorajszym tj. dnia 21 maja 2024 r. w godzinach popołudniowych, zawiadomienia złożonego w trybie art. 69 w.w. Ustawy, przez GSB Invest sp. z o.o. z siedzibą w Warszawie, ul. Marszałkowska 87 lok. 102, 00-683 Warszawa, KRS: 0000831195 (dalej: „GSB Invest”). Zgodnie z treścią w.w. zawiadomienia: „Zmiana dotychczas posiadanego udziału w ogólnej liczbie głosów w MANYDEV STUDIO SE, obejmująca przekroczenie progu z art. 69 ust. 1 pkt. 1 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, nastąpiła na skutek nabycia akcji Emitenta poza alternatywnym systemem obrotu w wyniku zawarcia umowy cywilnoprawnej i jej rozliczenia na rachunku maklerskim GSB Invest sp. z o.o.” Przed w.w. zdarzeniem GSB Invest nie posiadał żadnych akcji Spółki (0% w kapitale zakładowym spółki ManyDev Studio, 0 głosów, co stanowiło 0 % głosów w ogólnej liczbie głosów na walnym zgromadzeniu Spółki ManyDev Studio). Obecnie GSB Invest posiada 6 899 999 akcji Spółki (stanowiących 30,53% w kapitale zakładowym Spółki ManyDev Studio, uprawniających do 6 899 999 głosów, co stanowi 30,53% głosów w ogólnej liczbie głosów na walnym zgromadzeniu ManyDev Studio). | Current Report No.35/2024 Subject: Notification pursuant to Art. 69 of the Public Offering Act on changing the share in the total number of votes Legal basis: Art. 70 point 1 of the Act on Public Offering ManyDev Studio SE (hereinafter referred to as the "Company"), in fulfillment of the obligation provided for in Art. 70 points 1 of the Act of July 29, 2005 on public offering and conditions for introducing financial instruments to organized trading and on public companies (hereinafter referred to as the "Act"), hereby informs about receipt yesterday, i.e. on May 21, 2024, in in the afternoon, notification submitted pursuant to Art. 69 above Act, by GSB Invest sp. z o.o. based in Warsaw, ul. Marszałkowska 87 lok. 102, 00-683 Warszawa, KRS: 0000831195 (hereinafter: "GSB Invest"). In accordance with the above-mentioned notification: "Change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including exceeding the threshold specified in Art. 69 section 1 point 1 of the Act on public offering and conditions for introducing financial instruments to organized trading and on public companies, occurred as a result of the purchase of the Issuer's shares outside the alternative trading system as a result of concluding a civil law contract and its settlement on the brokerage account of GSB Invest sp. z o.o. Before the above event, GSB Invest did not hold any shares of the Company (0% in the share capital of ManyDev Studio, 0 votes, which constituted 0% of votes in the total number of votes at the general meeting of ManyDev Studio). Currently, GSB Invest holds 6,899,999 shares of the Company (constituting 30.53% of the share capital of ManyDev Studio, entitling to 6,899,999 votes, which is 30.53% of the total number of votes at the general meeting of ManyDev Studio). The Company attaches the content of the notification to this report. |
