The deal to acquire all non-controlling interest in the Issuer's pig breeding business from minority investors

	MESSAGE (ENGLISH VERSION)
	The Board of KSG Agro S.A. headquartered in Luxembourg "the Issuer" hereby informs that on 28th December 2021, the Board approved the deal to acquire all non-controlling interest in the Issuer's pig breeding business from minority investors for the total price of USD 2,295,212. The deal is expected to be finalized by the end of December 2021. As a result of the deal, the Issuer's share in the pig business will increase from 50% to 100%.Effect of the Deal on Financial Position and Result for the Year.Since the Issuer already had control of the pig business prior to the deal, the deal itself will only affect the distribution of equity between the Issuer's shareholders and non-controlling interests. The Issuer's consolidated financial position and consolidated financial result for the year 2021 will not be directly affected. Book value of equity transferred from non-controlling interests to shareholders of the Issuer as a result of the deal is expected to be not less than USD 14 million. The final value of the equity transfer and other relevant details of the deal shall be disclosed in the Issuer's annual report in April 2022, pending the results of the Issuer's annual audit.
