| Rada Dyrektorów Allegro.eu („Spółka”) informuje, że Allegro sp. o.o., spółka pośrednio zależna od Spółki, oraz InPost sp. z o.o. („InPost”) podpisały aneks do Umowy Ramowej z dnia 12 września 2020 r. („Aneks”). Aneks modyfikuje Umowę Ramową w zakresie indeksacji cen za wolumeny przesyłek dostarczane przez InPost w okresie od listopada 2023 r. do grudnia 2024 r. Zmiany te polegają na: - Indeksacja cen w wysokości 12,8%, zgodnie z pierwotną klauzulą indeksacyjną, będzie dotyczyć wyłącznie wolumenów dostarczonych w listopadzie i grudniu 2023 roku; - Wysokość indeksacji cen dla wolumenów dostarczonych w okresie styczeń-grudzień 2024 r. będzie uzależniona od faktycznego wzrostu rok do roku wolumenów dostarczonych dla Allegro przez InPost w tym okresie. Poziom indeksacji cen będzie malał od 12,8% do 6% przy wzroście wolumenów zgodnie z uzgodnionymi progami ich zmian pomiędzy tymi limitami. Strony przewidziały możliwość wypowiedzenia przez InPost Aneksu (w zakresie wskazanych zmian) z zachowaniem dwumiesięcznego okresu wypowiedzenia, natomiast Allegro będzie uprawnione do rabatów do momentu rozwiązania umowy, przy czym ich poziom będzie ostatecznie zależał od wzrostu wolumenów w całym roku 2024 zgodnie z wyżej wymienionymi progami. Ponadto klauzule dotyczące indeksacji cen na kolejne lata pozostają niezmienione, z tym wyjątkiem, że podwyżki wynikające z dotychczasowej umowy zostaną przesunięte na lata kalendarzowe, tak aby kolejna podwyżka obowiązywała od stycznia 2025 r. do grudnia 2025 r. (w odróżnieniu od listopada 2024 r. do października 2025 r. zgodnie z pierwotną umową) w celu zapewnienia większej przejrzystości i przewidywalności. | Current report No. 2/2024 20 January 2024 Title: Allegro sp. z o.o. and InPost sp. z o.o. signed an annex to the Framework Agreement Legal basis: Article 17 of MAR - inside information The Board of Directors of Allegro.eu (the "Company”) informs that Allegro sp. o.o., a wholly owned indirect subsidiary of the Company, and InPost sp. z o.o. ("InPost") signed an annex to the Framework Agreement of 12 September 2020 (the “Annex”). The annex modifies the Framework Agreement with respect to price indexation of charges for volumes to be delivered by InPost in the period from November 2023 to December 2024. These modifications are as follows: - The price indexation of 12.8%, in accordance with the original indexation clause, will apply only to volumes delivered in November and December 2023; - The price indexation increase for volumes delivered between January and December 2024 will depend on the actual year-on-year growth in the volumes delivered for Allegro by InPost during that period. The indexation will decrease from 12.8% towards a minimum of 6% as volume growth increases, based on an agreed grid. The parties provided for the possibility for InPost to terminate the Annex (in terms of mentioned modifications) with a two-month notice period. In this event Allegro will retain the right to discounts on volumes delivered prior to the termination of the Annex, except that the size of the discount to be applied will depend on the volume growth for the full twelve months of 2024 in accordance with the agreed grid. In addition, price indexation clauses for subsequent years are unchanged except for the fact that the increases under the existing contract will be moved to cover calendar years, such that the next increase will apply for January 2025 to December 2025 (as opposed to November 2024 to October 2025 under the original agreement) for the sake of greater clarity and predictability.
