| Zarząd ManyDev Studio SE („Spółka”, „Emitent”) informuje, iż w dniu dzisiejszym, tj. 20 stycznia 2022 r. została dwustronnie podpisana przez Spółkę (jako „Dewelopera") oraz Bingle Games sp. z o.o. w organizacji z siedzibą w Krakowie (jako „Wydawcę”) umowa deweloperska na produkcje gry video pod roboczym tytułem „The Edge of Collapse” opartej na cyklu powieści pod tym samym tytułem autorki o nazwisku Kyla Stone („Umowa”). Zgodnie z zawartą Umową, Spółka stworzy grę na komputery PC, w systemie kamieni milowych, według poniższego schematu: za etapy do stworzenia wersji Demo – 276 000 zł netto, za etap do stworzenia Prologu: 324 000 zł netto, za pełną wersję gry: 1 296 000 zł netto przy czym Wydawca będzie miał prawo do rezygnacji z dalszych prac po zakończeniu każdego z ww. etapów. Poza wynagrodzeniem określonym w umowie Deweloper będzie uprawniony do określonego procentowo udziału w zysku netto ze sprzedaży gry w wysokości 23%. Szacunkowy łączny czas realizacji umowy to 35 miesięcy. Pozostałe warunki umowy nie odbiegają od standardowych stosowanych w branży gamedev. Zarząd Spółki zdecydował o publikacji niniejszej informacji z uwagi na fakt, iż może mieć ona istotny wpływ na kształtowanie się sytuacji finansowej i majątkowej Spółki, pełne wykorzystanie możliwości współpracujących z Emitentem zespołów deweloperskich oraz potencjalnie istotny wpływ na wycenę instrumentów finansowych Spółki. |

| <html> <head> </head> <body> <p class="MsoNormal" align="justify"> <b><span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">Current Report no. 3/2022</font></span></b> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">Subject: <b>Conclusion of a significant agreement</b></font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">Legal basis: Article 17(1) MAR - confidential information</font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">The Management Board of ManyDev Studio SE (the "Company", "Issuer") informs that today, i.e. on 20 January 2022, the Company (as "Developer") and Bingle Games sp. z o.o. in organization with its registered seat in Krakow (as "Publisher") signed a development agreement for the production of a video game under the working title "The Edge of Collapse", based on a series of novels under the same title by an author named Kyla Stone (the "Agreement"). </font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">In accordance with the concluded Agreement, the Company will create a game for the PC computer, in a system of milestones, according to the following scheme </font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">for the stages to create the Demo version - PLN 276,000 net,</font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">for the stage to create the Prologue: 324 000 PLN net,</font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">for full version of the game: 1 296 000 PLN net </font></span> </p> <p class="MsoNormal" align="justify"> <span lang="EN-US" style="line-height: 107%"><font size="10.0pt" face="Book Antiqua,serif">whereas the Publisher will have the right to resign from further work after completion of each of the above-mentioned stages.
