| In accordance with provisions of the Ljubljana Stock Exchange Rules and the Financial Instruments Market Act, Nova KBM d.d., Maribor, hereby gives the following notice: In its action plan for the improvement of the capital adequacy Nova KBM d.d. envisaged a partial buyback of subordinated instruments. By buying back the subordinated instruments the Bank intends to increase its Core Tier I capital ratio. The Tender and Exchange Offer relates to the following issues: Floating Rate Perpetual Notes – issued in the amount of €50 million by ING Bank NV, ISIN: XS0270427163 LPN – Loan Participation Note – issued in the amount of €100 million by Maribor Finance BV, ISIN: XS0325446903 In accordance with the offer from 13 November 2012, Nova KBM is publishing the results of the mentioned offer in the table. Nova KBM will accept the offer subject to approval of the Bank of Slovenia. The Settlement Date for the Offers is expected to be on or about 14 December 2012. This announcement will be published on the Bank's website (www.nkbm.si) from 5 December 2012 onwards. |
