| The Board of Directors of KSG Agro S.A. (the "Company") informs that on 22nd of September 2011 the State Commission for Securities and Stock Market of Ukraine has registered Issue prospectus for bonds issue of LLC “Agricultural entity Scorpion", an Ukrainian subsidiary of the Company. Total size of the bonds issue is UAH 200 000 000. The Bonds are guaranteed by the Company. The proceeds from the bond issue will be used for: - new agricultural machinery purchases; - reconstruction of pig-breeding complex; - purchases of the new equipment for the Meet Production Plant; - construction of the elevator; Placement beginning date: 03 of October 2011 Placement finishing date: 27 of September 2012 Maturity beginning date: 30 of September 2013 Maturity finishing date: 02 of October 2013 Bonds interest rate: 16,50% Underwriter: Public joint-stock company “Alpha-Bank", with its registered seat in 4/6 Desyatinna str., 01001 Kiev, Ukraine. Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market. |
