| Zarząd CIECH S.A. z siedzibą w Warszawie („Emitent” lub „Spółka"), w nawiązaniu do raportu bieżącego nr 37/2016 z dnia 18.11.2016 r., informuje, że w dniu 27.11.2018 r. spółka zależna od Emitenta - CIECH Soda Romania S.A. w Rumunii („CSR") zawarła aneks („Aneks”) do umowy na dostawy pary technologicznej („Umowa”) ze spółką S.C. CET Govora S.A. w Rumunii w upadłości układowej („CET”). Zgodnie z zawartym Aneksem, Strony przedłużyły termin negocjacji dotyczących ustalenia formuły cenowej na dostawy pary technologicznej do dnia 31.12.2018 r. Zgodnie z Umową, o której Emitent informował raportem bieżącym nr 37/2016 w dniu 18.11.2016 r., Strony uzgodniły, iż cena pary na lata 2019-2026 zostanie ustalona w oparciu o formułę cenową, w wyniku negocjacji do dnia 01.12.2018 r. W przypadku nieuzgodnienia formułowy cenowej do dnia 01.12.2018 r., Strony przewidziały, że Umowa rozwiąże się z mocy prawa z dniem 01.01.2019 r. Podstawa prawna: Art. 17 ust. 1 rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE (Dz. Urz. UE L Nr 173, str. 1) („MAR”). |

| Subject: Extension of the deadline for determining a price formula for the supply of process steam to a subsidiary of the Issuer Contents of the Report: In reference to current report no. 37/2016 of 18.11.2016, the Management Board of CIECH S.A. with its registered office in Warsaw (the “Issuer” or the “Company”) hereby informs that on 27.11.2018, a subsidiary of the Issuer - CIECH Soda Romania S.A. based in Romania (“CSR”), entered into an annex (the “Annex”) to an agreement for the supply of process steam (the “Agreement”) with S.C. CET Govora S.A. in composition bankruptcy based in Romania (“CET”). Pursuant to the Annex, the Parties extended the deadline for the completion of negotiations related to the determination of the price formula for the supply of process steam until 31 December 2018. Pursuant to the Agreement, which was notified by the Issuer on 18.11.2016 in current report no. 37/2016 on November 18, 2016, the Parties agreed that the price of the steam for 2019-2026 will be determined based on the price formula, as a result of negotiations, on or before 01.12.2018. In the event of failure to determine the price formula on or before 01.12.2018, the Parties provided for the termination of the Agreement by law as of 01.01.2019.
