| W nawiązaniu do raportu bieżącego nr 5/2019 z dnia 27 lutego 2019 r., Zarząd Banku Polska Kasa Opieki Spółka Akcyjna z siedzibą w Warszawie przy ul. Grzybowskiej 53/57, 00-950 Warszawa, wpisanego do rejestru przedsiębiorców prowadzonego przez Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS 0000014843, NIP: 526-00-06-841, o kapitale zakładowym i kapitale wpłaconym w wysokości 262 470 034 zł („Bank”), działając na podstawie art. 539 § 1 i 2 Kodeksu spółek handlowych („ksh”), w zw. z art. 4021 ksh, w uzupełnieniu pierwszego zawiadomienia o planowanym podziale Centralnego Domu Maklerskiego Pekao S.A. z siedzibą w Warszawie, wpisanego do rejestru przedsiębiorców prowadzonego przez Sąd Rejonowy dla m.st. Warszawy w Warszawie, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS 0000024477 („Spółka Dzielona” lub „CDM”), („Podział CDM”), opublikowanego w formie raportu bieżącego nr 5/2019 z dnia 27 lutego 2019 r., zawiadamia, że akcjonariusze Banku mogą zapoznawać się z opinią biegłego z badania planu Podziału CDM podpisanego 27 lutego 2019 r. („Plan Podziału CDM”) w zakresie jego poprawności i rzetelności. Opinia biegłego z badania Planu Podziału CDM jest dostępna na stronie internetowej Banku: https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/Plan-Podzialu-CDM-Pekao-SA.html. W nawiązaniu do treści raportu bieżącego nr 5/2019 z dnia 27 lutego 2019 r. Zarząd Banku ponownie przekazuje poniższe informacje zawiadamiając o Podziale CDM. Podział CDM zostanie dokonany w trybie art. 529 § 1 pkt 1 ksh, tj.: poprzez: 1. przeniesienie na Bank części majątku (aktywów i pasywów) oraz praw i obowiązków Spółki Dzielonej w postaci zorganizowanej części przedsiębiorstwa CDM związanej ze świadczeniem usług maklerskich („Działalność Maklerska”); oraz 2. przeniesienie na spółkę Centrum Bankowości Bezpośredniej sp. z o.o. z siedzibą w Krakowie, wpisaną do rejestru przedsiębiorców prowadzonego przez Sąd Rejonowy dla Krakowa - Śródmieścia, XI Wydział Gospodarczy Krajowego Rejestru Sądowego pod numerem KRS 0000030709 („CBB”) części majątku (aktywów i pasywów) oraz praw i obowiązków Spółki Dzielonej w postaci zorganizowanej części przedsiębiorstwa CDM związanej z wykonywaniem usług call center („Działalność Call Center”). Zgodnie z art. 530 § 1 ksh Spółka Dzielona zostanie rozwiązana bez przeprowadzenia postępowania likwidacyjnego w dniu jej wykreślenia z rejestru, co nastąpi niezwłocznie po dokonaniu podwyższenia kapitału zakładowego CBB w wyniku Podziału CDM („Dzień Podziału CDM”). Plan Podziału CDM został udostępniony w trybie art. 535 § 3 ksh poprzez umieszczenie na stronie internetowej Banku (pod adresem: https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/Plan-Podzialu-CDM-Pekao-SA.html). Na podstawie art. 540 § 31 ksh Bank informuje, że do dnia zakończenia walnego zgromadzenia Banku, którego porządek obrad przewidywać będzie podjęcie uchwały w sprawie Podziału CDM, akcjonariusze mogą zapoznać się z poniższymi informacjami za pośrednictwem strony internetowej Banku, tj. akcjonariuszom udostępnia się: 1) Plan Podziału CDM (zawierający także informacje i dokumenty, o których mowa w art. 534 § 2 ksh, z wyjątkiem oświadczenia, o którym mowa w art. 534 § 2 pkt 4 ksh w odniesieniu do Banku, względem którego nie jest wymagane sporządzania takiego oświadczenia), dostępny na stronie: https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/Plan-Podzialu-CDM-Pekao-SA.html; 2) sprawozdania finansowe Banku oraz sprawozdania zarządu z działalności Banku za trzy ostatnie lata obrotowe wraz ze sprawozdaniami z badania dostępne na stronie: https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/raporty-finansowe.html; 3) sprawozdania finansowe oraz sprawozdania zarządu z działalności CDM oraz CBB za trzy ostatnie lata obrotowe wraz ze sprawozdaniami z badania dostępne na stronie: https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/Plan-Podzialu-CDM-Pekao-SA.html; 4) sprawozdania zarządów Banku, CDM oraz CBB z dnia 27 lutego 2019 r. sporządzone dla celów Podziału CDM dostępne na stronie: https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/Plan-Podzialu-CDM-Pekao-SA.html, 5) opinię biegłego z badania Planu Podziału CDM dostępną na stronie https://www.pekao.com.pl/o-banku/stopka/informacje-dla-inwestorow/Plan-Podzialu-CDM-Pekao-SA.html. | UNOFFICIAL TRANSLATION SUPPLEMENT TO THE FIRST NOTIFICATION OF THE PROPOSED DIVISION OF CENTRALNY DOM MAKLERSKI PEKAO S.A., WHERE BANK PEKAO S.A. IS ONE OF THE ACQUIRING ENTITIES Current Report No.7/2019 Further to current report No. 5/2019 dated 27 February 2019, the Management Board of Bank Polska Kasa Opieki Spółka Akcyjna, with its registered office in Warsaw, postal address: ul. Grzybowska 53/57, 00-950 Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, under KRS No. 0000014843, NIP: 526-00-06-841, with a share capital and paid-up capital of PLN 262,470,034 (the “Bank”), acting pursuant to Article 539 §1 and 2 of the Commercial Companies Code (the “CCC”), in connection with Article 4021 of the CCC, hereby supplements the first notification about the proposed division of Centralny Dom Maklerski Pekao S.A., with its registered seat in Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register, under KRS No. 0000024477 (the “Company Being Divided” or “CDM”) (the “CDM Division”) published in the form of current report No. 5/2019 dated 27 February 2019, and announces that the shareholders of the Bank may review the opinion of the statutory auditor from the audit of the division plan of CDM signed on 27 February 2019 (the “CDM Division Plan”) in terms of its correctness and accuracy. The opinion of the statutory auditor from the audit of the CDM Division Plan is available at the Bank’s website: https://www.pekao.com.pl/en/investors-relations/CDM-Division-Plan.html. Further to current report No. 5/2019 dated 27 February 2019, the Management Board of the Bank announces the following information again and makes a notification of the CDM Division. The division of CDM will be effected in accordance with the procedure specified in Art. 529 § 1.1 of the CCC, i.e. through: 1. a transfer to the Bank of a part of the assets and liabilities and the rights and obligations of the Company Being Divided in the form of an organised part of the enterprise of CDM connected with the provision of brokerage services (the “Brokerage Business”); and 2. a transfer to Centrum Bankowości Bezpośredniej sp. z o.o., with its registered seat in Kraków, entered in the Register of Business Entities kept by the District Court for Kraków-Śródmieście, XI Commercial Division of the National Court Register, under KRS No. 0000030709 (“CBB”) of a part of the assets and liabilities and the rights and obligations of the Company Being Divided in the form of an organised part of the enterprise of CDM connected with the provision of call center services (the “Call Center Business”). Pursuant to Art. 530 § 1 of the CCC, the Company Being Divided will be wound up without liquidation proceeding on the date, on which it is struck off the register, which will occur immediately upon the registration of the share capital increase of CBB in connection with the CDM Division (the “CDM Division Date”). The CDM Division Plan has made available pursuant to Article 535 § 3 of the CCC by being posted on the Bank’s website (at https://www.pekao.com.pl/en/investors-relations/CDM-Division-Plan.html).
