Pursuant to a notice received by CARLSON INVESTMENTS SE of Warsaw (hereinafter referred to as the Issuer, the Company) from the audit firm UHY ECA Audyt sp. z o.o. sp. k. of Warsaw, the organized part of the enterprise in the field of the audit department was transferred from UHY ECA Audyt spółka z ograniczoną odpowiedzialnością spółka komandytowa of Warsaw to UHY ECA Audyt spółka z ograniczoną odpowiedzialnością of Warsaw.
UHY ECA Audyt sp. z o.o. sp. k. with its registered office in Warsaw (hereinafter referred to as the Vendor) requested CARLSON INVESTMENTS SE consent to the transfer of all rights and obligations under the Agreement for the Audit of the Financial Statements for 2022-23 concluded on 23.12.2022 (hereinafter the Agreement) to UHY ECA Audyt spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw, address: Połczyńska 31A Street, 01-377 Warsaw, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, XII Economic Division of the National Court Register under KRS number: 0000487588, NIP: 6751492461, REGON: 122994138, entered in the list of audit firms, kept by the Polish Audit Supervision Agency, under number: 3886 (hereinafter the Purchaser).
In accordance with the submitted statement, both the Vendor and the Purchaser are and will continue to be part of the UHY ECA Capital Group, and the agreement for the audit of the financial statements concluded by the Issuer will be performed at all times under the existing terms and conditions by the same team of people.
The entry of the Purchaser, in place of the Vendor, into the Audit Agreement, in accordance with their assertion, does not result in the termination of this agreement within the meaning of Article 66, paragraph 7 of the Accounting Law, or its expiration.
In connection with the above, the Management Board of CARLSON INVESTMENTS SE informs that the Supervisory Board of CARLSON INVESTMENTS SE has adopted a resolution whereby, acting pursuant to Art. 21 para. 2 item 16 of the Company's Articles of Association, updated the Resolution of December 14, 2022 on the selection of the auditing firm authorized to audit the financial statements in such a way that, in connection with the transfer of the organized part of the enterprise from the Vendor to the Purchaser, the auditing firm authorized to audit the financial statements of the Company and the consolidated financial statements of the CARLSON INVESTMENTS Group as of December 31, 2023; will be UHY ECA Audyt Spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw KRS: 0000487588, NIP: 6751492461, REGON: 122994138 registered in the list of audit firms kept by the Polish Audit Supervision Agency under number: 3886.
