| Zarząd Grupy Azoty S.A. (dalej: "Emitent") informuje, iż łączna wartość obrotów handlowych Grupy Kapitałowej Grupa Azoty S.A. z Grupą Kapitałową Polskie Górnictwo Naftowe i Gazownictwo S.A. w okresie od 17.12.2014 roku do dnia publikacji niniejszego raportu osiągnęła wartość 1.146 mln zł netto. Powyższa wartość przekracza 10% wartości przychodów ze sprzedaży w Grupie Kapitałowej Emitenta za okres ostatnich czterech kwartałów obrotowych, co stanowi kryterium do uznania sumy obrotów za wartość znaczącą. Umową o najwyższej wartości netto w raportowanym okresie jest podpisany w dniu 13 sierpnia 2015 roku przez spółkę zależną Emitenta – Grupa Azoty Zakłady Azotowe "Puławy" S.A. (dalej: “Grupa Azoty Puławy") aneks do umowy kupna-sprzedaży gazu ziemnego wysokometanowego (dalej: "Aneks), zawartej z Polskim Górnictwem Naftowym i Gazownictwem S.A. w dniu 14 stycznia 1999 roku na czas nieokreślony, otrzymany przez Grupę Azoty Puławy w dniu 17 sierpnia 2015 roku, o czym Grupa Azoty Puławy poinformowała raportem bieżącym nr 27/2015 z dnia 18 sierpnia 2015 roku. Podpisany Aneks zmienia definicję Roku Umownego określając go jako okres od godz. 6.00 dnia 1 października roku bieżącego do godz. 6.00 dnia 1 października roku następnego (tzw. rok gazowy). Dotychczas Rok Umowny był zbieżny z rokiem kalendarzowym. Łącznie z Aneksem podpisany został Załącznik (“Zamówienie ilości paliwa gazowego w poszczególnych miesiącach Roku Umownego i zamówienie mocy umownej") do Umowy, który określa poziom mocy umownej oraz ilości paliwa gazowego zamawiane na rok gazowy 2015/2016, Podpisany Załącznik zastępuje także uzgodnienia dotyczące ilości i mocy umownych w okresie od 1 października do 31 grudnia 2015 określone w załączniku do umowy zawartym dnia 17 grudnia 2014, o których Grupa Azoty Puławy informowała w raporcie bieżącym 28/2014 z dnia 17 grudnia 2014 roku Podstawa prawna: § 5 ust. 1 pkt 3 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (tekst jedn. | Current Report No. 57/2015 of August 18th 2015 Legal basis: Art. 56.1.2 of the Public Offering Act – Current and periodic information Value of transactions with PGNiG S.A. meets the criteria of significant agreement The Management Board of Grupa Azoty S.A. (the “Company”) announces that the total value of transactions concluded between the Grupa Azoty Group and the PGNiG Group in the period from December 17th 2014 until the publication of this report reached PLN 1,146 m (exclusive of VAT). Having exceeded 10% of the Grupa Azoty Group's total revenue in the last four financial quarters, the aggregate value of the transactions meets the criteria of significant agreement. The single agreement with the highest VAT-exclusive value in the period covered by this report was an annex signed on August 13th 2015 by Grupa Azoty Zakłady Azotowe Puławy S.A. (“Grupa Azoty Puławy”), a subsidiary of the Company, to the Agreement for sale of high-methane natural gas (the “Annex”), concluded with Polskie Górnictwo Naftowe i Gazownictwo S.A. on January 14th 1999 for an unspecified time, received by Grupa Azoty Puławy on August 17th 2015 . Grupa Azoty Puławy announced the conclusion of the Annex in its Current Report No. 27/2015 dated August 18th 2015. The Annex changed the definition of the Contract Year to mean the period from 6.00 am on October 1st of a given calendar year to 6.00 am on October 1st of the next calendar year (a gas year). Earlier, the Contract Year under the Agreement had been the same as a calendar year. Together with the Annex, an Appendix to the Agreement was signed, entitled ‘Gas fuel volumes contracted in individual months of the Contract Year and contracted capacity’ specifying the contracted capacity and quantity of gas fuel for the 2015/2016 gas year. The Appendix also replaces the previous arrangements concerning contracted volumes and capacity in the period October 1st−December 31st 2015 specified in the appendix to the Agreement concluded on December 17th 2014 and announced by Grupa Azoty Puławy in its Current Report No. 28/2014 dated December 17th 2014.
