| Zarząd TVN S.A. ("TVN" lub "Spółka") informuje o dokonaniu zmian w składzie Zarządu w związku z wdrażaniem kolejnego etapu reformy struktury zarządzania Spółką i spółkami jej grupy kapitałowej. Celem wdrażanej reformy struktury zarządzania jest zapewnienie na szczeblu Zarządu Spółki integracji działalności wszystkich spółek należących do grupy kapitałowej Spółki jak również sprawnego zarządzania poszczególnymi spółkami wchodzącymi w skład grupy kapitałowej TVN. Po dokonaniu zmian, o których mowa poniżej, nowy skład Zarządu TVN ze skutkiem na dzień 1 września 2009 roku, jest następujący: Markus Tellenbach – Prezes Zarządu Piotr Walter – Wiceprezes Zarządu Łukasz Wejchert – Wiceprezes Zarządu Rafał Wyszomierski – członek Zarządu Piotr Walter, który został powołany na Wiceprezesa Zarządu TVN, pozostanie odpowiedzialny w ramach Zarządu TVN za zarządzanie działalnością samej TVN zachowując funkcję Dyrektora Generalnego TVN. Łukasz Wejchert pozostanie odpowiedzialny za działalność internetową Grupy TVN i będzie nadal sprawował funkcję prezesa zarządu Grupa Onet.pl S.A. Edward Miszczak pozostanie odpowiedzialny za sprawy programowe TVN jak dyrektor ds programowych. W dniu 12 sierpnia 2009 r. rezygnację, ze skutkiem na dzień 31 sierpnia 2009 roku, z pełnienia funkcji Prezesa Zarządu TVN, z jednoczesnym kontynuowaniem pełnienia obowiązków członka Zarządu TVN, złożył dotychczasowy Prezes Zarządu – Piotr Walter, zaś Edward Miszczak złożył, ze skutkiem na dzień 31 sierpnia 2009 roku, rezygnację z pełnienia funkcji członka Zarządu i Wiceprezesa Zarządu TVN. Z przyczyn osobistych, nie związanych z wdrażaniem kolejnego etapu reformy struktury zarządzania, w dniu 12 sierpnia 2009 r. rezygnację z pełnienia funkcji członka Zarządu i Wiceprezesa Zarządu TVN, ze skutkiem na dzień 31 sierpnia 2009 r., złożyła Karen Burgess, odpowiedzialna w Zarządzie za sprawy finansowe, sprzedaży oraz sprawy administracyjne. Rada Nadzorcza na stanowisko Prezesa Zarządu TVN powołała w dniu 12 sierpnia 2009 roku, ze skutkiem na dzień 1 września 2009 roku, Markus’a Tellenbach, którego podstawowym zadaniem będzie strategiczne zarządzanie grupą kapitałową TVN. Markus Tellenbach będzie też w pierwszym okresie odpowiedzialny za zarządzanie platformą cyfrową "n" i z dniem 1 października 2009 r. obejmie funkcję prezesa zarządu ITI Neovision Sp. z o.o. W związku z powołaniem na stanowisko Prezesa Zarządu TVN Markus Tellenbach złożył w dniu 12 sierpnia 2009 roku, ze skutkiem na dzień 31 sierpnia 2009 roku, rezygnację z pełnienia obowiązków członka Rady Nadzorczej TVN. Markus Tellenbach ma 48 lat i był członkiem Rady Nadzorczej TVN od 2007 roku. Obecnie pełni funkcję Przewodniczącego Rady Nadzorczej SKY Deutschland, znanej uprzednio jako Premiere, wiodącego w Niemczech nadawcy płatnej telewizji. Uprzednio, pełnił szereg funkcji kierowniczych, w tym Prezesa, dyrektora generalnego i dyrektora zarządzającego SBS Broadcasting S.A., gdzie był odpowiedzialny za przygotowanie i praktyczną realizację rozwoju tej spółki w jedną z największych pan-europejskich spółek medialnych. Przed dołączeniem do SBS, był dyrektorem generalnym KirchPayTV GmbH & Co. oraz dyrektorem generalnym Premiere World, wiodącego w Niemczech nadawcy telewizyjnego. Wcześniej w swoim życiu zawodowym był odpowiedzialny za rozwój i ekspansję Vox, krajowego niemieckiego komercyjnego nadawcy telewizyjnego, którego współwłaścicielami byli Bertelsmann, Canal Plus oraz News Corporation. Markus Tellenbach będzie nadal sprawował funkcję Przewodniczącego Rady Nadzorczej SKY Deutschland, która to działalność nie jest konkurencyjna względem funkcji Prezesa Zarządu TVN. Markus Tellenbach nie uczestniczy w żadnej spółce konkurencyjnej względem TVN jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej, ani nie uczestniczy w innej konkurencyjnej względem TVN osobie prawnej jako członek jej organu. Nie figuruje w Rejestrze Dłużników Niewypłacalnych. Rada Nadzorcza powołała również na członka Zarządu TVN, ze skutkiem na dzień 1 września 2009 roku, Rafała Wyszomierskiego, któremu powierzone zostanie wykonywanie obowiązków głównego dyrektora do spraw finansowych TVN i grupy TVN. Rafal Wyszomierski jest pracownikiem TVN od 2005 r. roku, ostatnio pełnił funkcję dyrektora finansowego. Przed podjęciem zatrudnienia w TVN pracował w jako Senior Manager w PricewaterhouseCoopers (2000 – 2005), jako Senior Associate w PricewaterhouseCoopers Luxemburg (1999 - 2000) oraz jako Senior Consultant w PricewaterhouseCoopers Polska (1995 – 1998). Nie wykonuje żadnej działalności poza TVN jak również nie uczestniczy w żadnej spółce konkurencyjnej względem TVN jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej, ani nie uczestniczy w innej konkurencyjnej względem TVN osobie prawnej jako członek jej organu. Nie figuruje w Rejestrze Dłużników Niewypłacalnych. Rada Nadzorcza powołała również w dniu 12 sierpnia 2009 roku: - Markus’a Tellenbach na Prezesa Zarządu TVN, - Piotra Waltera na Wiceprezesa Zarządu TVN, oraz - Łukasza Wejcherta na Wiceprezesa Zarządu TVN na nową 3- letnią kadencję rozpoczynającą się z dniem odbycia walnego zgromadzenia TVN zatwierdzającego sprawozdanie finansowe za rok obrotowy 2009. |

| The Management Board of TVN S.A. ( „TVN” or „Company”) hereby informs about changes in the composition of the Management Board related to the implementation of the subsequent stage of reform of the management structure of the Company and companies of its capital group.The aim of the implemented reform of the management structure is to assure at the level of the Management Board of the Company of integration of activities of all the companies belonging to the Company’s capital group as well as efficient management of the respective companies of TVN’s capital group.Following the changes listed below the new composition of the Management Board of TVN, effective as of September 1, 2009, is as follows:Markus Tellenbach – President of the Management BoardPiotr Walter – Vice-president of the Management BoardŁukasz Wejchert – Vice-president of the Management BoardRafał Wyszomierski – member of the Management BoardPiotr Walter, who was appointed Vice-president of the Management Board of TVN, will remain responsible within the Management Board of TVN for management of the activities of TVN itself continuing to function as the Director General of TVN.Łukasz Wejchert will remain responsible for TVN Group online business and will continue to perform the function of the president of the management board of Grupa Onet.pl S.A.Edward Miszczak will remain responsible for TVN’s programming matters as its programming director.On August 12, 2009 resignation, with effect as of August 31, 2009, from performance of the function of the President of the Management Board of TVN, while continuing to perform the function of a member of the Management Board of TVN, was submitted by Piotr Walter, and Edward Miszczak has submitted resignation, with effect as of August 31, 2009, from performance of the function of a member of the Management Board and Vice-president of the Management Board of TVN.For personal reasons, not related to the implementation of the subsequent stage of reform of the management structure, on August 12, 2009 resignation from performance of the function of a member of the Management Board and Vice-president of the Management Board of TVN, with effect as of August 31, 2009, was submitted by Karen Burgess, responsible in the Management Board for financial, sales and administrative matters.The Supervisory Board has appointed on August 12, 2009, with effect as of September 1, 2009, Markus Tellenbach as the new President of the Management Board of TVN, whose main tasks will be the strategic management of the capital group of TVN. Markus Tellenbach will be initially also responsible for the management of digital platform “n” assuming as of October 1, 2009 the function of the president of the management board of ITI Neovision sp. z o.o.In connection with his appointment as the President of the Management Board of TVN, Markus Tellenbach has tendered on August 12, 2009, with effect as of August 31, 2009, his resignation from the function of a member of the Supervisory Board of TVN.Markus Tellenbach, 48, has been a member of the Supervisory Board of TVN since 2007. Currently he is the Chairman of the Supervisory Board of SKY Deutschland, formally known as Premiere, the leading German pay-TV operator. Previously, he held several leadership positions, including President, CEO and COO of SBS Broadcasting S.A., where he developed and executed the company’s expansion into one of the largest pan-European media companies. Prior to joining SBS, he was CEO of KirchPayTV GmbH & Co. and CEO of Premiere World, Germany’s leading pay-TV operator. Earlier in his career, he led the development and expansion of Vox, a national German commercial broadcaster jointly owned by Bertelsmann, Canal Plus and News Corporation.Markus Tellenbach will continue to be the Chairman of the Supervisory Board of SKY Deutschland which function is not competitive with the performance of the function of the President of the Management Board of TVN. Markus Tellenbach is not involved in any entity competing with TVN as a partner of a civil or commercial partnership or a member of authorities of a capital company nor is a member of authorities of any other juridical person competing with TVN. He is not entered in the Register of Insolvent Debtors.The Supervisory Board has also appointed as member of the Management Board of TVN, with effect as of September 1, 2009, Rafał Wyszomierski, who will be entrusted with carrying out the duties as interim CFO of TVN and TVN group. Rafal Wyszomierski has been employed by TVN since 2005, recently as financial director. Prior to joining TVN he was Senior Manager in PricewaterhouseCoopers (2000-2005), Senior Associate in PricewaterhouseCoopers Luxemburg (1999 – 2000) and Senior Consultant in PricewaterhouseCoopers Poland (1995 – 1998). He is not engaged in any activity outside of TVN and is not involved in any entity competing with TVN as a partner of a civil or commercial partnership or a member of authorities of a capital company nor is a member of authorities of any other juridical person competing with TVN. He is not entered in the Register of Insolvent Debtors.The Supervisory Board has also appointed on August 12, 2009:- Markus Tellenbach as the President of the Management Board of TVN,- Piotr Walter as Vice-president of the Management Board of TVN, and- Łukasz Wejchert as Vice-president of the Management Board of TVNfor a new 3 years term commencing on the day of holding the General Meeting of TVN approving the financial statement for financial year 2009. |
