| Zarząd TVN S.A. ("Spółka"), informuje, że w dniu 30 marca 2012 r., Walne Zgromadzenie Spółki postanowiło osiągnięty przez Spółkę zysk w 2011 r. w kwocie 1.331.183.166,92 złotych podzielić w następujący sposób: - wypłatę dywidendy w granicach kwot: od 34.387.642,10 złotych do 35.300.302,30 złotych, skalkulowanej wynikowo w zależności od liczby akcji ustalonej na dzień dywidendy, przy uwzględnieniu liczby akcji objętych przez Osoby Uprawnione w ramach Programów Motywacyjnych TVN S.A. oraz z założeniem, że dywidenda płatna na jedną akcję wyniesie 0,10 złotych; - utworzenie kapitału rezerwowego w granicach kwot: od 1.295.882.864,62 złotych do 1.296.795.524,82 złotych, w zależności od łącznej kwoty przeznaczonej na wypłatę dywidendy. Łączna kwota przeznaczona na utworzenie kapitału rezerwowego oraz wypłatę dywidendy wyniesie 1.331.183.166,92 złotych. Walne Zgromadzenie ustaliło, iż dniem dywidendy, według którego ustala się listę akcjonariuszy uprawnionych do dywidendy za rok obrotowy 2011, jest dzień 16 kwietnia 2012 roku oraz że dniem wypłaty dywidendy jest dzień 7 maja 2012 roku. |

| Management Board of TVN S.A. („Company”), informs that on March 30, 2012 the General Shareholders Meeting decided to allocate the Company’s net profit of PLN 1,331,183,166.92 achieved in year 2011 as follows:- dividends fund in the amount calculated within the following limit: not less than PLN 34,387,642.10 and not more than PLN 35,300,302.30 depending ultimately on number of shares to be determined on the dividends day- considering the number of shares subscribed by the Entitled Persons, pursuant to the TVN Incentive Schemes- and provided that the dividend payable per one share amounts to PLN 0.10- accumulated profits in the amount calculated within the following limit: not less than PLN 1,295,882,864.62 and not more than PL 1,296,795,524.82 depending on total amount allocated to the dividends fund.Total amount of the accumulated profits and dividends fund shall be PLN 1,331,183,166.92.The Annual General Shareholders Meeting hereby resolves that the dividend day on which the list of shareholders entitled to dividends for the financial year 2011 shall be determined is April 16, 2012; and the day of dividends payment is May 7, 2012. |
