| Zawiadomienie o zmianie stanu posiadania akcji Spółki Podstawa prawna: art. 70 pkt 1 Ustawy o ofercie publicznej Zarząd spółki Ronson Europe N.V. ("Spółka") informuje, że w dniu 19 listopada 2009 roku otrzymał zawiadomienie od ING PTE S.A. o przekroczeniu przez ING Otwarty Fundusz Emerytalny 5% ogólnej liczby głosów w Spółce, o następującej treści: "Działając zgodnie z art. 69 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z dnia 23 września 2005 r., Nr 184, poz. 1539) informujemy, że w wyniku objęcia akcji nowej emisji spółki Ronson Europe N.V. (dalej "Spółka"), rozliczonych w dniu 18 listopada 2009 roku, ING Otwarty Fundusz Emerytalny (dalej "Fundusz") stał się posiadaczem akcji Spółki, stanowiących powyżej 5% głosów na walnym zgromadzeniu akcjonariuszy Spółki. Przed nabyciem akcji Fundusz posiadał 10 411 664 (dziesięć milionów czterysta jedenaście tysięcy sześćset sześćdziesiąt cztery) akcje Spółki, stanowiących 4,59% kapitału zakładowego Spółki i był uprawniony do 10 411 664 (dziesięć milionów czterysta jedenaście tysięcy sześćset sześćdziesiąt cztery) głosów na walnym zgromadzeniu akcjonariuszy Spółki, co stanowiło 4,59% ogólnej liczby głosów. W dniu 19 listopada 2009 roku na rachunku papierów wartościowych Funduszu znajduje się 20 133 399 (dwadzieścia milionów sto trzydzieści trzy tysiące trzysta dziewięćdziesiąt dziewięć) głosów na walnym zgromadzeniu akcjonariuszy Spółki, co stanowi 7,39% ogólnej liczby głosów." |

| Notification of a change in ownership interest Legal basis: Article 70 section 1 of the Act on Public Offering The management board of Ronson Europe N.V. (the “Company”) hereby announces that on 19 November 2009 it received a notification from ING PTE S.A. by which it was informed that ING Otwarty Fundusz Emerytalny has exceeded 5% of the total number of votes at the general meeting of the Company, which reads as follows: “Pursuant to Article 69 of the Act dated 29 July 2005 on Public Offering and the Conditions Governing the Introduction of Financial Instruments to Organized Trading, and on Public Companies (Journal of Laws of 2005, No. 184, item 1539, as amended), please be informed that as a result of the acquisition of the new shares in Ronson Europe N.V. (hereinafter the “Company”), cleared on 18 November 2009, ING Otwarty Fundusz Emerytalny (hereinafter the “Fund”) became the owner of shares in the Company constituting more than 5% of votes at the general meeting of shareholders of the Company. Prior to the acquisition of the shares the Fund held 10,411,664 (ten million, four hundred and eleven thousand, six hundred and sixty-four) shares in the Company, constituting 4.59% of the share capital in the Company and was authorised to 10,411,644 (ten million, four hundred and eleven thousand, six hundred and sixty-four) votes at the general meeting of shareholders of the Company, which constituted 4.59% of the overall number of votes. As of 19 November 2009 there are 20,133,399 (twenty million, one hundred and thirty-three thousand, three hundred and ninety-nine) votes at the general meeting of shareholders of the Company on the securities account of the Fund, which constitute 7.39% of the overall number of votes.” |
