| The Management Board of Gi Group Poland S.A. ("Company" or "Issuer"), with reference to its Hungarian subsidiary Prohumán 2004 Munkaerő Szolgáltató és Tanácsadó Korlátolt Felelősségű Társaság (“Prohumán”) communicates that on 27 December 2021 through Prohumán’s decision-making process without holding a quotaholders’ meeting, a resolution declaring an interim dividend relating to the FY 2021 based on the interim financial statements dated 30 June 2021 has been approved. Prohumán declared an interim dividend (in reference to 100% of the registered capital of Prohumán) in the amount of HUF 4,506,731,488; as the Company has an 80.22% quota in Prohumán, the pro rata amount of the interim dividend to which the Company would be entitled to amounts to HUF 3,615,300,000. The actual payment date of such interim dividend will be decided by the quotaholders of Prohumán. The interim dividend must be confirmed as a final dividend when the audited financial statements for the year in question are approved. If it is not confirmed, the quotaholders will have to repay the interim dividend to Prohumán to the extent it has been paid already. Legal basis: Art. 17(1) of MAR (Regulation EU No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
